编号: _CONFIDENTIALITY AGREEMENT甲 方：_乙 方：_签订日期：_年_月_日Thisagreementismadeasof,byandbetweenhereinafterreferredtoasCompany,acorporationdulyorganizedunderthelawsoftheStateof,andhavingitsprincipalplaceofbusinessat,andTheResearchFoundationofStateUniversityofNewYorkhereinafterreferredtoasFoundation,havingitsprincipalplaceofbusinessat35StateStreet,Albany,NewYork12207USAmailingaddress:POBox9,Albany,NewYork?12201-0009?A?ThepartiestothisAgreementhavedevelopedoracquiredtechnicalandotherproprietaryinformationrelatingtoResearchFoundationInventionCaseNumber,entitledhereinafterreferredtoasConfidentialInformationandthepartieswishtoensurethattheinformationwhichmaybedisclosedtoeachotheristreatedinstrictestconfidenceB?EachofthepartiesdesirestoreceivesuchConfidentialInformationfromtheotherforthelimitedpurposeofevaluatingthesuitabilityofenteringintoabusinessrelationshiporsponsorshipofresearch,andeachpartyrecognizestheimportanceofsafeguardingsuchConfidentialInformationagainstunauthorizeduseordisclosureNow,therefore,inconsiderationofthedisclosuresmadehereunder,andcovenantsenteredintoherewith,CompanyandFoundationagreeasfollows?CompanyandFoundationarewillingtodisclosesuchinformationtoeachotherunderthefollowingconditions:1?EachpartysConfidentialInformationshallbesuppliedtotheotherpartyinwritten,graphic,photographic,recorded,prototype,sample,orinanyothertangibleformandshallbeidentifiedasbeingdisclosedunderthisAgreement?AnyConfidentialInformationwhichisdisclosedinoralformshallbeidentifiedassuchatthetimeofdisclosureandconfirmedinwrittensummaryformwithinthirty30daysafteritsdisclosuretothereceivingparty2?AsusedinthisAgreement,ConfidentialInformationshallmeanalldata,samples,technicalandeconomicinformation,commercialization,clinicalandresearchstrategies,tradesecretsandknow-howdisclosedorprovidedbyonepartytotheotherinaccordancewithParagraph1,exceptsuchinformationwhichacanbeshownbythereceivingpartytohavebeeninitspossessionpriortodisclosuretoitbytheotherparty;batthetimeofdisclosurehereunderis,orthereafter,becomes,throughnofaultofthereceivingparty,partofthepublicdomainbypublicationorotherwise;cisfurnishedtothereceivingpartybyathirdpartyafterthetimeofdisclosurehereunderasamatterofrightandwithoutrestrictiononitsdisclosure;disindependentlydevelopedbyemployeesoragentsofthereceivingpartywhohavenothadaccess,directorindirect,totheConfidentialInformationreceivedfromtheother;eisfurnishedtoothersbythedisclosingpartywithoutrestrictionondisclosure;orfisdisclosedtoathirdpartywiththewrittenapprovalofthedisclosingparty3?EachpartyagreestolimititsuseofanyConfidentialInformationreceivedfromtheotherpartytotheevaluationfortheadditionalpurposeofnegotiatingingoodfaiththetermsandconditionsofalicensingorresearchagreementbetweenthem,andfornootherpurposeunlessthepartiesshallotherwiseagreeinwriting?Eachpartyagreestonotmake,use,sell,offerforsale,orhavemade,anyproductorservicebasedupontheConfidentialInformationprovidedtoitwithoutexecutingalicensingagreement?Eachpartyfurtheragreesnottoreverseengineerordisassemblethetechnologydisclosedtoit?4?EachpartyagreestomaintaininconfidenceandnottodiscloseanyConfidentialInformationreceivedfromtheotherpartyotherthantoemployeesoragentswhohaveaneedtoknowtheConfidentialInformationforthepurposedescribedinParagraph3?5?EachpartyagreesnottomakeanycopiesinwholeorinpartofConfidentialInformationoranalyzesamplesoftangiblematerialsincludedtherein,whicharenotavailableontheopenmarketorfromothersources,foranypurposesotherthanthepurposessetforthinParagraph3,andwill,uponrequestbythedisclosingparty,returnalltangiblematerialsfurnishedhereunderandanynotesormemorandaofconversationsrelatingthereto,includinganycopiesthereof?6?ThepartyreceivingConfidentialInformationunderthisAgreementshallbeheldtothesamestandardofcareinprotectingsuchinformationasthereceivingpartynormallyemploystopreserveandsafeguarditsownConfidentialInformationofsimilarkind?7?TheobligationofthepartiesunderthisAgreementshallterminateonthefifthanniversaryofthedateofthisAgreement8?Norightorlicenseunderanypatentapplication,patentorotherproprietaryrightisgrantedhereunderbyimplicationorotherwise?9?ThisAgreementmaynotbechangedormodifiedorreleased,discharged,abandoned,orotherwiseterminatedinwholeorinpart,exceptbyaninstrumentinwritingsignedbyadulyauthorizedofficerofeachofCompanyandFoundation10?ThisAgreementshallbeconstruedunderthelawsoftheStateofNewYorkInwitnesswhereo
