4.WarrantiesandRepresentations

a.TheTransferoristhesoleandexclusiveownerofthePatentandhasfullpowerandauthoritytoenterintothisAgreementandtransferthePatenttotheTransferee;

b.ThePatentisfreefromanyliens,encumbrances,ordisputes,andtheTransferorhasnotgrantedanylicenseorotherrightstoanythirdpartyinrespectofthePatent;

c.ThePatentisnotsubjecttoanyinfringementorinvalidityclaims,andtheTransferorwillindemnifytheTransfereeagainstanysuchclaimsarisingpriortotheexecutionofthisAgreement.

5.Indemnification

TheTransferoragreestoindemnifyandholdharmlesstheTransfereefromandagainstanyandallclaims,actions,demands,losses,liabilities,damages,costs,andexpensesarisingoutoforinconnectionwiththePatent,includingbutnotlimitedtoinfringementclaims,duringthetermofthisAgreement.

6.TermandTermination

ThisAgreementshallbeeffectiveupontheexecutionofthisAgreementbybothpartiesandshallremaininfullforceandeffectforaperiodof[NumberofYears]fromtheEffectiveDate,unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

7.GoverningLawandJurisdiction
