PartyBshallberesponsibleforpayingtheagreeduponpensationtoPartyAwithinthespecifiedtimeframe.

4.DeliveryandAcceptance

Acceptance

Uponreceiptoftheservicesorgoods,PartyBshallinspectthemwithin[numberofdays]days.IfPartyBdiscoversanydefectsordeficiencies,PartyBshallnotifyPartyAinwritingwithinthesameperiod.PartyAshallthenhavetherighttorectifythedefectsordeficiencieswithin[numberofdays]days.

5.WarrantyandLiability

Warranty

PartyAwarrantsthattheservicesorgoodsprovidedunderthisAgreementshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[warrantyperiod]fromthedateofdelivery.

Duringthewarrantyperiod,PartyAshall,atitsownexpense,repairorreplaceanydefectivepartsorprovideequivalentservicestoremedythedefects.

Liability

IntheeventofanybreachofthisAgreementbyeitherparty,thebreachingpartyshallbeliableforalldamages,losses,andexpensessufferedbythenonbreachingpartyasaresultofsuchbreach.Thisliabilityshallincludebutnotbelimitedtodirectdamages,indirectdamages,consequentialdamages,lossofprofits,andanycostsassociatedwithlegalproceedings,arbitration,orotherdisputeresolutionmethods.

However,thetotalliabilityofeitherpartyunderthisAgreementshallnotexceedthetotalamountpaidorpayablebyPartyBunderthisAgreement.

6.Confidentiality

EachpartyacknowledgesthatinthecourseofperformingthisAgreement,itmayhaveaccesstocertainconfidentialinformationoftheotherparty.Confidentialinformationshallincludebutnotbelimitedtobusinesssecrets,technicalinformation,customerlists,andanyotherinformationmarkedasconfidential.

Eachpartyshallkeeptheotherparty'sconfidentialinformationconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredbylaw.

ThisconfidentialityobligationshallsurvivetheterminationorexpirationofthisAgreementforaperiodof[numberofyears]years.

7.IntellectualPropertyRights

8.TermandTermination

Term

Termination
