1.GrantofFranchise

1.1TheFranchisorherebygrantstotheFranchisee,andtheFranchiseeherebyaccepts,afranchisetooperateabusinessundertheFranchisor'ssystemofoperation,subjecttothetermsandconditionsofthisAgreement.

1.2TheFranchiseeshallhavetheexclusiverighttousetheFranchisor'strademarks,servicemarks,tradenames,logos,andotherintellectualproperty("FranchiseMarks")inconnectionwiththeoperationoftheFranchiseBusiness.

2.Territory

2.1TheFranchiseeshallhavetheexclusiverighttooperatetheFranchiseBusinesswithintheterritorydescribedinExhibitAattachedhereto("Territory").

2.2TheFranchiseeshallnotengageinanyactivityoutsidetheTerritorythatmaybecompetitivewiththeFranchisororanyofitsaffiliates.

3.FeesandRoyalties

3.1TheFranchiseeshallpaytotheFranchisoraninitialfranchisefeeof__________("InitialFee")upontheexecutionofthisAgreement.

6.2TheFranchiseeshallindemnifyandholdharmlesstheFranchisoragainstanyandallclaims,actions,suits,demands,liabilities,losses,costs,andexpensesarisingoutoforinconnectionwiththeFranchisee'soperationoftheFranchiseBusiness.

7.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof__________.
