2025年度电气设备维护保养合同2025年度电气设备maintenanceandmaintenancecontractContractNumber:DateofSigning:LocationofSigning:PartyA:(Hereinafterreferredtoas"甲方")Address:ContactPerson:Phone:Email:PartyB:(Hereinafterreferredtoas"乙方")Address:ContactPerson:Phone:Email:Subject:2025年电气设备维护保养服务合同ContractTerms:Article1:ScopeofServices1.1PartyBagreestoprovidecomprehensivemaintenanceandrepairservicesforallelectricalequipmentownedbyPartyAasspecifiedintheattachedlist(Attachment1)fortheyear2025.1.2Thescopeofservicesincludesbutisnotlimitedto:Routinemaintenanceandinspection:Regularchecksandmaintenanceofelectricalequipmenttoensureproperfunctionality.Preventivemaintenance:Proactivemeasurestopreventequipmentfailuresand延长使用寿命.Faultdiagnosisandrepair:Promptrepairofanyfaultsormalfunctionsintheequipment.Emergencyresponse:24/7emergencyserviceforcriticalissuesaffectingequipmentoperation.Record-keeping:Maintenanceofdetailedrecordsofallservicesprovided,includinginspectionreports,maintenancelogs,andanyrepairsperformed.Article2:ServiceDetails2.1FrequencyofService:PartyBshallprovidemaintenanceservicesasfollows:MonthlyInspections:Acomprehensiveinspectionofallelectricalequipmentshallbeconductedonceamonth,orasotherwiseagreedinwritingbetweentheparties.QuarterlyMaintenance:Preventivemaintenanceshallbeperformedonaquarterlybasis,includingbutnotlimitedtocleaning,lubrication,andpartreplacement.AnnualCheck-up:Afullannualinspectionandmaintenanceshallbeconductedtoensureallequipmentisoperatingwithinacceptablesafetyandefficiencystandards.2.2ServiceDeliverables:Aspartofthiscontract,PartyBshallprovidethefollowingdeliverables:ServiceReports:Detailedreportsforeachinspectionandmaintenanceactivityperformed,outliningfindings,actionstaken,andanyrecommendationsforfuturemaintenance.PartsandMaterials:Allnecessaryparts,components,andmaterialsrequiredformaintenanceandrepairsshallbesuppliedbyPartyB,providedtheyareincompliancewithapplicablestandardsandspecifications.Article3:ServiceRequirementsandStandards3.1TechnicalRequirements:PartyBshallperformallservicesinaccordancewiththelatestnationalstandards,industryguidelines,andsafetyregulationsapplicabletoelectricalequipmentmaintenanceinthePeople'sRepublicofChina.3.2QualifiedPersonnel:PartyBshallensurethatallpersonnelinvolvedinthemaintenanceandrepairservicesarequalified,experienced,and持validcertificationsinelectricalengineeringandsafety.3.3EquipmentSafety:PartyBshalltakeallnecessaryprecautionstoensurethesafetyofPartyA'spersonnelandpremisesduringtheexecutionofmaintenanceandrepairwork.PartyBshallberesponsibleforallsafetymeasures,includingbutnotlimitedtolockingout/taggingprocesses,andensuringthatallworkadherestoapplicablesafetystandards.Article4:ContractTermandTermination4.1Duration:ThiscontractshallbeeffectivefromJanuary1,2025,toDecember31,2025.Followingtheexpirationofthiscontract,PartyBshallonlycontinueprovidingservicesifanewcontractisenteredintobybothparties.4.2TerminationConditions:Eitherpartymayterminatethiscontractbeforeitsnaturalendintheeventofthefollowing:BreachofContract:Ifeitherpartyfailstoperformitsobligationsunderthiscontract,theotherpartymayterminatethecontractafterprovidingwrittennoticeandallowingareasonableperiodforrectification.Ifthebreachisnotrectifiedwithin15days,thecontractmaybeterminated.ForceMajeure:Intheeventofanunforeseeableanduncontrollableevent(e.g.,actofGod,naturaldisaster),theaffectedpartymayterminatethecontractimmediatelyuponprovidingwrittennotice.Article5:ManagementofContractExecution5.1On-SiteCoordination:PartyBshallappointaprojectmanagertocoordinateallmaintenanceactivitiesandensuretimelycommunicationwithPartyA.PartyAshalldesignateacontactpersontofacilitateanynecessaryapprovalsorarrangements.5.2MeetingMechanism:RegularmeetingsshallbeheldbetweentherepresentativesofPartyAandPartyBtoreviewprogress,discussanyissues,andplanfutureactivities.Anydecisionsmadeduringsuchmeetingsshallbedocumentedinwritingandsignedbybothparties.Article6:PricingStructureandPaymentTerms6.1ServiceFees:ThetotalannualservicefeeforthismaintenancecontractisRMB(大写：元整).Thisfeeincludesalllabor,materials,andotherrelatedexpensesforroutinemaintenance,inspections,andrepairsasspecifiedinthiscontract.6.2PaymentTerms:FirstPayment:AdepositofRMB(大写：元整)shallbepaidwithin10daysofthecontractsigningdate.RemainingPayment:TheremainingamountofRMB(大写：元整)shallbepaidinmonthlyinstallmentsofRMB(大写：元整)fromFebruarytoDecember2025.AdditionalCosts:Intheeventofextraordinaryrepairsorservicesbeyondthescopeofthiscontract,PartyBshallsubmitadetailedquotationtoPartyA.Uponapproval,PartyAshallpaytheadditionalcostswithin30daysofreceivingtheinvoice.6.3InvoiceRequirements:PartyBshallissuelegitimatetaxinvoicestoPartyAforallpaymentsmadeunderthiscontract.Article7:QualityAssuranceandAfter-salesService7.1QualityCommitment:PartyBguaranteesthatallmaintenanceandrepairserviceswillbeperformedtothehighestprofessionalstandardsandwillcomplywithrelevantnationalandindustrystandards.7.2GuaranteePeriod:PartyBshallprovideaguaranteeperiodof6monthsfollowingthecompletionofeachmaintenanceorrepairactivity.Duringthisperiod,ifanydefectsorissuesariseduetotheservicesprovidedbyPartyB,PartyBshallrectifythemfreeofchargewithinareasonabletimeframe.Article8:Confidentiality8.1ConfidentialInformation:PartyBagreestotreatallinformationdisclosedbyPartyAasconfidentialandshallnotdisclosesuchinformationtoanythirdpartywithoutpriorwrittenconsentfromPartyA.8.2DurationofObligation:Theobligationsunderthisarticleshallremaininforceindefinitely,evenaftertheterminationofthiscontract.Article9:LiabilityforBreachofContract9.1GeneralPrinciples:Anybreachofthiscontractbyeitherpartyshallresultinliabilityfordamages,includingbutnotlimitedtocompensationforanylossorinjurycaused.9.2SpecificBreaches:LateDeliveryofServices:IfPartyBfailstoperformmaintenanceservicesasscheduled,PartyAmaydeductapenaltyofRMB(大写：元整)perdayofdelay,uptoamaximumofRMB(大写：元整).DefectiveServices:IftheservicesprovidedbyPartyBarefoundtobedefectiveorsubstandard,PartyAmayrequestare-performanceoftheserviceorareductionintheservicefeesaccordingly.Article10:DisputeResolution10.1NegotiationFirst:Intheeventofadisputearisingfromorrelatingtothiscontract,thepartiesshallfirstattempttoresolvethematterthroughgoodfaithnegotiations.10.2Litigation:Ifthepartiesareunabletoresolvethedisputethroughnegotiation,eitherpartymaybringthematterbeforethePeople'sCourtofthelocationspecifiedinArticle4ofthiscontract.Article11:ForceMajeure11.1Definition:Forcemajeureincludesbutisnotlimitedtonaturaldisasters,war,actsofterrorism,governmentactions,oranyothereventbeyondthereasonablecontroloftheaffectedparty.11.2NotificationandMitigation:Intheeventofforcemajeure,theaffectedpartyshallnotifytheotherpartyimmediatelyandtakeallreasonablestepstomitigatetheimpactoftheevent.11.3ExtensionofTime:Ifaneventofforcemajeureoccurs,theaffectedpartyshallbeentitledtoanextensionoftimetoperformitsobligationsunderthiscontract,foraperiodequaltothedurationoftheforcemajeureevent.Article12:MiscellaneousTerms12.1Amendments:Anyamendmentsormodificationstothiscontractmustbemadeinwritingandsignedbybothparties.12.2EntireAgreement:Thiscontractconstitutestheentireagreementbetweenthepartiesandsupersedesallpriorwrittenororalagreementsorunderstandings.12.3Assignment:Neitherpartyshallassignortransferanyofitsrightsorobligationsunderthiscontractwithoutthepriorwrittenconsentoftheotherparty
