2025合同调整协议英文版2025ContractAdjustmentAgreement1.IntroductoryRecitalsThisContractAdjustmentAgreement(hereinafterreferredtoasthe"Agreement")isenteredintoonthisdayof,2025,byandbetween:PartyA:,a/an(hereinafterreferredtoas"PartyA"),withitsprincipalplaceofbusinesslocatedat;PartyB:,a/an(hereinafterreferredtoas"PartyB"),withitsprincipalplaceofbusinesslocatedat.Recitals1.1TheOriginalContract:PartyAandPartyBhavepreviouslyenteredintoacontractdatedonoraround,20,hereinafterreferredtoasthe"OriginalContract,"fortheprovisionof(hereinafterreferredtoasthe"Services")underthetermsandconditionssetforththerein.1.2BasisforAdjustment:Duetochangesincircumstances,includingbutnotlimitedtovariationsinmarketconditions,regulatoryrequirements,ormutualagreementbetweentheparties,itisdeemednecessaryandappropriatetoadjustcertainprovisionsoftheOriginalContracttoensurefairness,equity,andcompliancewithapplicablelaws.2.DefinitionsandInterpretationsForthepurposesofthisAgreement,thefollowingtermsshallhavethemeaningsascribedbelow:2.1AdjustedTerms:AnymodificationsorchangesmadetotheOriginalContractinaccordancewiththeprovisionsofthisAgreement.2.2EffectiveDate:Thedateonwhichtheadjustmentsoutlinedhereinbecomeoperative,asspecifiedinSection3.1hereof.2.3OriginalContract:ThecontractpreviouslyenteredintobyPartyAandPartyBfortheprovisionofServices,asamendedorsupplementedfromtimetotime,priortotheexecutionofthisAgreement.3.SpecificClausesoftheAgreement3.1AmendmentstotheOriginalContract3.1.1EffectiveDate:AlladjustmentsmadeunderthisAgreementshalltakeeffecton,2025(the"EffectiveDate"),unlessotherwisespecifiedherein.3.1.2ScopeofAdjustments:a)ThefollowingprovisionsoftheOriginalContractareherebyamendedorreplacedassetforthbelow:i.Clause:Previouslyprovidedthat;nowrevisedto.ii.Clause:Deletedinitsentiretyandsupersededby.iii.Clause:Addedtoreflectthenewtermsasfollows:.b)Anyadditionaladjustments,ifany,shallbespecifiedinaseparateexhibitorscheduleattachedheretoandmadeanintegralpartofthisAgreement.3.2NewProvisions3.2.1AdditionalObligations:PartyAagreesto.PartyBagreesto.3.2.2ChangesinPaymentTerms:a)ThepaymentscheduleoutlinedintheOriginalContractisherebyrevisedasfollows:.b)AnylatepaymentsaftertheEffectiveDateshallincurapenaltyof%perannum,calculatedontheunpaidbalance.3.2.3ServiceLevelAdjustments:a)ThescopeofServicesprovidedbyPartyAundertheOriginalContractisherebymodifiedtoexclude,whileincluding.b)ThequalitystandardsfortheServicesarerevisedassetforthinExhibit"A"attachedhereto.3.3MutualObligations3.3.1Cooperation:BothpartiesagreetocooperatewitheachothertoensureasmoothtransitiontotheAdjustedTerms,includingbutnotlimitedtoexchangingnecessaryinformationanddocumentation.3.3.2Notification:EachpartyshallpromptlynotifytheotherofanychangesintheirrespectivecircumstancesthatmayaffecttheirabilitytocomplywiththeAdjustedTerms.4.GeneralProvisions4.1GoverningLaw:ThisAgreementandallmattersarisinghereundershallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictionof,withoutregardtoitsconflictoflawsprinciples.4.2EntireAgreement:ThisAgreement,togetherwithanyexhibitsorschedulesattachedhereto,constitutestheentireagreementbetweenPartyAandPartyBregardingthesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,betweentheparties.4.3Amendments:AnyamendmentstothisAgreementmustbemadeinwritingandsignedbybothparties.SuchamendmentsshallnotbevalidunlessexecutedinaccordancewiththetermsofthisAgreement.4.4ForceMajeure:a)IfeitherpartyispreventedfromperformingitsobligationsunderthisAgreementduetoeventsbeyonditscontrol,includingbutnotlimitedtonaturaldisasters,war,orgovernmentalactions,suchnon-performanceshallnotconstituteabreachofcontract.b)Theaffectedpartyshallpromptlynotifytheotherpartyoftheoccurrenceofaforcemajeureeventandmakereasonableeffortstomitigateitseffects.4.5Waiver:ThefailurebyeitherpartytoenforceanyprovisionofthisAgreementononeoccasionshallnotbeconstruedasawaiverofsuchprovisionoroftherighttoenforceitonanyfutureoccasion.4.6Severability:IfanyprovisionofthisAgreementisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.4.7Counterparts:ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.5.SignaturesINWITNESSWHEREOF,thepartiesheretohavecausedthisContractAdjustmentAgreementtobeexecutedbytheirrespectiveauthorizedrepresentativesasofthedatefirstabovewritten.PartyA:Name:Title:Date:PartyB:Name:
