e.NotengageinanyactivitythatwouldbedetrimentaltothePrincipal'sinterests.

3.**ObligationsofthePrincipal**

ThePrincipalshall:

a.ProvidetheAgentwithallnecessaryinformation,documentation,andaccesstothePrincipal'sbusinessfortheAgenttoperformtheAgent'sdutiesandresponsibilitieshereunder;

b.PaytheAgenttheagreed-uponcompensationfortheAgent'sservices;

c.ReimbursetheAgentforanyreasonableexpensesincurredintheperformanceoftheAgent'sdutiesandresponsibilities;

d.ProvideappropriatesupportandresourcestoenabletheAgenttoperformtheAgent'sdutieseffectively.

4.**CompensationandExpenses**

TheAgentshallbeentitledtoreceivethecompensationagreeduponbytheParties,whichshallbepaid[CompensationTermsandFrequency].ThePrincipalshallalsoreimbursetheAgentforallreasonableexpensesincurredintheperformanceoftheAgent'sduties,assupportedbyproperdocumentation.
