RECORDOFAGREEMENT:
WHEREAS,theLandlordownsandpossessescertainwarehousespacelocatedat__________(the"Warehouse"),whichtheTenantdesirestoleaseforthepurposeofstoringandhandlinggoodsandmaterials;
WHEREAS,theTenantdesirestoleasesaidWarehousefromtheLandlordunderthetermsandconditionssetforthherein;
NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thepartiesheretoagreeasfollows:
1.LEASETERM.TheLeaseTermshallcommenceon__________,20__(the"CommencementDate")andshallcontinueforaperiodof__________(the"InitialTerm")fromtheCommencementDate.UpontheexpirationoftheInitialTerm,thisAgreementshallautomaticallyrenewforsuccessivetermsof__________(the"RenewalTerm")unlesseitherpartyprovideswrittennoticeofterminationatleast__________dayspriortotheexpirationoftheInitialTermoranyRenewalTerm.
2.LEASEPAYMENTS.TenantshallpaytoLandlordthefollowingmonthlyrent("Rent")fortheuseandoccupancyoftheWarehouse:
(a)InitialTerm:__________dollars($__________)permonth;
(b)RenewalTerm:__________dollars($__________)permonth;
(c)Rentshallbepayableinadvanceonorbeforethefirstdayofeachmonth;
(d)AnylatepaymentofRentshallbesubjecttoalatefeeof__________percent(%)ofthetotalRentdue;
(e)Tenantshallpayalltaxes,assessments,andothergovernmentalchargesleviedupontheWarehouseduringthetermofthisAgreement.
3.USEOFTHEWAREHOUSE.TenantshallusetheWarehousesolelyforthestorageandhandlingofgoodsandmaterials.TenantshallnotusetheWarehouseforanyillegalpurposeorinanymannerthatmaycausedamagetotheWarehouseoranyneighboringproperty.
4.MAINTENANCEANDREPAIRS.LandlordshallmaintainandrepairtheWarehouseingoodrepairandconditionduringthetermofthisAgreement.TenantshallmaintainandrepairanyimprovementsoralterationsmadebyTenanttotheWarehouse,subjecttoLandlord'spriorapproval.
5.INSURANCE.Tenantshallmaintain,atitsexpense,acomprehensivegeneralliabilityinsurancepolicyinanamountnotlessthan__________dollars($__________)namingLandlordasanadditionalinsured.TenantshallalsomaintainpropertyinsurancefortheTenant'sgoodsstoredintheWarehouseinanamountnotlessthanthereplacementcostofsuchgoods.
6.ASSIGNMENTANDSUBLETTING.TenantmaynotassignorsublettheWarehousewithoutthepriorwrittenconsentofLandlord.
7.DEFAULTANDREMEDIES.IfTenantfailstocomplywithanytermorconditionofthisAgreement,LandlordshallhavetherighttoterminatethisAgreementandevictTenantfromtheWarehouse.
8.TERMANDTERMINATION.ThisAgreementmaybeterminatedbyeitherpartyupontheoccurrenceofadefaultbytheotherparty,providedthatsuchdefaultisnotcuredwithin__________daysafterwrittennoticefromthenon-defaultingparty.
9.ATTORNEY'SFEES.IntheeventofanydisputearisingoutofthisAgreement,theprevailingpartyshallbeentitledtorecoverallreasonableattorney'sfeesandcostsincurredinconnectionwiththeresolutionofsuchdispute.
10.ATTACHMENTS.ThefollowingdocumentsareherebyattachedheretoandmadeapartofthisAgreement:
(a)ExhibitA:FloorPlanoftheWarehouse;
(b)ExhibitB:Tenant'sInsurancePolicy;
(c)ExhibitC:Tenant'sCertificateofInsurance;
(d)ExhibitD:Landlord'sInsurancePolicy.

2.2TheLesseeshallmaintaintheWarehouseinacleanandsafecondition,andshallnotusetheWarehouseforanyillegalpurposeorinanymannerthatmaycausedamagetotheWarehouseoranyneighboringproperty.
3.LANDLORD'SRIGHTSANDOBLIGATIONS
3.1TheLessorshallmaintainandrepairtheWarehouseingoodrepairandconditionduringthetermofthisAgreement.
3.2TheLessorshallprovidetheLesseewithacomprehensivelistofmaintenanceandrepairresponsibilitiesupontheCommencementDate.
4.THIRDPARTYGUARANTEE
4.1TheGuarantoragreestoguaranteetheperformanceoftheLessee'sobligationsunderthisAgreement,includingbutnotlimitedtothepaymentofRentandcompliancewiththetermsandconditionsofthisAgreement.
4.2TheGuarantor'sliabilityunderthisAgreementshallbeco-equalwiththeLessee'sliabilityandshallnotbedischargedbyanyactionorinactionoftheLessee.
5.LESSEE'SRIGHTSANDINTERESTS
5.1TheLesseeshallhavetherighttoterminatethisAgreementupontheoccurrenceofamaterialbreachbytheLessor,providedthatsuchbreachisnotcuredwithin__________daysafterwrittennoticefromtheLessee.
5.2TheLesseeshallhavetherighttonegotiateanychangestothetermsandconditionsofthisAgreement,providedthatsuchchangesaremutuallyagreeduponbytheLessorandtheLessee.
6.LESSEE'SLIMITATIONSANDLIABILITIES
6.1TheLesseeshallnotassignorsublettheWarehousewithoutthepriorwrittenconsentoftheLessor.
6.2TheLesseeshallbeliableforanydamagetotheWarehousecausedbytheLessee'snegligenceormisuse.
7.DEFAULTANDREMEDIES
7.1IntheeventofadefaultbytheLessee,theLessorshallhavetherighttoterminatethisAgreementandtorecoverdamagesfromtheLesseeandtheGuarantor.
7.2TheGuarantorshallbejointlyandseverallyliableforanybreachofthisAgreementbytheLessee.
8.ATTORNEY'SFEES
8.1IntheeventofanylegalactionarisingoutofthisAgreement,theprevailingpartyshallbeentitledtorecoverallreasonableattorney'sfeesandcostsincurredinconnectionwiththeresolutionofsuchdispute.
9.ATTACHMENTS
9.1ThefollowingdocumentsareherebyattachedheretoandmadeapartofthisAgreement:

(b)ExhibitB:Tenant'sInsurancePolicy;

TheinclusionoftheThirdPartyasaGuarantorservestoprovideanadditionallayerofsecurityfortheLessor,ensuringthattheLessee'sobligationsaremetandthattheLessor'sinterestsareprotected.TheLessee,astheprimarylessee,retainssignificantrightsandinterests,withtheLessor'sobligationsandrightsbeingsecondarytotheLessee's.ThisarrangementisdesignedtocreateabalancedandfairleaseagreementthatprioritizestheLessee'soperationalneedswhilemaintainingtheLessor'sinvestmentprotection.

3.2TheInvestorshallhavetherighttoreceiveregularfinancialstatementsandreportsfromtheManagerregardingtheProperty'sperformance.
3.3TheInvestorshallhavetherighttoterminatethisAgreementupontheoccurrenceofamaterialbreachbytheManager,providedthatsuchbreachisnotcuredwithin__________daysafterwrittennoticefromtheInvestor.
4.OWNER'SRIGHTSANDOBLIGATIONS
4.1TheOwnershallhavetherighttoreceiveallrentalincomecollectedbytheManager,lesstheagreedManagementFee.
4.2TheOwnershallhavetherighttoinspectthePropertyatreasonabletimesandtoensurethattheManagerisfulfillingitsobligationsunderthisAgreement.
5.INVESTOR'SGUARANTEE
5.1TheInvestoragreestoguaranteetheperformanceoftheManager'sobligationsunderthisAgreement,includingbutnotlimitedtothecollectionofrentalincomeandthemaintenanceoftheProperty.
5.2TheInvestor'sliabilityunderthisAgreementshallbeco-equalwiththeManager'sliabilityandshallnotbedischargedbyanyactionorinactionoftheManager.
6.MANAGER'SLIMITATIONSANDLIABILITIES
6.1TheManagershallnotassignorsubcontractitsdutiesunderthisAgreementwithoutthepriorwrittenconsentoftheOwnerandInvestor.
6.2TheManagershallbeliableforanybreachofthisAgreement,includingbutnotlimitedtothefailuretocollectrentalincomeorthefailuretomaintainthePropertyinaccordancewiththetermsofthisAgreement.
7.DEFAULTANDREMEDIES
7.1IntheeventofadefaultbytheManager,theOwnerandInvestorshallhavetherighttoterminatethisAgreementandtorecoverdamagesfromtheManagerandtheInvestor.
7.2TheInvestorshallbejointlyandseverallyliableforanybreachofthisAgreementbytheManager.
