2025广州地铁新客站交通枢纽工程智能化系统施工合同条款2025GuangzhouMetroNewPassengerStationIntegratedTerminalEngineeringConstructionContractforIntelligentSystemsContractNumber:ContractingPartyA(Principal):Address:LegalRepresentative:ContractingPartyB(Contractor):Address:LegalRepresentative:SignatureLocation:SignatureDate:1.GeneralProvisions1.1ContractFormationandCompositionThiscontractisconcludedbetweentheprincipalandthecontractor,governingalltermsandconditionsfortheconstructionoftheintelligentsystemsatthenewpassengerstationintegratedterminaloftheGuangzhouMetroin2025.Thecontractconsistsofthefollowingparts:1.1.1Alltermsandconditionsstipulatedinthemaintextofthiscontract.1.1.2Theconstructiondrawingsanddesigndocumentsconfirmedbybothparties.1.1.3Theprojectbudgetorquotationagreeduponbybothparties.1.1.4Thebidinvitation,biddocument,andbothparties'commitments.1.1.5Othersupplementaryagreementssignedbybothpartiesduringtheexecutionofthecontract.1.2InterpretationofTermsInthiscontract,termsaredefinedasfollows:"IntelligentSystems"refertotheconstructionofsystemsincluding,butnotlimitedto,automaticfarecollectionsystems,passengerinformationdisplaysystems,securitymonitoringsystems,publicaddresssystems,andintegratedmanagementplatforms."Completion"referstothesuccessfulcompletionoftheconstructionworkfortheintelligentsystemsinaccordancewiththetermsofthiscontract."ProjectCosts"includeallcostsrelatedtotheconstruction,includinglabor,materials,equipment,andmanagementfees.1.3ContractCurrencyAllpaymentsunderthiscontractshallbemadeinRenminbi(RMB).Unlessotherwisespecified,allamountsmentionedinthiscontractareinRMB.1.4ForceMajeureForcemajeureeventsincludenaturaldisasters,wars,governmentalactions,orotherunforeseeableandunavoidableeventsthatpreventeitherpartyfromfulfillingtheircontractualobligations.Intheeventofforcemajeure,theaffectedpartyshallpromptlynotifytheotherpartyandprovideevidenceoftheevent,andbothpartiesshallnegotiatetodeterminewhethertoextendtheconstructionperiodorterminatethecontract.2.ProjectDetails2.1LocationoftheProjectTheprojectislocatedat,Guangzhou,China.2.2ProjectNameTheprojectisnamedthe"2025GuangzhouMetroNewPassengerStationIntegratedTerminalIntelligentSystemsConstructionProject."2.3IntelligentSystemsTheintelligentsystemstobeconstructedincludethefollowing:AutomaticFareCollection(AFC)SystemPassengerInformationDisplaySystemSecurityMonitoringSystemPublicAddressSystemIntegratedManagementPlatformOthersystemsaspertheconstructiondrawingsanddesigndocuments.2.4ConstructionScopeTheconstructionscopeincludesthedesign,supply,installation,testing,andcommissioningoftheintelligentsystems,asdetailedintheconstructiondrawingsanddesigndocumentsprovidedbyContractingPartyA.3.ConstructionPeriod3.1TotalConstructionPeriodThetotalconstructionperiodisdays,calculatedfromthestartdateofconstructiontothecompletiondate.3.2Phase-wiseDeadlinesBothpartiesshallagreeonspecificdeadlinesforeachphaseoftheproject.ThesedeadlinesarespecifiedinAnnex.3.3ExtensionofConstructionPeriodIntheeventofanyofthefollowingcircumstances,theconstructionperiodmaybereasonablyextended:Delayscausedbytheprincipal,includingbutnotlimitedtolatedeliveryofconstructiondrawings,delayedapprovalofplans,orfailuretoproviderequiredconditions;Changestotheprojectdesignorscoperequestedbytheprincipal;Forcemajeureevents;Otherjustifiablereasonsasagreeduponbybothparties.3.4LiabilityforDelayIfthecontractorfailstocompletetheprojectwithintheagreedperiod,thecontractorshallpayapenaltyofRMBperdayofdelay.3.5TerminationofConstructionIntheeventofany重大delaysorbreachesofcontractbythecontractor,theprincipalhastherighttoterminatethecontractandseekcompensatorydamages.4.QualityRequirements4.1QualityStandardsThequalityoftheintelligentsystemsshallcomplywiththefollowingstandards:Nationalstandards:GBIndustry-specificstandards:Localstandards:Anyadditionalstandardsasspecifiedintheconstructiondrawingsanddesigndocuments.4.2QualityControlThecontractorshallimplementeffectivequalitycontrolmeasuresduringtheconstructionprocess,ensuringthatallmaterials,equipment,andworkmanshipmeetthespecifiedstandards.Theprincipalreservestherighttoinspecttheconstructionprocessandthefinalproduct.4.3ProjectAcceptanceUponcompletionoftheproject,thecontractorshallsubmitawrittenapplicationforacceptancetotheprincipal.Theprincipalshallorganizeajointacceptancewithindaysofreceivingtheapplication.Ifanydefectsarefound,thecontractorshallrectifythemwithinthespecifiedtimeframeandbearallrelatedcosts.4.4QualityWarrantyThecontractorshallprovideaqualitywarrantyperiodofyearsfromthedateofprojectacceptance.Duringthisperiod,thecontractorshallberesponsibleforfreerepairsorreplacementsofanydefectivepartsorsystems.5.ContractPriceandPaymentTerms5.1ContractPriceThetotalcontractpricefortheconstructionoftheintelligentsystemsisRMB.Thispriceincludesallcostsrelatedtotheconstruction,includinglabor,materials,equipment,andmanagementfees.5.2AdjustmentofContractPriceIntheeventofanychangestotheprojectscope,design,orotherunforeseencircumstances,thecontractpricemaybeadjustedthroughmutualagreementbetweentheprincipalandthecontractor.5.3ProgressPaymentsTheprincipalshallmakeprogresspaymentstothecontractoraccordingtothefollowingschedule:Uponsigningofthecontract:%ofthecontractprice;Uponcompletionof50%oftheproject:%ofthecontractprice;Uponcompletionof90%oftheproject:%ofthecontractprice;Uponprojectacceptance:Finalpaymentoftheremainingcontractprice.5.4FinalPaymentThefinalpaymentshallbemadewithindaysoftheprojectacceptance,afterthecontractorhasprovidedallrequireddocumentsandinvoices.6.ResponsibilitiesofBothParties6.1ResponsibilitiesofthePrincipalProvidetheconstructionsiteandensureaccesstoutilitiesandservices.Approvetheconstructionplananddesignchangesinatimelymanner.Ensuretimelypaymentofprogresspayments.Coordinatewithrelevantauthoritiesfornecessaryapprovals.6.2ResponsibilitiesoftheContractorSubmitaconstructionplanandscheduleforapproval.Ensuresafetyandqualityoftheconstructionwork.Complywithallapplicablelaws,regulations,andstandards.Providetrainingforprincipal'sstaffontheoperationandmaintenanceoftheintelligentsystems.7.AcceptanceandCommissioning7.1ProjectAcceptanceTheprojectshallbeacceptedaccordingtothefollowingcriteria:Compliancewithdesignspecificationsandqualitystandards.Successfultestingofallsystemsandfunctionalities.Submissionofcompletedocumentationandrecords.7.2SystemCommissioningUponacceptance,thecontractorshallcommissionthesystemsandensuretheirproperoperation.Anyissuesarisingwithinthewarrantyperiodshallbeaddressedpromptlybythecontractor.8.BreachofContractandLiability8.1CompensationforBreachofContractIntheeventofabreachofcontractbyeitherparty,theaffectedpartyshallbeentitledtocompensationforanydirectlossesincurred.8.2TerminationofContractThecontractmaybeterminatedbyeitherpartyintheeventofamaterialbreachofcontract,providedthatthebreachingpartyfailstocurethebreachwithindaysofreceivingwrittennotice.8.3ArbitrationAnydisputesarisingfromorinconnectionwiththiscontractshallbesettledthrougharbitrationinaccordancewiththerulesoftheArbitrationCommission.Theawardofthearbitrationshallbefinalandbindingonbothparties.9.OtherProvisions9.1ConfidentialityBothpartiesagreetomaintaintheconfidentialityofanyinformationexchangedduringthecourseofthiscontractandnottodiscloseittoanythirdpartywithoutpriorwrittenconsent.9.2NoticesAllnotices,requests,demands,orothercommunicationsrequiredorpermittedunderthiscontractshallbeinwritinganddeliveredtotherespectivepartiesasfollows:Fortheprincipal:Forthecontractor:9.3Amendmen
