1.DescriptionofGoods

2.PriceandPaymentTerms

3.Shipment

4.InspectionandAcceptance

TheGoodsshallbeinspectedandacceptedbytheBuyerattheportofdestinationwithin[NumberofDays]daysafterdelivery.AnyclaimarisingfromtheinspectionandacceptanceoftheGoodsshallbesubmittedtotheSellerwithin[NumberofDays]daysfromthedateofacceptance.

5.ForceMajeure

NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,strikes,floods,andgovernmentactions.

6.GoverningLawandDisputeResolution

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[ApplicableJurisdiction].AnydisputesarisingfromorinconnectionwiththisContractshallberesolvedthroughamicablenegotiations.Ifthenegotiationsfail,thepartiesagreetosubmitthedisputetothecompetentcourtsof[ApplicableJurisdiction].
