4.TheBuyerrepresentsandwarrantsthatitwillusethegoodsinaccordancewiththeintendedpurposeandwillnotengageinanyillegalactivities.

OBLIGATIONS:

1.TheSellershallsupplythegoodstotheBuyerinaccordancewiththespecifications,quantities,anddeliverydatessetforthintheattachedScheduleA.

2.TheSellershallensurethatthegoodsareproperlypackaged,labeled,anddeliveredtotheBuyer'sdesignatedlocation.

3.TheBuyershallpaytheSellertheagreed-uponpriceforthegoodswithin[Number]daysofthedateofinvoice.

4.TheBuyershallprovidetheSellerwithanynecessaryinformationordocumentationrequiredfortheprocessingofordersandpayments.

5.TheSellershallprovidetheBuyerwithreasonabletechnicalsupportandassistancerelatedtothegoods.

TERMANDTERMINATION:

1.ThisAgreementshallcommenceonthedateofitsexecutionandshallremainineffectforaperiodof[Number]years,unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

3.UponterminationofthisAgreement,theSellershalldelivertotheBuyeranygoodsthathavebeenpaidforbutnotyetdelivered.

CONFIDENTIALITY:

1.ThePartiesagreetokeepconfidentialanyandallinformationdisclosedtothembytheotherPartyinconnectionwiththisAgreement,exceptforinformationthatispubliclyavailableordisclosedbytheotherPartywithoutabreachofthisAgreement.

2.TheconfidentialityobligationsunderthisAgreementshallsurvivetheterminationorexpirationofthisAgreement.

INDEMNIFICATION:

1.TheSellershallindemnifyandholdharmlesstheBuyerfromandagainstanyandallclaims,actions,damages,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforresultingfromtheSeller'sbreachofanywarrantyorrepresentationmadeinthisAgreement.

2.TheBuyershallindemnifyandholdharmlesstheSellerfromandagainstanyandallclaims,actions,damages,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforresultingfromtheBuyer'sbreachofanywarrantyorrepresentationmadeinthisAgreement.
