NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:

1.ScopeofServices/Products:PartyAshallprovide[services/products]toPartyB,asdescribedinExhibitAattachedhereto(hereinafterreferredtoasthe"ScopeofServices/Products").

2.Term:ThetermofthisContractshallcommenceon[StartDate]andshallcontinueforaperiodof[Duration]unlessterminatedearlierinaccordancewiththeprovisionsofthisContract.

3.Payment:PartyBshallpayPartyAfortheservices/productsprovidedhereunderinaccordancewiththepaymenttermssetforthinExhibitBattachedhereto.

4.Confidentiality:ThepartiesagreetomaintaintheconfidentialityofallconfidentialinformationdisclosedtothembytheotherpartyduringthetermofthisContractandforaperiodof[ConfidentialityPeriod]thereafter.Suchconfidentialinformationshallinclude,butnotbelimitedto,technical,commercial,financial,andoperationalinformation.

5.IntellectualProperty:PartyAshallretainallrights,title,andinterestinandtotheintellectualpropertyrightsassociatedwiththeservices/productsprovidedhereunder.PartyBshallnotacquireanyrights,title,orinterestinortosuchintellectualpropertyrights.

6.GoverningLawandDisputeResolution:ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthrough[DisputeResolutionMechanism].

7.ForceMajeure:NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,labordisputes,orgovernmentactions.

8.EntireAgreement:ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.

9.Amendments:ThisContractmaybeamendedonlybyawrittenagreementexecutedbybothparties.

10.Counterparts:ThisContractmaybeexecutedinoneormorecounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.

5.PartyC'sLimitations:

a.PartyCshallnotbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetocausesbeyonditsreasonablecontrol.

b.PartyCshallnotberesponsibleforthequality,delivery,orperformanceoftheservices/productsprovidedbyPartyAtoPartyB.

6.PartyA'sRights:

a.PartyAshallhavetherighttoterminatethisContractimmediatelyifPartyBfailstocomplywithanyofitsobligationsunderthisContract.

b.PartyAshallhavetherighttorequestPartyCtoprovideadditionalinformationorassistancetoensurethesuccessfulexecutionoftheScopeofServices/Products.

c.PartyAshallhavetherighttoinspectandverifythequalityandperformanceoftheservices/productsprovidedbyPartyB.

7.PartyA'sInterests:

a.PartyAshallensurethattheservices/productsprovidedbyPartyBmeettherequiredstandardsandspecifications.

b.PartyAshallhavetherighttorequestPartyBtoprovideawarrantyfortheservices/productsprovided.

c.PartyAshallhavetherighttoclaimdamagesfromPartyBincaseofanybreachoftheContract.

8.PartyB'sObligations:

a.PartyBshallprovidetheservices/productstoPartyAinaccordancewiththeScopeofServices/Productsandwithintheagreedtimeframe.

b.PartyBshallensurethattheservices/productsprovidedareofhighqualityandmeettherequiredstandardsandspecifications.

c.PartyBshallcomplywithallapplicablelawsandregulationsintheperformanceofitsobligationsunderthisContract.

9.PartyB'sLimitations:

a.PartyBshallnotbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetocausesbeyonditsreasonablecontrol.
