WHEREAS,thepartieswishtoestablishamutuallybeneficialbusinessrelationship;and
WHEREAS,thepartieshaveagreedtoenterintothisContractforthepurposessetforthherein.
NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:
1.SubjectMatteroftheContract
PartyAshallsupply[DescriptionofGoods/Services]toPartyB,asspecifiedinExhibitAattachedhereto(hereinafterreferredtoasthe"Goods/Services").
2.DeliveryandAcceptance
2.1Delivery
TheGoods/ServicesshallbedeliveredtoPartyBat[DeliveryAddress]within[DeliveryPeriod]fromtheEffectiveDateofthisContract.
2.2Acceptance
PartyBshallinspecttheGoods/ServicesupondeliveryandshallacceptthesameiftheycomplywiththespecificationsandconditionssetforthinthisContractandExhibitA.IfPartyBfailstoinspectoraccepttheGoods/Serviceswithinthespecifiedperiod,suchfailureshallbedeemedanacceptanceoftheGoods/Services.
3.PricesandPaymentTerms
3.1Prices
ThepricesfortheGoods/ServicesshallbeasspecifiedinExhibitBattachedhereto.
3.2PaymentTerms
PartyBshallpayPartyAthetotalamountduefortheGoods/Serviceswithin[PaymentPeriod]fromthedateofinvoice.Paymentshallbemadeby[PaymentMethod]totheaccountspecifiedinExhibitCattachedhereto.
4.WarrantiesandLiability
4.1Warranties
PartyAwarrantsthattheGoods/ServicesshallbefreefromdefectsandshallconformtothespecificationsandconditionssetforthinthisContractandExhibitA.
4.2Liability
PartyAshallbeliableforanydefectsintheGoods/ServicesorfailuretoconformtothespecificationsandconditionssetforthinthisContractandExhibitA.PartyA'sliabilityforanysuchdefectsorfailuresshallbelimitedtothereplacementorrepairofthedefectiveGoods/Servicesortherefundofthepurchasepricethereof.
5.ForceMajeure
NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,strikes,labordisputes,governmentactions,oranyotherunforeseenevents.
6.GoverningLawandDisputeResolution
ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughamicablenegotiationsbetweentheparties.Ifsuchnegotiationsfail,thedisputesshallbesubmittedtoarbitrationin[ArbitrationInstitution]inaccordancewithitsrulesthenprevailing.
7.EntireAgreement
ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal,relatingtothesubjectmatterhereof.

4.2Rights
ThirdPartyshallbeentitledtoreceiveacommissionforitsservicesasspecifiedinExhibitDattachedhereto.
5.PartyA'sRightsandInterests
5.1InspectionandAcceptance
PartyAshallhavetherighttoinspectandaccepttheGoods/ServicesupondeliverytoensurecompliancewiththespecificationsandconditionssetforthinthisContract.
5.2PaymentTerms
PartyAshallhavetherighttorequestpaymentfromPartyBinaccordancewiththeagreedpaymentterms.
5.3Termination
PartyAshallhavetherighttoterminatethisContractintheeventofabreachbyPartyBorThirdParty.
6.PartyB'sObligationsandLimitations
6.1CompliancewithContract
PartyBshallcomplywiththetermsandconditionsofthisContractandExhibitA.
6.2Payment
PartyBshallmaketimelypaymentstoPartyAinaccordancewiththeagreedpaymentterms.
6.3LimitationofLiability
PartyB'sliabilityforanydefectsintheGoods/ServicesorfailuretoconformtothespecificationsandconditionssetforthinthisContractshallbelimitedtothereplacementorrepairofthedefectiveGoods/Servicesortherefundofthepurchasepricethereof.
7.ForceMajeure
NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,strikes,labordisputes,governmentactions,oranyotherunforeseenevents.
8.GoverningLawandDisputeResolution

9.EntireAgreement
