2025年度国际贸易市场调研服务合同英文版本合同共三部分组成，仅供学习使用，第一部分如下：2025ANNUALINTERNATIONALTRADEMARKETRESEARCHSERVICEAGREEMENTPARTI:RECITALSWHEREAS,[CompanyA](hereinafterreferredtoas“CompanyA”)isengagedinthebusinessof[describeCompanyA’sbusinessactivities]andisinterestedinobtainingmarketresearchservicestoinformitsdecisionmakingprocess;NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thepartiesheretoagreeasfollows:PARTII:AGREEMENT1.ScopeofServicesCompanyBagreestoprovideCompanyAwithmarketresearchservicesfortheyear2025(hereinafterreferredtoasthe“ServicePeriod”)relatedtothefollowingproducts/services:[Specifytheproducts/servicesforwhichmarketresearchisrequired]Thescopeofservicesincludes,butisnotlimitedto,thefollowing:b.IdentifyingpotentialmarketopportunitiesandrisksforCompanyA’sproducts/services;d.Deliveringperiodicupdatesonmarketdevelopmentsandchanges;e.Anyotherservicesasmutuallyagreedupontheparties.2.DeliveryofServicesCompanyBagreestodeliverthemarketresearchserviceswithinthefollowingtimelines:[Specifythetimelinesforeachservicedeliverable]3.FeesandPaymentThetotalfeeforthemarketresearchservicesfortheServicePeriodis[inserttotalfeeamount].Paymentshallbemadeinthefollowinginstallments:[Specifythenumberofinstallmentsandthepaymentschedule]Allpaymentsshallbemade[specifypaymentmethod,e.g.,banktransfer,check].4.ConfidentialityBothpartiesagreetomaintaintheconfidentialityofallinformationdisclosedtothemtheotherparty,includingbutnotlimitedtomarketresearchdata,businessstrategies,andproprietaryinformation.TheconfidentialityobligationsshallsurvivetheterminationorexpirationofthisAgreement.5.TerminationThisAgreementmaybeterminatedeitherpartyuponwrittennoticetotheotherparty,providedthatsuchnoticeisgivenatleast[insertnoticeperiod,e.g.,30days]priortotheeffectivedateoftermination.[Specifyanyconditionsunderwhichterminationmayoccur]6.GoverningLawandDisputeResolutionThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[specifyjurisdiction].AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthrough[specifydisputeresolutionmethod,e.g.,mediation,arbitration,litigation].PARTIII:GENERALPROVISIONS7.EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterhereof.8.AmendmentsAnyamendmenttothisAgreementshallbeeffectiveonlyifitisinwritingandsignedbothparties.9.AssignmentThisAgreementmaynotbeassignedeitherpartywithoutthepriorwrittenconsentoftheotherparty.10.WaiverThefailureofeitherpartytoenforceanyprovisionofthisAgreementshallnotbedeemedawaiverofsuchprovisionnoroftherightofsuchpartytoenforcesuchprovision.ThisAgreementisexecutedintwocopies,eachpartyretainingonecopyasevidenceofitsexecution.INWITNESSWHEREOF,thepartiesheretohaveexecutedthisAgreementasofthedatefirstabovewritten.[CompanyA]By:___________________________Name:Title:[CompanyB]By:___________________________Name:Title:第二部分：第三方介入后的修正1.IntroductiontoThirdPartyInvolvementForthepurposeofthisAgreement,“ThirdParty”referstoanyentityorindividualthatisnotapartytothisAgreementbutisengagedeitherCompanyAorCompanyBtoassistintheperformanceoftheservicesunderthisAgreement.Thismayinclude,butisnotlimitedto,researchfirms,dataproviders,consultants,orintermediaries.2.ThirdPartySelectionandApprovalCompanyAandCompanyBmayengageThirdPartiestoassistintheperformanceoftheirobligationsunderthisAgreement.AnyThirdPartyengagedeitherpartymustbeapprovedinwritingtheotherpartypriortotheirengagement.3.ThirdPartyResponsibilitiesandLimitations3.1.ResponsibilitiesTheThirdPartyshallperformtheservicesasagreeduponCompanyAandCompanyB,andsuchservicesshallbeconsistentwiththescopeofservicesoutlinedinthisAgreement.3.2.LimitationsTheThirdPartyshallberesponsibleforthequalityandaccuracyoftheservicesprovided,butshallnotbeliableforanydamagesorlossesincurredCompanyAorCompanyBasaresultofsuchservices,exceptwheresuchdamagesorlossesaredirectlycausedthenegligenceorwillfulmisconductoftheThirdParty.4.IndemnificationCompanyAandCompanyBshallindemnifytheotherpartyagainstanyclaims,damages,orlossesarisingoutoforinconnectionwiththeservicesprovidedtheThirdParty,totheextentsuchclaims,damages,orlossesarenotcausedthenegligenceorwillfulmisconductoftheindemnifyingparty.5.ThirdPartyLimitationofLiability5.1.GeneralLimitationTheliabilityoftheThirdPartyunderthisAgreementshallbelimitedtothefeespaidCompanyAorCompanyBtotheThirdPartyfortheservicesprovided.5.2.SpecificLimitationNotwithstandingthegenerallimitationsetforthinSection5.1,theliabilityoftheThirdPartyshallnotexceed[insertspecificmonetaryamount]foranysingleincidentorseriesofrelatedincidents.6.ThirdPartyInformation6.1.ConfidentialityTheThirdPartyagreestomaintaintheconfidentialityofallinformationdisclosedtoitCompanyAorCompanyB,includingbutnotlimitedtomarketresearchdata,businessstrategies,andproprietaryinformation.TheconfidentialityobligationsshallsurvivetheterminationorexpirationofthisAgreement.6.2.UseofInformationTheThirdPartyshallusetheinformationprovidedCom
