第二条质量要求

Article2:QualityRequirements

2.1甲方保证所提供的产品符合国家质量标准GB/T________-________，并满足乙方提出的特定要求。

第三条包装要求

3.2包装费用由甲方承担，除非双方另有约定。

第四条运输与交付

Article4:TransportationandDelivery

4.1甲方负责将产品运输至双方约定的交货地点，并承担运输过程中的风险。

4.2交货时，甲方应提供货物清单和相关质量证明文件。

第五条付款方式

第六条违约责任

Article6:LiabilityforBreachofContract

第七条不可抗力

Article7:ForceMajeure

7.1由于不可抗力导致任何一方无法履行合同义务时，该方应立即通知对方，并在合理期限内提供相关证明。

Ifanypartyisunabletoperformitscontractualobligationsduetoforcemajeure,itshallimmediatelynotifytheotherpartyandproviderelevantproofwithinareasonableperiod.

7.2双方应尽快协商解决因不可抗力导致的合同履行问题。

Bothpartiesshallnegotiateassoonaspossibletoresolvetheissuesarisingfromtheperformanceofthecontractduetoforcemajeure.

第八条争议解决

Article8:DisputeResolution

8.1双方因履行本合同所发生的任何争议，应首先通过友好协商解决。

Anydisputesarisingfromtheperformanceofthiscontractbybothpartiesshouldfirstberesolvedthroughfriendlynegotiations.

8.2如果协商不成，任何一方均可向甲方所在地人民法院提起诉讼。

Ifthenegotiationfails,eitherpartymayfilealawsuitwiththePeople'sCourtatthelocationofPartyA.

第九条合同变更和解除

Article9:ContractModificationandTermination

9.1任何对本合同的修改和补充均需双方书面同意。

Anymodificationandsupplementtothiscontractshallrequirethewrittenconsentofbothparties.

9.2如一方严重违约，另一方有权解除合同，并要求违约方承担相应的违约责任。

Ifonepartyseriouslybreachesthecontract,theotherpartyhastherighttoterminatethecontractanddemandthebreachingpartytobearthecorrespondingliabilityforbreachofcontract.

第十条其他

Article10:Miscellaneous

10.1本合同自双方授权代表签字盖章之日起生效。

Thiscontractshallcomeintoeffectfromthedatewhenitissignedandsealedbytheauthorizedrepresentativesofbothparties.

10.2本合同一式两份，甲乙双方各执一份，具有同等法律效力。

Thiscontractismadeintwocopies,oneforeachparty,andbothhavethesamelegaleffect.

10.3本合同的解释、补充、修改均以书面形式进行。

Theinterpretation,supplement,andmodificationofthiscontractshallbecarriedoutinwrittenform.
