合同编号:partiesthisagreement(hereinafterreferredtoas"thisagreement")ismadeandenteredintoonthedatefirstabovewrittenandbetween:landlord:(hereinafterreferredtoas"landlord")tenant:(hereinafterreferredtoas"tenant")referredtoindividuallyasa"party"andcollectivelyasthe"parties".Whereas,thelandlordistheownerofthatcertnrealpropertylocatedat:(hereinafterreferredtoasthe"premises");andWhereas,thetenantdesirestoleasethepremisesfromthelandlord;Now,therefore,inconsiderationofthemutualcovenantsandagreementscontnedherein,thepartiesagreeasfollows:leaseofpremises1.lease.thelandlordhereleasestothetenantandthetenanthereleasesfromthelandlordthepremises,subjecttothetermsandconditionsofthisagreement.2.term.thetermofthislease(hereinafterreferredtoasthe"term")shallmenceonthedatefirstabovewritten(the"mencementdate")andshallcontinueforaperiodofyears,unlessearlierterminatedasprovidedinthisagreement.3.rent.tenantshallpaytolandlordthefollowingrentduringthetermofthislease:(a)baserent.themonthlybaserentforthepremisesshallbeunitedstatesdollars($),payableinadvanceonthefirstdayofeachmonththroughoutthetermofthislease.(b)additionalrent.tenantshallalsopaytolandlord,asadditionalrent,anyamountsdueandowingunderthisagreementwhicharenotspecificallyidentifiedasbaserent,including,withoutlimitation,monareamntenancecharges,realestatetaxes,utilitiesandotherchargesasprovidedinthisagreement.4.paymentofrent.allrentpaymentsdueunderthisagreementshallbepdtolandlordatthefollowingaddress:orsuchotheraddressasthelandlordmaydesignateinwriting.5.securitydeposit.upontheexecutionofthisagreement,tenantshalldepositwithlandlordasecuritydepositintheamountofunitedstatesdollars($)assecurityfortheperformanceoftenant'sobligationsunderthisagreement.6.useofpremises.tenantshallusethepremisesforthefollowingpurpose:(the"leaseduse").tenantshallnotusethepremisesforanypurposethatisillegalorprohibitedthisagreement.7.reprsandmntenance.tenantshallberesponsibleforthemntenanceandreprofthepremises,including,withoutlimitation,theinteriorofthepremisesandtheexclusiveareasofthepremises.landlordshallberesponsibleforthemntenanceandreprofthemonareasofthepremises.8.insurance.tenantshallobtnandmntn,attenant'ssolecostandexpense,thefollowinginsurance:(a)mercialgeneralliabilityinsuranceinanamountnotlessthanmillionunitedstatesdollars($million),naminglandlordasanadditionalinsured;(b)propertyinsuranceinanamountnotlessthanthefullreplacementvalueofthepremises;and(c)anyotherinsurancerequiredthisagreementorlaw.9.indemnification.tenantshallindemnifyandholdharmlesslandlordfromandagnstanyandallclms,demands,suits,actions,judgments,damages,liabilities,costsandexpenses(including,withoutlimitation,reasonableattorneys'fees)arisingoutoforinanywayconnectedwithtenant'suseoroccupancyofthepremises,excepttotheextentcausedthenegligenceorwillfulmisconductoflandlord.10.termination.thisagreementmaybeterminatedeitherpartyuponwrittennoticetotheotherpartyasfollows:(a)tenant.tenantmayterminatethisagreementuponwrittennoticetolandlordif:(i)landlordflstoperformanymaterialobligationunderthisagreementandsuchflurecontinuesforaperiodofdaysafterwrittennoticethereoffromtenant;or(ii)acourtorotherpublicauthoritytakesanyactionwhichmateriallyandadverselyaffectstenant'suseoroccupancyofthepremisesandsuchactioncontinuesforaperiodofdaysafterwrittennoticethereoffromtenant.(b)landlord.landlordmayterminatethisagreementuponwrittennoticetotenantif:(i)tenantflstopayrentoradditionalrentwhendueandsuchflurecontinuesforaperiodofdaysafterwrittennoticethereoffromlandlord;or(ii)tenantflstoperformanyothermaterialobligationunderthisagreementandsuchflurecontinuesforaperiodofdaysafterwrittennoticethereoffromlandlord.11.default.ifeitherpartydefaultsintheperformanceofanymaterialobligation注意事项:1.双方应仔细阅读并理解本合同的每一条款,确保对合同内容有全面的了解。2.双方应确保所提供的信息真实、准确、完整,不得有任何虚假陈述。3.双方应按照合同约定履行各自的权利和义务,不得擅自变更合同内容。4.双方应遵守国家的法律法规,不得利用合同从事任何非法活动。5.合同的修改和解除必须经双方协商一致,并书面确认。6.双方应妥善保管合同副本,并确保合同内容的保密性。7.在履行合同过程中,如发生纠纷,双方应通过友好协商解决;协商不成的,可依法向合同签订地的人民法院提起诉讼。法律名词及名词解释:1.出租方(Landlord):指拥有物业并将其出租给他人的一方。2.承租方(Tenant):指租赁物业并支付租金的一方。3.租赁期限(Term):指租赁合同的有效期限,通常以年为单位。4.租金(Rent):承租方支付给出租方的费用,以使用和占用物业。5.附加租金(AdditionalRent):除基本租金外,承租方根据合同约定支付给出租方的其他费用。6.securitydeposit:承租方为保证履行合同义务,支付给出租方的押金。7.物业(Premises):指租赁合同中约定的租赁物。8.商业综合责任保险(CommercialGeneralLiabilityInsurance):为企业提供保障,以防因疏忽或意外事件导致的第三方损害赔偿。9.财产保险(PropertyInsurance):为保障物业免受损失或损害而购买的保险。10.赔偿(Indemnification):承租方对出租方因租赁行为而产生的损失或损害进行补偿的义务。11.违约(Default):指合同一方未履行合同约定的义务。12.友好协商(AmicableNegotiation):双方在发生纠纷时,通过友好对话和协商解决争议的方式。13.诉
