2024年水果品牌代理合同本合同目录一览第一条:代理产品及范围1.1产品种类1.2产品质量标准1.3产品供应数量第二条:代理期限2.1代理起始日期2.2代理终止日期第三条:代理权限3.1销售区域3.2定价权3.3广告宣传权第四条:代理费用4.1代理费用金额4.2费用支付方式4.3费用支付时间第五条:销售业绩与奖励5.1销售目标5.2奖励政策5.3业绩评估方式第六条:售后服务6.1退换货政策6.2售后服务承诺6.3投诉处理机制第七条:知识产权保护7.1商标使用权7.2专利权保护7.3著作权保护第八条:保密条款8.1保密内容8.2保密期限8.3违约责任第九条:违约责任9.1代理商违约9.2品牌方违约9.3违约赔偿方式第十条:争议解决10.1争议解决方式10.2仲裁机构10.3适用法律第十一条:合同的修改与终止11.1合同修改条件11.2合同终止条件11.3合同终止后的权利义务处理第十二条:合同的生效12.1合同签署日期12.2合同生效条件第十三条:其他条款13.1信息保密13.2合作推广13.3附则第十四条:双方签字盖章14.1代理商签字14.2品牌方签字14.3签字日期第一部分:合同如下:第一条:代理产品及范围1.1产品种类代理商shallactasanexclusiveagentfortheBrandinrespectofthesaleofFreshFruits(the"Products")asspecifiedintheSchedule.TheProductsshallincludeallvariations,accessories,spareparts,andconsumablesrelatedtheretoasmaybeagreedthePartiesfromtimetotime.1.2产品质量标准1.3产品供应数量TheBrandshallsupplytheProductstothe代理商inaccordancewiththeagreeduponsalesforecastsandpurchaseorders.TheBrandshallusereasonableendeavorstoensurethatthesupplyofProductsmeetstherequirementsofthe代理商butshallnotbeliableforanylossesordamagessufferedthe代理商asaresultofanyfailuretomeetsuchrequirements.第二条:代理期限2.1代理起始日期2.2代理终止日期TheTermshallterminateautomaticallyupontheexpirationofthefiveyearperiod,unlessthePartiesagreeinwritingtoextendtheTermforafurtherperiod.第三条:代理权限3.1销售区域The代理商shallhavetheexclusiverighttoselltheProductswithintheTerritory.TheTerritoryshallbeasspecifiedintheSchedule.3.2定价权The代理商shallhavetherighttosetthepricesfortheProductsintheTerritory,providedthatsuchpricesareconsistentwiththepricingpoliciessetoutintheSchedule.3.3广告宣传权The代理商shallhavetherighttopromoteandadvertisetheProductsintheTerritory,providedthatallmaterialsusedinsuchpromotionandadvertisingarefirstapprovedtheBrand.第四条:代理费用4.1代理费用金额The代理商shallpaytotheBrandanannualagencyfeeintheamountofUSD100,000,payablewithinthirty(30)daysoftheendofeachcalendaryear.4.2费用支付方式TheannualagencyfeeshallbepaidbanktransfertoabankaccountdesignatedtheBrand.4.3费用支付时间Theannualagencyfeeshallbepaidwithinthirty(30)daysoftheendofeachcalendaryear.第五条:销售业绩与奖励5.1销售目标The代理商shallachieveaminimumannualsalestargetofUSD5,000,000,asspecifiedintheSchedule.5.2奖励政策Ifthe代理商exceedstheannualsalestarget,theBrandmay,atitsdiscretion,providethe代理商withabonusorotherincentiveasspecifiedintheSchedule.5.3业绩评估方式TheBrandshallevaluatetheperformanceofthe代理商againsttheannualsalestargetonaquarterlybasis,andprovidethe代理商withawrittenreportonsuchevaluation.第六条:售后服务6.1退换货政策The代理商shallprovideathirty(30)daymoneybackguaranteefortheProducts,inaccordancewiththetermssetoutintheSchedule.6.2售后服务承诺The代理商shallprovidepromptandefficientaftersalesservicetocustomersintheTerritory,includingbutnotlimitedtoproductrepairs,sparepartssupply,andtechnicalsupport.6.3投诉处理机制第八条:知识产权保护8.1商标使用权The代理商shallhavetherighttousetheBrand'strademarks,tradenames,andlogos(the"Marks")inconnectionwiththepromotionandadvertisingoftheProductsintheTerritory,subjecttotheBrand'sapproval,assetoutinclause3.3.8.2专利权保护TheBrandshallensurethatithasallnecessarypatentsandpatentapplicationsinplacetoprotecttheProductsfromunauthorizedcopying,use,orsale.TheBrandshallindemnifythe代理商againstanylossesordamagessufferedthe代理商asaresultofanyclaimthattheProductsinfringethepatentrightsofathirdparty.8.3著作权保护TheBrandshallretainallright,,andinterestinandtoallcopyrightworksandmaterialsassociatedwiththeProducts,includingbutnotlimitedtopackagingdesigns,promotionalmaterials,andtechnicaldocumentation.The代理商shallnotcopy,distribute,oruseanyofthesematerialswithouttheBrand'spriorwrittenconsent.第九条:保密条款9.1保密内容BothPartiesshallkeepconfidentialallConfidentialInformation(asdefinedinclause9.2)receivedfromtheotherPartyinconnectionwiththisAgreement.9.2保密期限9.3违约责任IfeitherPartybreachesclause9.1or9.2,theotherPartyshallbeendtoseekinjunctiverelieftopreventfurtherbreachesandtoclaimdamagesforanylossesordamagessufferedasaresultofthebreach.第十条:争议解决10.1争议解决方式AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedarbitrationinaccordancewiththerulesoftheInternationalChamberofCommerce(ICC).10.2仲裁机构Thearbitrationshallbeconductedin[Location],andthelanguageofthearbitrationshallbeEnglish.10.3适用法律ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[Jurisdiction].第十一条:合同的修改与终止11.1合同修改条件ThisAgreementmaybeamendedormodifiedonlyawritteninstrumentexecutedbothParties.11.2合同终止条件EitherPartymayterminatethisAgreementgivingwrittennoticetotheotherPartyiftheotherPartybreachesamaterialtermofthisAgreementandfailstocuresuchbreachwithinthirty(30)daysafterreceiptofwrittennoticespecifyingthebreach.11.3合同终止后的权利义务处理UponterminationofthisAgreement,the代理商shallceaseusingtheMarksandshallreturnallpromotionalmaterials,inventory,andotherpropertyoftheBrandwithinthirty(30)days.TheBrandshallpaytothe代理商alloutstandingamountsdueunderthisAgreementwithinthirty(30)daysaftertermination.第十二条:合同的生效12.1合同签署日期ThisAgreementshallbeeffectiveasofthedatefirstabovewritten.12.2合同生效条件第十三条:其他条款13.1信息保密ThePartiesagreetokeepthetermsandconditionsofthisAgreementconfidentialandnotdisclosethemtoanyunauthorizedthirdparties.13.2合作推广ThePartiesagreetoworktogethertopromotetheProductsintheTerritoryandtoexplorenewmarketingopportunities.13.3附则ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheParties.第十四条:双方签字盖章14.1代理商签字Theundersignedrepresentsandwarrantsthathe/shehasfullauthoritytobindthe代理商tothisAgreement.14.2品牌方签字Theundersignedrepresentsandwarrantsthathe/shehasfullauthoritytobindtheBrandtothisAgreement.14.3签字日期ThePartieshaveexecutedthisAgreementasofthedatefirstabovewritten.第二部分:第三方介入后的修正引入第三方介入的概念和责权利1.第三方概念的界定ForthepurposesofthisAgreement,a"ThirdParty"shallmeananyindividual,entity,ororganizationthatisnotthe代理商ortheBrand,andthatisinvolvedinanywayintheperformanceofthisAgreement,includingbutnotlimitedtosuppliers,customers,andserviceproviders.2.第三方介入的的情形ThePartiesagreethattheremaybecircumstanceswhereaThirdPartyisnecessaryorbeneficialfortheperformanceofthisAgreement,suchaslogisticsproviders,paymentprocessors,orlegaladvisors.Insuchcases,thePartiesmayengageaThirdPartytoperformcertaintasksorservices.3.第三方责任限额AThirdPartyshallberesponsiblefortheirownactionsandomissionsintheperformanceoftheirtasksorservices,andshallnotbeliableforanydamagesorlossescausedtheactionsoromissionsoftheotherPartyoranyotherThirdParty.ThePartiesshallnotholdtheThirdPartyliableforanybreachofthisAgreementorforanyfailuretoperformtheirtasksorservices,unlesssuchbreachorfailureisdirectlycausedthenegligenceorwillfulmisconductoftheThirdParty.4.第三方权益的界定AThirdPartyshallhavenorightsorinterestsunderthisAgreement,unlessexplicitlystatedotherwiseinwriting.ThePartiesagreethatanybenefitsorpaymentsduetoaThirdPartyshallbepaiddirectlythePartiestotheThirdParty,andthattheThirdPartyshallhavenorecourseagainsttheotherPartyforsuchbenefitsorpayments.增加的额外条款及说明5.第三方选择与审批6.第三方协调与沟通ThePartiesagreetopromptlyandfullyinformtheotherPartyofanyengagementofaThirdParty,andtoprovidetheotherPartywithallnecessaryandrelevantinformationabouttheThirdParty,includingbutnotlimitedtotheThirdParty'sidentity,contactinformation,andthenatureandscopeofthetasksorservicestobeperformed.7.第三方违约处理IntheeventofabreachofthisAgreementaThirdParty,thePartiesagreetotakeallnecessaryandreasonablestepstomitigatetheeffectsofsuchbreachandtoenforcethetermsandconditionsofthisAgreementagainsttheThirdParty.ThePartiesshallnotbeliableforanydamagesorlossescausedaThirdParty'sbreachofthisAgreement,unlesssuchbreachisdirectlycausedthenegligenceorwillfulmisconductoftheParties.8.第三方赔偿责任IfaThirdPartycausesanydamagesorlossestotheotherPartyoranyotherThirdPartyintheperformanceoftheirtasksorservices,thePartiesagreethattheThirdPartyshallbesolelyresponsibleforsuchdamagesorlosses.ThePartiesshallnotbeliableforanydamagesorlossescausedaThirdParty,unlesssuchdamagesorlossesaredirectlycausedthenegligenceorwillfulmisconductoftheParties.9.第三方退出与替代IntheeventthataThirdPartyisunableorunwillingtoperformtheirtasksorservices,thePartiesagreetopromptlyreplaceorsubstitutesuchThirdPartywithanotherqualifiedThirdParty,subjecttotheapprovaloftheotherParty.10.第三方保密义务AThirdPartyshallbeboundthesameobligationsofconfidentialityasthePartiesunderthisAgreement,andshallnotdiscloseanyConfidentialInformationtoanyunauthorizedthirdparties.ThePartiesagreetopromptlynotifytheotherPartyifaThirdPartybreachesitsconfidentialityobligations.11.第三方合规与合法性12.第三方保险与保障ThePartiesagreethatanyThirdPartyengagedunderthisAgreementmustmaintainappropriateinsurancecoverage,includingbutnotlimitedtoprofessionalliabilityinsurance,andmustprovideevidenceofsuchinsuranceuponrequest.ThePartiesshallnotbeliableforanydamagesorlossescausedaThirdParty'sfailuretomaintainadequateinsurancecoverage.根据本合同明确第三方的责任限额13.第三方责任限制ThePartiesagreethatthetotalcumulativeliabilityofallThirdPartiesunderthisAgreementshallnotexceedanamountequaltothetotalpaymentsmadethePartiestosuchThirdPartiesunderthisAgreement.ThePartiesshallnotbeliableforanydamagesorlossescausedaThirdParty,unlesssuchdamagesorlossesare第三部分:其他补充性说明和解释说明一:附件列表:1.产品种类及质量标准附件1:详细列出所有代理产品种类、规格、型号、产地等信息,以及产品质量标准的具体要求。2.销售区域划分附件2:地图或图表形式详细标注代理商的销售区域,包括具体的省、市、县等行政单位划分。3.代理费用明
