TEXTILEFABRICSALESCONTRACT

THISAGREEMENTismadeandenteredintothis__________dayof__________,20______,byandbetween:

ABCCorporation,acorporationorganizedandexistingunderthelawsoftheStateof__________,withitsprincipalofficeat__________(hereinafterreferredtoas"Seller"),and

DEFEnterprises,acorporationorganizedandexistingunderthelawsoftheStateof__________,withitsprincipalofficeat__________(hereinafterreferredtoas"Buyer").

WHEREAS,Sellerisengagedinthebusinessofmanufacturingandsellingtextilefabrics;and

WHEREAS,BuyerdesirestopurchasecertaintextilefabricsfromSellerforitsbusinessoperations;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereincontained,thepartiesheretoagreeasfollows:

1.SaleandPurchaseofGoods:

-SelleragreestosellandBuyeragreestopurchasethefollowingtextilefabrics(the"Goods")asspecifiedinScheduleAattachedheretoandmadeapartofthisAgreement.

2.PriceandPaymentTerms:

-ThepricefortheGoodsshallbeasspecifiedinScheduleA.Paymenttermsare__________net__________daysfromthedateofinvoice.

3.Delivery:

-DeliveryoftheGoodsshallbemadeinaccordancewiththetermsspecifiedinScheduleA.Timeisoftheessencewithrespecttodelivery.

4.QualityandSpecifications:

-TheGoodsshallconformtothequalityandspecificationssetforthinScheduleA.SellerwarrantsthattheGoodsarefreefromdefectsinmaterialandworkmanshipandarefitforthepurposeforwhichtheyareintended.

5.InspectionandAcceptance:

-BuyershallinspecttheGoodswithin__________daysafterdeliveryandshallnotifySellerinwritingofanynon-conformitywithin__________daysafterdiscovery.

6.WarrantyandRemedies:

-SellerwarrantsthattheGoodswillbedeliveredinaccordancewiththetermsofthisAgreement.Intheeventofbreachofwarranty,Buyer'ssoleremedyshallbe,atSeller'soption,repairorreplacementofthenon-conformingGoods,orrefundofthepurchaseprice.

7.ForceMajeure:

-Neitherpartyshallbeliableforanyfailureordelayinperformancehereunderduetocausesbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,strike,riot,crime,oraneventthatisnotreasonablyforeseeable.

8.Confidentiality:

-Eachpartyagreestotreatallinformationreceivedfromtheotherpartyasconfidentialandnottodisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingparty.

9.GoverningLaw:

-ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof__________.

10.DisputeResolution:

-AnydisputearisingoutoforrelatedtothisAgreementshallberesolvedthroughmediationand,ifnecessary,arbitrationinaccordancewiththerulesoftheAmericanArbitrationAssociation.

11.EntireAgreement:

-ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallpriornegotiations,understandings,andagreements,whetherwrittenororal.

12.Severability:

-IfanyprovisionofthisAgreementisheldtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.

INWITNESSWHEREOF,thepartiesheretohavecausedthisAgreementtobeexecutedasofthedayandyearfirstabovewritten.
