NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:
1.ScopeofContract:ThisContractshallgovernthesaleandpurchaseoftheGoodsasspecifiedherein,includingbutnotlimitedtothequality,quantity,price,delivery,andpaymentterms.
2.DescriptionofGoods:TheGoodstobesoldandpurchasedunderthisContractshallbe[briefdescriptionoftheGoods,e.g.,“steelbeams”],withspecificationsasfollows:

5.QualityGuarantee:TheSellerwarrantsthattheGoodsshallconformtothespecificationsandqualityagreeduponinthisContract.IntheeventthattheGoodsfailtomeettheagreedspecificationsandquality,theSellershall,atitssolediscretion,eitherreplacethedefectiveGoodsorrefundthecorrespondingamounttotheBuyer.
6.LiabilityandIndemnity:TheSellershallbeliableforanyloss,damage,orinjurycausedbytheGoodstotheBuyeroranythirdparty.TheBuyershallindemnifytheSelleragainstanyliability,loss,damage,orexpenseincurredbytheSellerinconnectionwiththeGoods.
7.GoverningLawandDisputeResolution:ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[specifythegoverninglaw,e.g.,“thelawsoftheUnitedStatesofAmerica”].AnydisputesarisingfromorinconnectionwiththisContractshallbesettledthroughamicablenegotiation.Ifthepartiesfailtoreachanamicablesolutionwithinareasonableperiod,thedisputesshallbesubmittedto[specifythecompetentcourtorarbitrationinstitution]forarbitrationorlitigation.

9.Amendments:AnyamendmentormodificationofthisContractshallbeeffectiveonlyifitisinwritingandsignedbybothparties.

7.Principal’sRightsandInterests:
a.ThePrincipalshallhavetherighttoterminatethisContractintheeventofamaterialbreachbytheSellerortheThirdParty.
b.ThePrincipalshallhavetherighttorequestandreceiveperiodicupdatesonthestatusofthetransactionfromtheThirdParty.
c.ThePrincipalshallhavetherighttoinspecttheGoodsbeforeorafterdeliverytoensurecompliancewiththeagreedspecifications.
8.Seller’sObligations:
a.TheSellershalldelivertheGoodstothePrincipalinaccordancewiththetermsandconditionssetforthinthisContract.
b.TheSellershallprovidethePrincipalwithallnecessarydocumentationandinformationrelatedtothetransaction.
c.TheSellershallcomplywithallapplicablelawsandregulationsinconnectionwiththesaleanddeliveryoftheGoods.
9.Seller’sLimitationsandCovenants:
a.TheSellershallnotbeliableforanyloss,damage,orinjurycausedbytheGoodstothePrincipaloranythirdparty.
b.TheSellershallindemnifythePrincipalagainstanyliability,loss,damage,orexpenseincurredbythePrincipalinconnectionwiththeGoods.
c.TheSellershallnotmakeanyrepresentationsorwarrantiesbeyondthoseexplicitlystatedinthisContract.
10.GoverningLawandDisputeResolution:ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[specifythegoverninglaw,e.g.,“thelawsoftheUnitedStatesofAmerica”].AnydisputesarisingfromorinconnectionwiththisContractshallbesettledthroughamicablenegotiation.Ifthepartiesfailtoreachanamicablesolutionwithinareasonableperiod,thedisputesshallbesubmittedto[specifythecompetentcourtorarbitrationinstitution]forarbitrationorlitigation.

12.Amendments:AnyamendmentormodificationofthisContractshallbeeffectiveonlyifitisinwritingandsignedbyallparties.
