efailuretoperformordelayinperformanceofanyofitsobligationsunderthiscontractduetoforcemajeureeventsbeyondtheirreasonablecontrol,includingbutnotlimited第二部分：第三方介入后的修正第一条第三方概念界定1.1第三方定义Forthepurposesofthiscontract,a"ThirdParty"referstoanyindividual,entity,ororganizationthatisnottheDesignPartyortheConstructionParty,butisinvolvedintheperformanceorfulfillmentofthecontract.1.2第三方类型TheThirdPartymayinclude,butisnotlimitedto,consultants,subcontractors,suppliers,andregulatoryauthorities.第二条第三方责任与义务2.1第三方责任TheThirdPartyshallberesponsiblefortheperformanceoftheirobligationsunderthecontractandshallensurethattheiractionsdonotcauseanydamageorlosstotheDesignPartyortheConstructionParty.2.2第三方义务第三条第三方权益保护3.1第三方权益TheThirdPartyshallhavetherighttoreceivepaymentfortheservicesrenderedorgoodsprovidedinaccordancewiththetermsandconditionsspecifiedinthecontract.3.2第三方权益保障TheDesignPartyandtheConstructionPartyshallensurethattheThirdParty'srightsandinterestsareprotected,andshallnotundertakeanyactionsthatmayadverselyaffecttheThirdParty'sperformanceunderthecontract.第四条第三方介入后的合同变更4.1第三方介入条件IntheeventthataThirdPartyisrequiredtobeinvolvedintheperformanceofthecontract,theDesignPartyandtheConstructionPartyshallagreeonthetermsandconditionsofsuchinvolvement,includingbutnotlimitedto,thescopeofwork,paymentterms,andperformancestandards.4.2第三方介入程序TheDesignPartyandtheConstructionPartyshallenterintoaseparateagreementwiththeThirdParty,whichshallbesubjecttothetermsandconditionsofthiscontract.Theseparateagreementshallbeprovidedtotheotherpartyforinformationpurposes.第五条第三方责任限额5.1第三方责任限额定义The"ThirdPartyLiabilityLimit"referstothemaximumamountofliabilitythataThirdPartyshallberesponsibleforintheeventofabreachofcontractornegligence.5.2第三方责任限额确定TheThirdPartyLiabilityLimitshallbespecifiedinthecontractandshallbeasumthatisreasonableandappropriategiventhenatureandscopeoftheThirdParty'sobligationsunderthecontract.5.3第三方责任限额调整TheThirdPartyLiabilityLimitmaybeadjustedmutualagreementoftheDesignPartyandtheConstructionParty,uponwrittennoticetotheotherparty.第六条第三方违约处理6.1第三方违约IntheeventofabreachofcontractaThirdParty,theDesignPartyandtheConstructionPartyshalltakeappropriateactionstomitigateanylossesresultingfromsuchbreach.6.2第三方违约责任转移TheDesignPartyandtheConstructionPartyshallnotbeliableforanylossescausedaThirdParty'sbreachofcontract,unlesssuchbreachwasdirectlycausedtheDesignPartyortheConstructionParty'snegligenceordefault.第七条第三方争议解决7.1第三方争议解决IntheeventofanydisputesarisingoutoforinconnectionwiththeperformanceofthecontractaThirdParty,theDesignPartyandtheConstructionPartyshallusetheirbesteffortstoresolvethedisputeamicably.7.2第三方争议解决途径IftheDesignPartyandtheConstructionPartyareunabletoresolvethedisputeamicably,theymayagreetosubmitthedisputetoarbitrationorlitigation,asspecifiedinthecontract.7.3第三方争议决定效力ThedecisionofthearbitrationorlitigationshallbefinalandbindingupontheDesignParty,theConstructionParty,andtheThirdParty.第八条第三方退出8.1第三方退出条件AThirdPartymayterminatetheirinvolvementinthecontractupontheoccurrenceofanyoftheeventsofterminationasspecifiedinthecontract,oruponmutualagreementoftheDesignPartyandtheConstructionParty.8.2第三方退出程序TheDesignPartyandtheConstructionPartyshallnegotiatewiththeThirdPartytodeterminethetermsandconditionsofthetermination,includingbutnotlimitedto,thepaymentofoutstandingamountsandthetransferofresponsibilities.第九条第三方与合同各方的关系9.1第三方与设计方关系TheThirdPartyshallhavenodirectcon
