6.Warranties
SellerwarrantsthattheGoodsshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[WarrantyPeriod]fromthedateofdelivery.IfanydefectoccursduringtheWarrantyPeriod,Sellershall,atitssolediscretion,repair,replace,orrefundthepurchasepriceofthedefectiveGoods.
7.LimitationofLiability
Seller'sliabilityunderthisAgreementshallbelimitedtothereplacementorrefundofthepurchasepriceofthedefectiveGoods,andSellershallnotbeliableforanyindirect,special,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththesaleoftheGoods.
8.GoverningLaw
ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
9.EntireAgreement
ThisAgreementconstitutestheentireagreementbetweenthepartiesheretoandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,betweenthepartiesinrelationtothesubjectmatterofthisAgreement.
10.Modifications

6.ThirdParty'sRoleandObligations
6.1ThirdPartyshallactastheexclusivedistributorfortheGoodsinthedesignatedterritoryandshallberesponsibleformarketing,selling,anddistributingtheGoodswithinthatterritory.
6.2ThirdPartyshallensurethattheGoodsaresoldatfairandreasonablepricesandthatthemarketinganddistributionstrategiesareincompliancewithapplicablelawsandregulations.
6.3ThirdPartyshallprovideBuyerwithregularreportsonsales,inventorylevels,andcustomerfeedback.
7.Seller'sRightsandObligations
7.1SellershallprovideThirdPartywithtechnicalsupportandmarketingmaterialsnecessaryforthedistributionoftheGoods.
7.2SellershallensurethattheGoodsmeetthequalitystandardsandspecificationsoutlinedinExhibitA.
7.3SellershallhavetherighttoterminatethisAgreementwithimmediateeffectifThirdPartyfailstomeetitsobligationsunderSection6.1or6.2.
8.Buyer'sRightsandObligations
8.1BuyershallhavetherighttoapproveanychangesinthemarketingordistributionstrategiesproposedbyThirdParty.
8.2BuyershallhavetherighttorequestThirdPartytoprovideadditionalmarketingorpromotionalsupportfortheGoods.
8.3BuyershallhavetherighttoterminatethisAgreementwithimmediateeffectifSellerfailstomeetitsobligationsunderSection7.2.
9.TerminationandConsequences
9.1EitherpartymayterminatethisAgreementuponthirty(30)days'writtennoticetotheotherpartyiftheotherpartyfailstoperformitsobligationsunderthisAgreement.
9.2Upontermination,thepartiesshallsettleanyoutstandingpaymentsanddeliveries,andtherightsandobligationsofthepartiesshallceaseexceptasotherwiseprovidedinthisAgreement.
10.LimitationofLiability
Seller'sliabilityunderthisAgreementshallbelimitedtothereplacementorrefundofthepurchasepriceofthedefectiveGoods,andSellershallnotbeliableforanyindirect,special,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththesaleoftheGoods.
11.GoverningLaw
ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
12.EntireAgreement

7.Buyer'sRightsandObligations
7.1Buyershallhavetherighttoapprovethefinaldesignoftheapparelbeforeproductioncommences.
7.2Buyershallhavetherighttoreceiveregularupdatesontheproductionprogressanddeliveryschedule.
7.3BuyershallhavetherighttoterminatetheAgreementwithimmediateeffectifSellerfailstomeettheagreed-uponqualitystandardsordeliverytimelines.
8.Seller'sRightsandObligations
8.1SellershallensurethattheGoodsmeetthequalitystandardsandspecificationsoutlinedinExhibitA.
8.2SellershallprovideBuyerwithawarrantyagainstdefectsinmaterialsandworkmanshipforaperiodof[WarrantyPeriod]fromthedateofdelivery.
