6.ForceMajeure
6.1NeitherPartyshallbeliableforanydelayorfailureintheperformanceofitsobligationsundertheContractduetocircumstancesbeyonditsreasonablecontrol,includingbutnotlimitedtonaturaldisasters,war,strike,orgovernmentactions.
7.GoverningLawandDisputeResolution
7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictionspecifiedintheContract.
7.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughamicablenegotiation.IfthePartiesfailtoreachanamicableresolution,thedisputeshallbesubmittedtothecompetentcourtforarbitration.
8.EntireAgreement
ThisContractconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,understandings,orrepresentations,whetherwrittenororal,relatingtothesubjectmatterhereof.
INWITNESSWHEREOF,thePartieshaveexecutedthisContractasoftheEffectiveDate.

6.Buyer'sRightsinCaseofSeller'sDefault
6.1IntheeventoftheSeller'sfailuretodeliverthesamplesorcomplywiththeagreedspecifications,theBuyershallhavetherighttoterminatethisContractwithoutliability.
6.2TheBuyershallbeentitledtoafullrefundofanypaymentsmadetotheSellerortheThirdParty.
6.3TheBuyershallhavetherighttoseeklegalremediesagainsttheSellerortheThirdPartyforanylossesincurredduetotheSeller'sdefault.
7.Seller'sandThirdParty'sLiabilityandIndemnification
7.1TheSellerandtheThirdPartyshallbejointlyandseverallyliableforanybreachesofthisContractbyeitherParty.
7.2TheSellerandtheThirdPartyshallindemnifyandholdtheBuyerharmlessfromandagainstanythird-partyclaims,liabilities,orlossesarisingoutofthesamplessuppliedortheservicesprovided.
8.GoverningLawandDisputeResolution
8.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictionspecifiedintheContract.
8.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughamicablenegotiation.IfthePartiesfailtoreachanamicableresolution,thedisputeshallbesubmittedtothecompetentcourtforarbitration.
9.EntireAgreement

3.Principal'sRightsandObligations

5.2TheThirdPartyshallhavetherighttohireconsultantsorspecialiststoassistinthemanagementoftheproject.
5.3TheThirdPartyshallhavetherighttoreceiveafeeforitsservicesasagreeduponbetweenthePrincipalandtheThirdParty.
6.Principal'sRightsinCaseofContractor'sDefault
6.1IntheeventoftheContractor'sfailuretocomplywiththeagreedspecificationsortimelines,thePrincipalshallhavetherighttoterminatethisContractwithoutliability.
6.2ThePrincipalshallbeentitledtoafullrefundofanypaymentsmadetotheContractorortheThirdParty.
6.3ThePrincipalshallhavetherighttoseeklegalremediesagainsttheContractorortheThirdPartyforanylossesincurredduetotheContractor'sdefault.
7.Contractor'sandThirdParty'sLiabilityandIndemnification
