2.PriceandPayment

4.2PartyBfurtherwarrantsthattheclothingitemsshallbefreefromanyintellectualpropertyrightsinfringement.

5.LiabilityandIndemnity

5.1PartyBshallbeliableforanydefectsornon-complianceoftheclothingitemswiththespecificationssetforthintheattachedProductList(Attachment1).

5.2PartyAshallindemnifyandholdharmlessPartyBagainstanyclaims,liabilities,losses,damages,orexpensesarisingoutoforinconnectionwiththeuseoftheclothingitems.

6.GoverningLawandDisputeResolution

6.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
