5.Confidentiality

5.1ThePartiesagreethatallConfidentialInformationshallbekeptconfidentialandnotdisclosedtoanythirdpartywithoutthepriorwrittenconsentoftheotherParty.

5.2"ConfidentialInformation"shallmeananyandallnon-publicinformation,includingbutnotlimitedtotechnical,commercial,financial,andbusinessinformation,disclosedbyeitherPartytotheotherPartyinconnectionwiththisAgreement.

6.Indemnification

6.1ThePrincipalshallindemnifyandholdtheAgentharmlessfromandagainstanyandallclaims,liabilities,losses,damages,andexpenses(includingreasonablelegalfees)arisingoutoforresultingfromthePrincipal'sbreachofthisAgreementorthePrincipal'suseoftheServices.

6.2TheAgentshallindemnifyandholdthePrincipalharmlessfromandagainstanyandallclaims,liabilities,losses,damages,andexpenses(includingreasonablelegalfees)arisingoutoforresultingfromtheAgent'sbreachofthisAgreementortheAgent'suseoftheServices.

7.LimitationofLiability

7.1INNOEVENTSHALLEITHERPARTYBELIABLETOTHEOTHERPARTYFORINDIRECT,INCIDENTAL,CONSEQUENTIAL,SPECIAL,EXEMPLARY,ORPUNITIVEDAMAGES,INCLUDINGBUTNOTLIMITEDTOLOSTPROFITS,LOSTDATA,OROTHERINTANGIBLELOSSES,ARISINGOUTOFORINCONNECTIONWITHTHISAGREEMENTORTHEUSEOFORINABILITYTOUSETHESERVICES,EVENIFADVISEDOFTHEPOSSIBILITYOFSUCHDAMAGES.

8.GoverningLawandJurisdiction
