Article3：MortgageDocument

3.1ThePartiesshallexecuteanddeliveraMortgageDocumentinaformreasonablysatisfactorytoPartyB,whichshallevidencetheMortgageandshallinclude,withoutlimitation,thefollowingtermsandconditions：

(b)TheMortgageAmount;

(c)TheinterestrateapplicabletotheMortgage;

Article5：RepresentationsandWarranties

5.1PartyArepresentsandwarrantstoPartyBthatithasgoodandmarketabletitletotheProperty,freeandclearofanyliens,encumbrances,orclaimsexceptfortheMortgage.

5.2PartyBrepresentsandwarrantstoPartyAthatithasthelegalcapacitytoenterintothisAgreementandtoperformitsobligationshereunder.

Article6：GoverningLawandDisputeResolution

6.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

(b)TheMortgageAmount;

(c)TheinterestrateapplicabletotheMortgage;

Article4:RoleandObligationsofPartyC

4.1PartyC同意作为第三方保证人，为本次抵押贷款提供额外的安全保障。

4.2在合同有效期内，PartyC应保证对甲方的权益不产生任何不利影响，包括但不限于不侵犯甲方对抵押物的所有权，不干扰甲方正常使用抵押物，不改变抵押物的现状等。

4.3若乙方在还款过程中出现违约情况，PartyC应按照甲方和乙方的要求，采取一切必要的措施，包括但不限于提供额外担保、协调解决纠纷、履行保证责任等，以确保甲方权益不受损害。

4.4PartyC应承担因其违约或过错导致甲方损失的责任，并赔偿甲方因此遭受的一切损失。

Article5:RightsandInterestsofPartyA

5.1AsthelegalowneroftheProperty,PartyAshallretainallrightsandinterestsintheProperty,freeandclearofanyliens,encumbrances,orclaimsexceptfortheMortgage.

5.2PartyAhastherighttocontinuetouse,enjoy,andmanagethePropertyduringthetermoftheMortgage,subjecttotherightsofPartyBundertheMortgage.

5.3IntheeventofdefaultbyPartyB,PartyAshallhavetherighttotakeallnecessaryactionstoprotectitsinterests,includingbutnotlimitedtoforeclosingontheProperty,sellingtheProperty,orenteringintoanewagreementwithPartyBorPartyCtosecurethepaymentoftheMortgage.

Article6:DefaultandRestrictionsofPartyB

6.1PartyBshallbeindefaultifitfailstomakeanypaymentrequiredundertheMortgagewithinthetimeprovidedintheMortgageDocument.

6.2Intheeventofdefault,PartyAmaydeclaretheentireamountoftheMortgagedueandpayable,andPartyAmaytakeallactionsnecessarytoenforceitsrightsundertheMortgage,includingforeclosingontheProperty.

6.3PartyBshallberestrictedfromselling,transferring,orencumberingthePropertywithoutthepriorwrittenconsentofPartyA.

Article7:GoverningLawandDisputeResolution
