购销合同英文版中英文对照合同编号：__________ContractNo.:__________Seller(hereinafterreferredtoasthe"PartyA"):地址：Address:联系方式：ContactInformation:Buyer(hereinafterreferredtoasthe"PartyB"):地址：Address:联系方式：ContactInformation:鉴于甲方愿意向乙方出售商品，乙方愿意购买甲方所出售的商品，双方为明确双方的权利和义务，经友好协商，特订立本合同，以便共同遵守。WherePartyAiswillingtosellGoodstoPartyB,andPartyBiswillingtopurchasetheGoodssoldPartyA,inordertospecifytherightsandobligationsofbothparties,theyhaveenteredintothisContractthroughfriendlyconsultationandshallabideittogether.第一条商品及价格Article1:GoodsandPrices1.1本合同商品的名称、规格、数量、质量等详见附件一。Thename,specifications,quantity,qualityandotherdetailsoftheGoodsinthisContractaredetailedinAttachment1.1.2商品价格详见附件二。ThepricesoftheGoodsaredetailedinAttachment2.第二条交付及运输Article2:DeliveryandTransportation2.1甲方应按本合同规定的期限和数量，将商品运输至乙方指定的地点。PartyAshalltransporttheGoodsinthespecifiedquantityandwithinthetimelimitstipulatedinthisContracttothelocationdesignatedPartyB.2.2运输费用由乙方承担。ThetransportationcostsshallbebornePartyB.第三条支付方式Article3:PaymentMethod3.1乙方应在本合同签订后的30日内，向甲方支付商品的货款。PartyBshallpaythepaymentfortheGoodswithin30daysafterthesigningofthisContract.3.2支付方式为银行转账。Thepaymentmethodisbanktransfer.第四条质量保证Article4:QualityAssurance4.1甲方保证所出售的商品符合国家规定的质量标准。PartyAguaranteesthattheGoodssoldshallmeetthequalitystandardsstipulatedthenationalregulations.4.2如乙方在收到商品后发现质量问题，甲方应在接到乙方通知后的7日内，负责更换或退货。IfPartyBfindsanyqualityissueswiththeGoodsafterreceivingthem,PartyAshallberesponsibleforreplacementorreturnwithin7daysafterreceivingthenoticefromPartyB.第五条售后服务Article5:AftersalesService5.1甲方应在商品出售后提供一年的免费售后服务。PartyAshallprovideoneyearoffreeaftersalesserviceafterthesaleoftheGoods.5.2如乙方在免费售后服务期内遇到问题，甲方应在其工作日及时解决。IfPartyBencountersanyproblemsduringthefreeaftersalesserviceperiod,PartyAshallsolvetheminatimelymannerduringitsworkingdays.第六条违约责任Article6:BreachofContract6.1如甲方未能按本合同规定的时间和数量交付商品，应向乙方支付违约金，违约金为商品总价的5%。IfPartyAfailstodelivertheGoodswithinthetimeandquantitystipulatedinthisContract,itshallpayapenaltyforbreachofcontract,whichshallbe5%ofthetotalpriceoftheGoods.6.2如乙方未能按本合同规定的时间向甲方支付货款，应向甲方支付违约金，违约金为货款的5%。IfPartyBfailstopaythepaymentfortheGoodswithinthetimestipulatedinthisContract,itshallpayapenaltyforbreachofcontract,whichshallbe5%ofthepaymentfortheGoods.第七条争议解决Article7:DisputeResolution7.1对于因本合同所引起的或与本合同有关的任何争议，双方应通过友好协商解决。7.2如协商不成，任何一方均可向合同签订地的人民法院提起诉讼。AnydisputesarisingoutoforinconnectionwiththisContractshallbefirstsettledthroughfriendlynegotiation.7.3诉讼应以本合同为依据，并以中文为诉讼语言。ThelawsuitshallbebasedonthisContract,andtheChineselanguageshallbethelanguageforthelawsuit.第八条其他Article8一、附件列表：1.附件一：商品详细信息商品名称规格参数数量质量标准2.附件二：商品价格表商品名称单价总价二、违约行为及认定：1.甲方违约行为：未能按合同规定的时间和数量交付商品商品质量不符合国家规定标准2.乙方违约行为：未能按合同规定的时间向甲方支付货款三、法律名词及解释：1.购销合同：买卖双方约定买卖商品、服务等的合同。2.违约金：违反合同约定的一方按照约定向另一方支付的金钱。3.售后服务：商品出售后，提供的一系列服务，包括维修、保养、咨询等。四、执行中遇到的问题及解决办法：1.商品交付延误：solution:双方协商延期交付，并根据实际情况调整交货日期
