TheParties,beingdesirousofsupplementingtheMnContractforthepurposesofclarity,efficiency,andbetterfulfillmentoftheirrespectiverightsandobligations,herebyagreeasfollows:

第四条价格与支付条件

第六条违约责任

IntheeventofabreachofthisSupplementaryAgreementbyeitherParty,thebreachingPartyshallbeliableforthefollowingconsequences:

a.FluretoPerform:IfaPartyflstoperformitsobligationsunderthisSupplementaryAgreement,thenon-breachingPartyshallhavetherighttodemandperformanceand,ifthebreachpersists,toclmdamages.

b.LiquidatedDamages:ThePartiesagreethatintheeventofaspecificbreach[specifythetypeofbreach],thebreachingPartyshallpaytothenon-breachingPartyasumof[amount]asliquidateddamages,whichrepresentsagenuinepre-estimateofthelosslikelytobesuffered.

c.Indemnification:ThebreachingPartyshallindemnifyandholdharmlessthenon-breachingPartyagnstanylosses,clms,orexpensesarisingoutofthebreach.

d.LimitationofLiability:TheliabilityofeachPartyforanyclmsarisingoutofthisSupplementaryAgreementshallbelimitedtotheamountpdorpayableundertheAgreement,exceptinthecaseofgrossnegligenceorintentionalmisconduct.

e.Termination:Intheeventofamaterialbreachthatisnotcuredwithin[specifythenoticeperiod],thenon-breachingPartyshallhavetherighttoterminatethisSupplementaryAgreementimmediately.

第七条不可抗力

"ForceMajeure"referstoanyunforeseeable,inevitable,andinsurmountableeventsorcircumstancesbeyondthecontrolofeitherParty,whichpreventaPartyfromfulfillingitsobligationsunderthisSupplementaryAgreement.Sucheventsinclude,butarenotlimitedto,naturaldisasters,actsofwar,terroristattacks,laborstrikes,governmentactions,andanyothereventsthataresimilarlybeyondthecontroloftheParties.TheoccurrenceofaForceMajeureeventshallexempttheaffectedPartyfromliabilityforanynon-performance,delay,orfluretofulfillitsobligationsunderthisAgreement,providedthat:

a.TheaffectedPartypromptlynotifiestheotherPartyoftheexistenceandnatureoftheForceMajeureevent,andprovidesreasonableevidencethereof.

b.TheaffectedPartyusesreasonableeffortstomitigatetheeffectsoftheForceMajeureeventandtoresumeperformanceofitsobligationsassoonasreasonablypossible.

c.TheForceMajeureeventcontinuesforaperiodofmorethan[specifytheduration]consecutivedays,afterwhichthenon-affectedPartymayhavetherighttoterminatethisSupplementaryAgreement.

ThePartiesagreethattheexclusionofliabilityforForceMajeureeventsshallnotapplytothepaymentofsumsalreadydueortoanyobligationsthatwerealreadyindefaultatthetimetheForceMajeureeventoccurred.

第八条争议解决

IntheeventofanydisputearisingoutoforinconnectionwiththisSupplementaryAgreement,thePartiesshallfirstattempttoresolvethedisputethroughamicablenegotiations.IfthePartiesareunabletoresolvethedisputewithin[specifythenumberofdays]aftertheinitiationofnegotiations,theymayagreetosubmitthedisputetomediationinaccordancewiththerulesof[specifythemediationinstitution,ifany].

Ifthedisputeisnotresolvedthroughmediationwithin[specifythenumberofdays],orifeitherPartydoesnotagreetomediation,thePartiesmaysubmitthedisputetoarbitrationinaccordancewiththerulesof[specifythearbitrationinstitutionandlocation].Thedecisionofthearbitrator(s)shallbefinalandbindingupontheParties.

Alternatively,ifthePartiesprefer,theymayresolvethedisputethroughlitigationinthecourtsof[specifythejurisdiction].ThePartiesagreetosubmittotheexclusivejurisdictionofsuchcourtsandtowveanyobjectionstosuchjurisdictionorvenue.

ThePartiesfurtheragreethatduringthependencyofanydisputeresolutionprocess,theyshallcontinuetoperformtheirrespectiveobligationsunderthisSupplementaryAgreementthatarenotsubjecttothedispute.

第九条其他条款

1.Notices:AllnoticesandothercommunicationsunderthisSupplementaryAgreementshallbeinwritingandshallbedeemedtohavebeendulygivenonthedateofserviceifservedpersonallyonthePartytowhomnoticeistobegiven,oronthethirddayaftermlingifmledtothePartytowhomnoticeistobegiven,byregisteredorcertifiedml,returnreceiptrequested,postageprepd,andproperlyaddressedtotheaddressesofthePartiesassetforthabove.

2.Amendment:ThisSupplementaryAgreementmaybeamendedormodifiedonlybya
