**ContractforCustomizedProduct**

ThisContract(the"Contract")ismadeandenteredintoasof[InsertDate],byandbetween[InsertBuyer'sName],hereinafterreferredtoasthe"Buyer",and[InsertSeller'sName],hereinafterreferredtoasthe"Seller".

**Recitals**

WHEREAS,theBuyerdesirestopurchasecertaincustomizedproducts(the"Products")fromtheSeller;

WHEREAS,theSelleriswillingtoselltheProductstotheBuyer,subjecttothetermsandconditionssetforthherein;

NOW,THEREFORE,inconsiderationofthemutualpromisescontainedherein,thepartiesheretoagreeasfollows:

**Article1:Products**

1.1TheProductstobepurchasedbytheBuyerfromtheSelleraredescribedinExhibitAattachedhereto.

1.2TheSelleragreestocustomizetheProductsinaccordancewiththespecificationsandrequirementssetforthbytheBuyerinExhibitBattachedhereto.

**Article2:PriceandPaymentTerms**

2.1ThepurchasepricefortheProductsshallbe[InsertPrice],assetforthinExhibitCattachedhereto.

2.2TheBuyershallmakepaymentfortheProductsby[InsertPaymentMethod]within[InsertPaymentDeadline]daysafterthedateoftheinvoiceissuedbytheSeller.

**Article3:Delivery**

3.1TheSellershalldelivertheProductstotheBuyer'sdesignatedlocationwithin[InsertDeliveryPeriod].

3.2TheriskoflossordamagetotheProductsshallpasstotheBuyerupondelivery.

**Article4:Warranty**

4.1TheSellerwarrantsthattheProductsshallconformtothespecificationsandrequirementssetforthbytheBuyerandbefreefromdefectsinmaterialsandworkmanship.

4.2TheSeller'swarrantyperiodfortheProductsshallbe[InsertWarrantyPeriod].

**Article5:LimitationofLiability**

5.1TheSeller'sliabilityforanybreachofthisContractshallbelimitedtotherepairorreplacementofthenon-conformingordefectiveProducts,attheSeller'ssolediscretion.

5.2UndernocircumstancesshalltheSellerbeliableforanyindirect,incidental,specialorconsequentialdamagesarisingoutoforinconnectionwiththeProductsortheperformanceorbreachofthisContract.

**Article6:Termination**

6.1EitherpartymayterminatethisContractuponwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialtermorconditionofthisContractandfailstocuresuchbreachwithin[InsertCurePeriod]afterreceiptofwrittennoticethereof.

**Article7:GoverningLawandDisputeResolution**

7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[InsertGoverningJurisdiction].

7.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedbyarbitrationinaccordancewiththerulesofthe[InsertArbitrationInstitution].

**Article8:EntireAgreement**

ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiationsandunderstandings,whetherwrittenororal.

**Article9:Amendments**

ThisContractmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothparties.

**Article10:Notices**

Allnotices,requests,demandsandothercommunicationsunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygivenonthedateofserviceifservedpersonallyonthepartytowhomnoticeistobegiven,oronthethirddayaftermailingifmailedtothepartytowhomnoticeistobegiven,byfirstclassmail,registeredorcertified,postageprepaid,andproperlyaddressedasfollows:
