1.Overview

Thiscontract("Contract")isenteredintobyandbetweenPartyAandPartyB,collectivelyreferredtoasthe"Parties".ThePartiesagreetothetermsandconditionssetforthhereinregardingthecommissionstructureandpaymenttermsfortheservicesprovidedbyPartyAtoPartyB.

2.Services

2.1PartyAagreestoprovidethefollowingservicestoPartyB:[Listofservicestobeprovided].

2.2PartyAshallperformtheserviceswithreasonablecare,skill,anddiligenceinaccordancewiththetermsandconditionssetforthinthisContract.

3.CommissionStructure

3.1PartyAshallbeentitledtoreceiveacommission("Commission")equalto[percentage]%ofthetotalrevenuegeneratedfromtheservicesprovidedunderthisContract.

3.2TheCommissionshallbecalculatedbasedontheactualsales/revenuefiguresreportedbyPartyB,andPartyAwillprovideregularreportsofthesales/revenuetoPartyBuponrequest.

4.PaymentTerms

4.1PartyBagreestopayPartyAtheCommissionwithin[number]daysaftertheendofeachcalendarmonthduringthetermofthisContract.

4.2PartyBshallmakethepaymenttoPartyAby[methodofpayment],suchasbanktransfer,cheque,orelectronicpayment,totheaccountdetailsprovidedbyPartyA.

5.TermoftheContract

5.1ThisContractshallcommenceontheEffectiveDateandshallcontinueforaperiodof[duration]unlessterminatedearlierbyeitherPartyinwriting.

5.2ThePartiesmayrenewthisContractuponmutualagreementandexecutionofanewcontractdocument.

6.Termination

6.1eitherPartymayterminatethisContractuponwrittennoticetotheotherPartyiftheotherPartybreachesanymaterialtermorconditionofthisContractandfailstocuresuchbreachwithin[number]daysafterreceiptofwrittennoticefromtheotherParty.

6.2eitherPartymayterminatethisContractatanytimewithoutcauseuponwrittennoticetotheotherParty,providedthatPartyBshallremainliableforthepaymentofanyoutstandingCommissionsduetoPartyA.

7.Confidentiality

7.1ThePartiesagreetomaintaintheconfidentialityofanyconfidentialinformationexchangedbetweenthemduringthetermofthisContract,exceptforinformationthatispubliclyavailableorindependentlydevelopedbyeitherParty.

7.2ThePartiesshallnotusetheconfidentialinformationforanypurposeotherthantheperformanceoftheirobligationsunderthisContract.

8.GoverningLawandJurisdiction

8.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[jurisdiction].

8.2AnydisputesarisingoutoforinconnectionwiththisContractshallbesubjecttotheexclusivejurisdictionofthecourtsof[jurisdiction].

9.EntireAgreement

9.1ThisContractconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheParties.

9.2NoamendmentormodificationofthisContractshallbeeffectiveunlessitisinwritingandexecutedbybothParties.
