ContractAgreement

ThisContractAgreement(the"Agreement")ismadeandenteredintoonthis___dayof____________,20____,byandbetween:

1.ProductandQuantity

TheSelleragreestosell,andtheBuyeragreestobuy,[ProductDescription]("Product"),inthequantityof[Quantity]asspecifiedintheattachedProductSpecificationSheet.

2.Delivery

TheSellershalldelivertheProducttotheBuyer'sdesignatedaddressatthelatestby[DeliveryDate].TheProductshallbedeemeddeliveredwhentheriskoflossandtitlepassestotheBuyeruponreceiptatthedesignatedaddress.

3.PriceandPaymentTerms

ThepurchasepricefortheProductshallbe[Price]perunit,totaling[TotalAmount]fortheentireorder.TheBuyershallmakepaymentfortheProductby[PaymentMethod]within[PaymentDeadline]daysafterthedateoftheinvoiceissuedbytheSeller.

4.QualityandWarranty

TheSellerwarrantsthattheProductconformstothespecificationssetforthintheattachedProductSpecificationSheet.TheSellerfurtherwarrantsthattheProductisfreefromdefectsinmaterialsandworkmanshipandshallbefitfortheordinarypurposesforwhichsuchgoodsareused.TheSeller'swarrantyshallexpireupontheearlierof[WarrantyPeriod]orthedateofdelivery.

5.InspectionandRejection

Upondelivery,theBuyershallhavetherighttoinspecttheProducttoconfirmitsconformitywiththeAgreement.IftheProductdoesnotconformtotheAgreement,theBuyermayrejecttheProductandnotifytheSellerinwritingwithin[InspectionPeriod].TheSellershall,atitssolediscretion,eitherreplacethenon-conformingProductorrefundtheBuyerforthenon-conformingProduct.

6.ForceMajeure

NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,labordisputes,ordisruptionsintransportation,providedthattheaffectedpartypromptlynotifiestheotherpartyoftheexistenceandnatureofsuchcause.

7.GoverningLawandDisputeResolution

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningJurisdiction].AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedbyarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution],andthedecisionofthearbitrator(s)shallbefinalandbindingupontheparties.

8.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.ThisAgreementmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothparties.
