WHEREAS,PartyAisengagedinthebusinessof[NatureofBusiness];

WHEREAS,PartyBdesirestopurchase[Product/Service]fromPartyA;

WHEREAS,thePartieswishtoestablishthetermsandconditionsuponwhichthe[Product/Service]shallbesoldandpurchased;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thePartiesagreeasfollows:

6.[ForceMajeure]

NeitherPartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetoanycausebeyonditsreasonablecontrol,including,butnotlimitedto,actsofGod,labordisputes,ordisruptionsintransportation.

7.[GoverningLawandDisputeResolution]

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Country].AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedbyarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].

8.[Miscellaneous]

ThisContractconstitutestheentireagreementbetweenthePartiesandsupersedesallpriordiscussions,negotiations,andunderstandings,whetherwrittenororal.AnyamendmentsormodificationstothisContractmustbeinwritingandsignedbybothParties.
