ythecontractornewsituationsarisingduringthecooperationprocess,allpartiesmaynegotiateandsignsupplementaryagreements.Oncesigned,supplementaryagreementsbecomeanintegralpartofthecontract.VI.LiabilityforBreachofContract6.1CircumstancesofBreachAnypartyfailingtoperformorfullyperformtheircontractualobligationsshallbeconsideredinbreach.6.2CompensationforBreachThebreachingpartyshallpayliquidateddamagestothenon-breachingpartybasedonthecircumstancesofthebreach,withtheamounttobedeterminedbymutualagreement.6.3ProceduresforBreachResolutionUpontheoccurrenceofabreach,thenon-breachingpartyshallpromptlynotifythebreachingpartyandsubmitaclaimforcompensation.Allpartiesshouldresolvethebreachthroughnegotiation.VII.DisputeResolutionMechanism7.1MethodsofDisputeResolutionAnydisputesarisingduringtheexecutionofthecontractshouldfirstberesolvedthroughfriendlynegotiation.7.2ApplicableLawTheformation,interpretation,execution,anddisputeresolutionoftheseattachmenttermsshallbegovernedbythelawsofthePeople'sRepublicofChina.7.3ArbitrationandLitigationIfnegotiationfails,allpartiesagreetosubmitthedisputetothe______ArbitrationCommissionforarbitrationortofilealawsuitinthePeople'sCourtlocatedinthejurisdictionofPartyA.VIII.ConfidentialityClause8.1ScopeofConfidentialInformationAllbusinessandtechnicalsecretsandotherundisclosedinformationlearnedbythepartiesduringthecooperationprocessshallbeconsideredconfidentialinformation.8.2ConfidentialityPeriodTheconfidentialityperiodshallbeeffectivefromthedateofsigningthiscontractuntil______yearsaftertheterminationofthecontract.8.3ConfidentialityLiabilityAnypartybreachingtheconfidentialityobligationsshallcompensatetheotherpartiesforanylossessufferedasaresult.IX.EffectivenessandTerminationofAttachmentTerms9.1ConditionsforEffectivenessTheseattachmenttermsshallbecomeeffectivefromthedateofsignatureandstampbytheauthorizedrepresentativesofallparties.9.2ConditionsforTerminationTheseattachmenttermsshallterminatealongwiththeterminationofthemaincontract.Unlessotherwiseagreeduponinwriting,theterminationoftheseattachmenttermsdoesnotaffecttherightsandobligationsalreadygeneratedbyallpartiesbeforetermination.X.OtherMatters10.1TherighttointerprettheseattachmenttermsrestswithPartyA.PartyBandotherparticipatingpartiesshouldconsultwithPartyApromptlyincaseofanyquestionsregardingthecontentoftheseattachmentterms.10.2Theseattachmenttermsarein______copies,witheachpartyholdingonecopy,allofwhichhaveequallegaleffect.Throughtheseattachmenttermsandexplanations,weexpecttoensurethesmoothexecutionofthevehiclerentalcontractwithdriverservicesonthebasisofmulti-partycooperationandprotectthelegalrightsandinterestsofallparties.AttachmentandAdditionalSupplementaryExplanationI.AttachmentList:DetailedSpecificationsandConditionReportoftheVehicleDriverQualificationCertificateandServiceStandardsCopyofVehicleInsurancePolicyVehicleMaintenanceandRepairRecordFormAccidentHandlingProcedureGuideConfidentialityAgreementSpecialAgreementMemorandumSupplementaryAgreements(ifany)II.BreachofContractandDetermination:Breachofcontractincludesbutisnotlimitedtothefollowingbehaviors:Failuretopayrentalfeesorotherchargesasstipulatedinthecontract.Unauthorizedalterationofvehicleuseconditions.Failuretoperformvehiclemaintenanceandrepairsasrequired.Driversengagingintrafficviolationsorillegalacts.Unauthorizedsublettingorlendingofthevehicletoothers.Disclosureoftradesecretsortechnicalinformationinviolationofconfidentialityagreements.Determinationofabreachrequirestheaggrievedpartytopresentevidenceandnotifythebreachingparty.Thebreachingpartyshallrespondandtakeremedialactionswithinaspecifiedtimeframeafterreceivingthenoticeofbreach.III.LegalTermsandDefinitions:Contract:Referstothiscontract,itsattachments,supplementaryagreements,andallotherwrittendocuments.PartyA(Lessor):Referstothepartyprovidingvehiclerentalserviceswithadriver.PartyB(Lessee):Referstothepartyreceivingvehiclerentalserviceswithadriver.OtherParticipatingParties:Referstoanyadditionalpartiesinvolvedintheperformanceofthiscontract.ConfidentialInformation:Referstoundisclosedbusinessortechnicalsecretsknownduringthecooperationprocess.LiquidatedDamages:Referstothecompensationpaidbythebreachingpartytothenon-breachingpartyforbreachofcontract.IV.DisputeResolutionMechanism:Negotiation:Disputesarisingduringtheexecutionofthecontractshouldfirstberesolvedthroughfriendlynegotiation.Mediation:Ifnegotiationfai
