oursofreceivingnotificationfromPartyB.Chapter9:BreachofContract9.1BreachCircumstancesAnypartyfailingtoperformorfullyperformtheircontractualobligationsshallbeconsideredinbreach.9.2CompensationforBreachThebreachingpartyshallpayliquidateddamagestothenon-breachingpartybasedonthecircumstancesofthebreach,withtheamounttobedeterminedbymutualagreement.9.3ProceduresforBreachResolutionUpontheoccurrenceofabreach,thenon-breachingpartyshallpromptlynotifythebreachingpartyandsubmitaclaimforcompensation.Thepartiesshallresolvethebreachthroughnegotiation.Chapter10:ContractModificationandTermination10.1ConditionsforContractModificationOncethecontractissigned,nopartyshallunilaterallyalterthecontentofthecontractwithoutmutualconsent.10.2ConditionsforContractTerminationIntheeventofaseriousbreachbyoneparty,theotherpartyhastherighttoterminatethecontractunilaterally.10.3RightsandObligationsAfterTerminationUponterminationofthecontract,thepartiesshallsettleallaccounts,returnallitems,andfulfillconfidentialityobligations.Chapter11:DisputeResolution11.1MethodsofDisputeResolutionAnydisputesarisingduringtheexecutionofthecontractshallfirstberesolvedthroughfriendlynegotiation.11.2ApplicableLawTheformation,interpretation,execution,anddisputeresolutionofthiscontractshallbegovernedbythelawsofthePeople'sRepublicofChina.11.3ArbitrationandLitigationIfnegotiationfails,thepartiesagreetosubmitthedisputetothe______ArbitrationCommissionforarbitrationortofilealawsuitinthePeople'sCourtlocatedinthejurisdictionofPartyA.Chapter12:ConfidentialityClause12.1ScopeofConfidentialInformationAllcommercialsecrets,technicalsecrets,andotherundisclosedinformationknowntothepartiesduringthecooperationprocessshallbeconsideredconfidentialinformation.12.2ConfidentialityPeriodTheconfidentialityperiodshallbeeffectivefromthedateofsigningthiscontractuntil______yearsaftertheterminationofthecontract.12.3ConfidentialityLiabilityAnypartybreachingtheconfidentialityobligationsshallcompensatetheotherpartiesforanylossessufferedasaresult.Chapter13:AdditionalProvisions13.1SpecialAgreementsThepartiesmaymakespecialagreementsbasedontheactualcircumstancesofthecooperation.13.2SupplementaryAgreementsMattersnotcoveredbythiscontractornewsituationsarisingduringthecooperationprocessmaybeaddressedthroughsupplementaryagreements,whichshallhavethesamelegaleffectasthiscontractoncesigned.13.3OtherMattersThiscontractisin______copies,witheachpartyholdingonecopy,allofwhichhaveequallegaleffect.Chapter14:ContractExecution14.1SigningPartiesPartyA(Stamp):______PartyB(Stamp):______14.2SigningDateThesigningdateis:______(Year)______(Month)______(Day)14.3SigningLocationThesigninglocationis:______MultiplePartiesDominantAttachmentTermsandExplanationI.OverviewofAttachmentTermsTheseattachmenttermsandexplanationsaresupplementarytothevehiclerentalcontractwithdriverserviceswhenmultiplepartiesareinvolved.Theyaimtoclarifytherights,obligations,andresponsibilitiesofallpartiesinvolvedinthecooperation.Oncesigned,theseattachmenttermsbecomeanintegralpartofthecontractandcarrythesamelegalforce.II.DefinitionofMulti-PartyCooperationInthisattachment,"multipleparties"refertoPartyA,PartyB,andotherrelevantpartiesinvolvedinthevehiclerentalwithdriverservices.Multi-partycooperationimpliesthatallpartiesmustfulfilltheirrespectivedutiesasperthecontractagreementandtheseattachmenttermsduringtheexecutionofthecontract.III.PrinciplesofMulti-PartyCooperation3.1PrincipleofEqualityandMutualBenefitAllpartiesshouldcooperatebasedontheprincipleofequalityandmutualbenefit,ensuringabalanceofinterestsduringthecooperationprocess.3.2PrincipleofGoodFaithAllpartiesmustadheretotheprincipleofhonestyandtrustworthiness,ensuringthattheinformationprovidedistrueandaccurate,withoutanyfalsestatementsorconcealmentofimportantfacts.3.3PrincipleofConfidentialityAllpartiesmustkeepconfidentialallbusinessandtechnicalsecretsandotherundisclosedinformationlearnedduringthecooperationprocess,withoutdisclosingthemtothirdpartieswithoutthewrittenconsentofthepartydisclosingtheinformation.IV.RightsandObligationsofMultipleParties4.1RightsandObligationsofPartyAPartyAisresponsibleforcoordinatingtherelationshipamongallparties,ensuringthesmoothprovisionofvehiclesanddriverservices.PartyAhastherighttosupervisetheperformanceofthecontractobligationsbyallpartiesandtoproposeadjustmentswhennecessary.4.2RightsandObligationsofPartyBPartyBshouldpaytherentalfeesasagreedinthecontractandusethevehiclereasonably.PartyBhastherighttodemandthatPartyAprovidevehiclesanddriverservicesthatmeetthecontractrequirements.4.3RightsandObligationsofOtherParticipatingPartiesOtherparticipatingpartiesshouldfulfilltheirrespectiverightsandobligationsaccordingtotheirrolesandresponsibilitiesinthecooperation.Thisincludesbutisnotlimitedtoprovidingnecessaryassistance,sharinginformation,andtechnicalsupport.V.ContractModificationandSupplement5.1ProposalforContractModificationAnypartymayproposechangestothecontract,butallchangesmustbeagreeduponbyallpartiesinvolvedbeforetheycanbeimplemented.5.2SupplementaryAgreementsFormattersnotcoveredbythecontractornewsituationsarisingduringthecooperationprocess,allpartiesmaynegotiateandsignsupplementaryagreements.Oncesigned,supplementaryagreementsbecomeanintegralpartofthecontract.VI.LiabilityforBreachofContract6.1CircumstancesofBreachAnypartyfailingtoperformorfullyperformtheircontractualobligationsshallbeconsideredinbreach.6.2CompensationforBreachThebreachingpartyshallpayliquidateddamagestothenon-breachingpartybasedonthecircumstancesofthebreach,withtheamounttobedeterminedbymutualagreement.6.3ProceduresforBreachResolutionUpontheoccurrenceofabreach,thenon-breachingpartyshallpromptlynotifythebreachingpartyandsubmitaclaimforcompensation.Allpartiesshouldresolvethebreachthroughnegotiation.VII.DisputeResolutionMechanism7.1MethodsofDisputeResolutionAnydisputesarisingduringtheexecutionofthecontractshouldfirstberesolvedthroughfriendlynegotiation.7.2ApplicableLawTheformation,interpretation,execution,anddisputeresolutionoftheseattachmenttermsshallbegovernedbythelawsofthePeople'sRepublicofChina.7.3ArbitrationandLitigationIfnegotiationfails,allpartiesagreetosubmitthedisputetothe______ArbitrationCommissionforarbitrationortofilealawsuitinthePeople'sCourtlocatedinthejurisdictionofPartyA.VIII.ConfidentialityClause8.1ScopeofConfidentialInformationAllbusinessandtechnicalsecretsandotherundisclosedinformationlearnedbythepartiesduringthecooperationprocessshallbeconsideredconfidentialinformation.8.2ConfidentialityPeriodTheconfidentialityperiodshallbeeffectivefromthedateofsigningthiscontractuntil______yearsaftertheterminationofthecontract.8.3ConfidentialityLiabilityAnypartybreachingtheconfidentialityobligationsshallcompensatetheotherpartiesforanylossessufferedasaresult.IX.EffectivenessandTerminationofAttachmentTerms9.1ConditionsforEffectivenessTheseattachmenttermsshallbecomeeffectivefromthedateofsignatureandstampbytheauthorizedrepresentativesofallparties.9.2ConditionsforTerminationTheseattachmenttermsshallterminatealongwiththeterminationofthemaincontract.Unlessotherwiseagreeduponinwriting,theterminationoftheseattachmenttermsdoesnotaffecttherightsandobligationsalreadygeneratedbyallpartiesbeforetermination.X.OtherMatters10.1TherighttointerprettheseattachmenttermsrestswithPartyA.PartyBandotherparticipatingpartiesshouldconsultwithPartyApromptlyincaseofanyquestionsregardingthecontentoftheseattachmentterms.10.2Theseattachmenttermsarein______copies,witheachpartyholdingonecopy,allofwhichhaveequallegaleffect.Throughtheseattachmenttermsandexplanations,weexpecttoensurethesmoothexecutionofthevehiclerentalcontractwithdriverservicesonthebasisofmulti-partycooperationandprotectthelegalrightsandinterestsofallparties.AttachmentandAdditionalSupplementaryExplanationI.AttachmentList:DetailedSpecificationsandConditionReportoftheVehicleDriverQualificationCertificateandServiceStandardsCopyofVehicleInsurancePolicyVehicleMaintenanceandRepairRecordFormAccidentHandlingProcedureGuideConfidentialityAgreementSpecialAgreementMemorandumSupplementaryAgreements(ifany)II.BreachofContractandDetermination:Breachofcontractincludesbutisnotlimitedtothefollowingbehaviors:Failuretopayrentalfeesorotherchargesasstipulatedinthecontract.Unauthorizedalterationofvehicleuseconditions.Failuretoperformvehiclemaintenanceandrepairsasrequired.Driversengagingintrafficviolationsorillegalacts.Unauthorizedsublettingorlendingofthevehicletoothers.Disclosureoftradesecretsortechnicalinformationinviolationofconfidentialityagreements.Determinationofabreachrequirestheaggrievedpartytopresentevidenceandnotifythebreachingparty.Thebreachingpartyshallrespondandtakeremedialactionswithinaspecifiedtimeframeafterreceivingthenoticeofbreach.III.LegalTermsandDefinitions:Contract:Referstothiscontract,itsattachments,supplementaryagreements,andallotherwrittendocuments.PartyA(Lessor):Referstothepartyprovidingvehiclerentalserviceswithadriver.PartyB(Lessee):Referstothepartyreceivingvehiclerentalserviceswithadriver.OtherParticipatingParties:Referstoanyadditionalpartiesinvolvedintheperformanceofthiscontract.ConfidentialInformation:Referstoundisclosedbusinessortechnicalsecretsknownduringthecooperationprocess.LiquidatedDamages:Referstothecompensationpaidbythebreachingpartytothenon-breachingpartyforbreachofcontract.IV.DisputeResolutionMechanism:Negotiation:Disputesarisingduringtheexecutionofthecontractshouldfirstberesolvedthroughfriendlynegotiation.Mediation:Ifnegotiationfai
