es双方一般权利和义务5.EngineersandEmployer'sRepresentative工程师和发包人代表5.1TheEngineersshallexercisethemrightswiContractorconfirms:iftheEmployerrequires,accordingtotheagreementsftheContractorduringtheperfobeobtainedbeforetheEngineersexercisecertainapprovalandthoseactswithouttheapprovaloftheEmployershallnotbebinTheEmployerandtheContractorfurtherconfirmthat发包人和1)anyactsperformedbytheEngobligationsundertheContract,otherwisesuchactsshallhaveno1)工程师根据专用条款之权限履行的任何行为均不会增加发包人的义务，更不会解除或减2)anyactsoftheEngineersbeyondthescopeasauthorizedbytheEmployerwillnotberecognizedbytheEmployer,andtheEmployerwillnotbearanyliabilitiesarisingoutthere2)超过发包人授权范围的工程师的任何行为都不会得到发包人的认可，并且发包人将不承extensionoftheProjectPeriodandtheincreaseocertifyandconfirmEngineerwithintheauthorizationscopeagreedundertheParticularTermsoftheContract.3)工程师在任何情况下都不会在工期顺延和合同价款增加之事宜上得到任何授权，也无权andcontractmanagementwithregardtotheProjectonbehalfoftheEmployer.5.4DuringtheperformancoftheEmployerandtheContractoroccurs,Contract.IfeitherPartydisputestaccordancewithArticle35oftheContractinrespectofdisputesettlement.职权范围内客观公正地进行处理。一方对监理工程师的处理有异议时，按本合同条款第355.5TheEngineersshallhavenorightstoterminateanyoftheContrac务6.AppointmentoftheEngineersandInstrurighttogiveinstructionswithinthescopeasagreescopetheinstructionshallbegivenbytheEmplpersonalsignatureandwritesthereceivingtimeonit.Whennecessary,toralinstruction,whichshaContractorshallimplementtheinstruction.IftheEngineerscannotprovidehiswritingrequestforconfirmat程师可发出口头指令，并在2个工作日内给予书面确认，承包人对工程师的指令应予执行。工程师不能及时给予书面确认的，承包人应于工程师发出口头指求。工程师在承包人提出确认要求后2个工作日内不予答复的，视为口头指令已被确认。IftheContractorconsidersthattheEngineers'instructionisunreasonable,hemustsubmitaproposalinwritingtotheEngineersformodifyingtheinstruction,andtheEnimplementingtheoriginalinstructionandnotifytheContractorinwritingthereofwithin24hoursafterreceivingtheContractor'sproposEngineers'instructionwhichtheEngineEngineersdeterminetocontinueimplementinginspiteoftheContrac如承包人认为工程师指令不合理，应在收到指令后的24小时内向工程师提出修改指令的书面报告，工程师在收到承包人报告后24小时内作出修改指令或继续执行原指令的决定，并6.2TheinstructionoftheEmployer'writteninstructionor2)OralInstruction:theEmployer'sRepresentativeandhisauthorizedrepresentinstructions.IftheContractorfailstoreceivethewrittenconfirmationfromtheEmployer'sRepresentativewithinconfirmationwithin7dgivestheoralinstruction;IftheEmployer'sRepresenta口头指令：发包人代表及其授权人可发出口头指令，并在指令发出后的2个工作日内给予书其授权人发出口头指令后7天内提出书面确认要求；发包人代表在承包人提出确认要求后的2个工作日内不予答复的，视为口头指令已被确认。IftheContractordeemstheinstructionsgivenbytheinstruction.TheEmployer'sRepcontinuetoimplementtheoriginalinstructionandnotifytheContractorinwritingthereofwithiworkingdaysafterreceivingtheConstillimplementtheinstructionswhichisrequiredbytheEmployer'sRepreimplementedimmediatelybythetocontinueimplementinginspiteoftheContractor's如承包人认为发包人代表发出的指令不合理，其应在收到指令后的24小时内向发包人代表提出书面报告。发包人代表应在收到承包人报告后的2个工作日内作出修改指令或继续执行6.3TheSupervisor,TKSBauplanungGmbH,orwritingatleast7days如需更换工程师或和发包人代表，监理公司，7.ProjectManager项目经理7.2Anotice,requestordemandissuedbytheContractoraccorinwriting,signedbytheProjectManagerandRepresentative,andsuchnoticEmployer'sRepresentativesigntheirrespectivenamesandthereceivingtimeonthereturnofthe7.3TheProjectManagershallorganizetheconstructionworkorganizationdesign(tbytheEngineersand/ortheEmployer'sRepresentativeaccordingtothisContract.InemergencyandwhentheEngineersandtheEmployer'sRepresentaProjectManagershalltakeemergencymeasuresthoursaftersuchmeasuresaretaken.IftheEmployerorathirdpartyisresponsibloccurrenceoftheemergency,thandtheProjectPeriodwillbepostponedaccordingly.IftheContractemergency,heshallbeartheExpensesandtheProjectPeriodwillnotbepostponed.项目经理按发包人认可的施工组织设计(施工方案)及工程师和/或发包人代表依据合同发证人员生命和工程、财产安全的紧急措施，并在采取措施后24小时内向工程师和发包人代7.4TheProjectManagerconfirmedbytheEmployershallpriContractorneedstoreplacetheProjectManagerwithsufficientreason,theContractormustnotinwritingtotheEmployeratleas至少提前7天以书面形式通知发包人，并征得发包人同意。后任继续行使本合同约定的前任7.5TheEmployerhastherighttorequiretheContractortoreplacetheincompetentbytheEmpwithin2daysafterreceivingthewritingnoticefromtheEm8.WorkstobedonebytheEmployer发包人工作(1)Completetheworkforlandconfiscation,compensationfordemolitionofhorelocationofresidentsandlevelingofftheconstructionSiteetcinordertomaconstructionconditions;andtheEmremainingproblemsarisingoutoftheaboveissuesafterthecommencementoftheconstruction.(2)Connectthelinesforsupplyofwater,electricityandtelecommunicationnecessarytothecourseofconstruction.将施工所需水、电、电讯线路从施工场地外部接至场地，保证施工ortheProjectandensf开通施工场地与城乡公共道路的通道，以满足施工运输的需要，保证施工(4)ProvidetotheContractorwiththegeoandpermitsnecessarytotheexecutionworks,temporarylanduse,interruptionofwatersupply,(6)ConfirmthebenchmarkandCartesiinArticle8.1fortheEmployer,andtherelatedExpenseswillbeb承包人应在14天内完成以下工作：(3)PresenttheEngineerstheweeklyandmonthlyprogressscheduleandrelevanrequirementsoftheSupvervisor.(6)Complywithrulesregardingtransportation,noise,environmentalprotectionandsafetyofconstructionontheSite,promulgatedbythcompleterelevantformalitiesandnotifytheEmployeroftheformalitiesinwriting.AExpensesarisingoutthereofandpenaltycausedbytheContractorwillbebornebytheContractor.(7)WithrespecttothecomploftheProjectrequiringtheContractor'sspecialpr(8)CompletetheworkwithrespecttotheprotectionoftheundergroundpipelinesbeneaththeSite,theadjacentbuildingsand做好施工场地地下管线和邻近建筑物、构筑物(包括文物和保护建筑)、古树名木的保护工(9)EnsurethatthecleannessoftheSiteisinconformitywiththerelevantregulationsinrespectofrelevantrequirementsofJiangsuProvinceMunicipalityconcerningconstructionproject;andundertakeanylossandpenaltycausedbytheContractor'sviolationofrelevantregulationstheEmployer,theContractorshallcompensatetherelevantlossesoftheEmployer.承包人未能履行9.1款各项义务，造成发包人损失的，承包人赔偿发包人有关损失。ConstructionOrganizationDesignandProjectPerscheduletotheEmploreceivingthemove-innoticefromtheEmployer.AndtheTKSEngineerandreceivingtheaforementioneddocuments,failureofwhichshallbedeemedasthec承包人应在收到发包人书面进场通知后的5个工作日内，向发包人代表和工程师提交一份详10.2TheContractorshallorganizetconfirmedbytheTKSEngineerandtheEmployer'sRepresentatandsupervisionbytheEngineersandthbytheEngineersand/ortheEmployer'sRepresentativeiftheactualworapprovedbytheTKSEngineerclaimAdditionalContractPricefortheimprovementmeasuresiftheinconsistencybetweenactualscheduleandplannedscheduleisattributableto承包人必须按TKS工程师和发包人代表确认的进度计划组织施工，接受工程师和发包人代表对进度的检查、监督。工程实际进度与经确认的进度计划不符时，承包人应按工程师和/或发包人代表的要求在三天内提出改进措施，经TKS工程师和发包人代表确认后执行。因承包人的原因导致实际进度与进度计划不符，承包人Theapprovaloforconsenttotheaboveexecutionorganizatiamendment,variationandadjustmeliabilityfortheProjectPeriod发包人或发包人代表对上述施工组织设计和工程进度计划的批准和同意将不会被视为构成Agreement.IftheContractorcannotcommenceontime,theContractexplicitapprovalisobtainedfCommencementDateandtheProjectPeriodshallbeextendedaccordinglIftheSitecannotbedeliveredontimeduetoreasonsattributabletotheEoftheSiteactually.TheComstatementofopinion.TheContractorscompletedconstructionsaccordingtotherequirementoftheEmpiftheEmployer'sRepresentativefailstoprovidethewrittenstatementofabove-mentionedtimelimit,orfailstoreplywithin48hoursafterreceivinapplicationfromtheContractor.IftheEmployershallassumetheAdditionalContractPricearisingoutthereofandtheProjshallbeextendedaccordingly;Ifthes应在提出要求后3天内提出书面处理意见。承包人应当按发包人代表要求停止施工，并妥善包人代表应当在48小时内给予答复。发包人代表未能在规定时间内提出处理意见，或收到承包人复工要求后48小时内未予答复，承包人可自行复工。因发包人原因造成停工的，由13.DelayinProjectPeriod工期延误13.1TheProjectPerioEmployer'sRepresentativeifoneorseveralofthefollowingmatterscausesthedelay:因以下原因造成工期延误，经TKS工程师和发包人代表(1)TheEmployerfailstoprovidetheDrawingsas(2)TheEmployerfailstopunctuallymakepaymentoftheContractPriceformorethanthirty(3dayswithoutanyjustifiablereasons,whichrendersthattheProjectcannotbecontinuednormally.发包人未能按约定日期支付工程款超过30天，并且没有合理的理由的，致使施工不能正常(4)OthersituationsunderwhichtheProjectPeriodshsubmittotheEmployer'sRepresentativeandtheTKSEnginethecontentofthedelayandtheecinformationtotheEmployer'sReprescorrespondingplanormaterial,theContractorshallprovidethesameuncondtheTKSEngineerattheendofeachmonthrequirementoftheEmployer'sRepresentativeandtheTKSEngineerfromtimetotime.在13.1款之情况发生后7天内，承包人应就延误的内容和因此发生的经济支出向发包人代代表和TKS工程师在收到报告后，将按经批准的施工组织设计和工程进度计划就该等事项可能对工期造成的影响进行评价，并在14天内予以书面确认、答复。如发包人代表和TKS可能引用的上述原因是持续发生的事件，承包人应在该类事件发生后7天内及时向发包人代IftheContractor'sfailstocomplefthisGeneralTermsoftheContract.13.3IftheProjectPeriodisdelayedduetoreasonsContractorfurtherfailstofulfillthemeasuresforimprovemerequirement,theEmployerisentitledtoentrustotherconstructionenterprisetoindemnifytheEmployerfromandagainstanyExpensesarisingoutthereof.AgreementorthepostponeddateasagreedbytheEmployer'sRepresentat承包人必须按照协议书约定的竣工日期或发包人代表及TKS工程师同意顺延的工期竣工。14.2TheContractorshallundoftheContractifhecannotcompletetheProjectonAgreementorthepostponeddateasagreedbytheEngineersduetoreasonsa14.3Duringtheconstruction,iftheEmployerrequeststocompletetheProjenegotiation,whichwillbeasparContractor'smeasurestoensurequalityandsafetyoftheProjectandthecondQualityandInspection质量与检验15.1ThequalityoftheProjectshallupon,theContractorshallundertaketheliabilityforbreach..TheContractorfurtherwarrantsthattheProjectcansatisfythefo1)Thedesign,materiprovisionsundertheContractandmworknotshowninanyContractDocumentsbutofthePRC.投标文件中提及的相关标准和规范以及完成任何为符合该等标准和规范所需要的而在任何MeetingthestandardforaprofessionalcontractorandrulesofgoodengineeringpractiOtherreasonablerequirementsputforwardbytheEmployerinorderachievingthestandardsstipurequirementsduetoreasonsattributabletotheContractor,theContdamagestotheEmployerasprovidedinArticle33ofthisGeneothercorrespondingliability15.2IftherequirementsofthequalityundertheContractarelowerthanthestatestandardsPRC,theContractorshaDuringtheexecutionoftheProject,theContracatalllevelsinaccordancewiththeprovisionsofrelevRepublicofChinaandmakequalityexofthePeople'sRepublicofChinaandtherequirementsundertheContract.AsthegeneralcontractoroftheProject,theContractorshallberesponsibleforthoftheProjectandensurethattheProjectrequirementstipulatedintheContract.IftheContractorthinkstheinstructionsofthetheEmployer'sRepresentatiimprovement.IftheEmployerinsistsontheoriginalschemeandsucinfluencesthequalityoftheProject,theContractorshallnottakeanyliabili15.5IfthereisdisputeonthequalityoexaminedbytheprojectqualityExpensesandthelossentai
