**QuarterlyTaskEnglishContractAgreement**

Thisagreementismadeandenteredintoonthis______dayof____________,20____,byandbetween:

BACKGROUND

Whereas,CompanyAisengagedinthebusinessof[descriptionofbusiness];

Whereas,CompanyBdesirestoengageinaquarterlytaskwithCompanyA,andCompanyAiswillingtoacceptsuchengagement;

Now,therefore,inconsiderationofthemutualpromisescontainedherein,thepartiesheretoagreeasfollows:

1.**ScopeofWork**

CompanyBagreestoprovideCompanyAwiththefollowingservices(hereinafterreferredtoasthe"Services"):

2.**Compensation**

3.**Confidentiality**

EachpartyheretoagreestokeepconfidentialandnotdisclosetoanythirdpartyanyconfidentialinformationoftheotherpartythatissharedorlearnedinconnectionwiththeperformanceofthisAgreement,exceptasmayberequiredbylaworregulation.

4.**TermandTermination**

ThisAgreementshallcommenceontheEffectiveDateandshallcontinueforatermof[duration].eitherpartymayterminatethisAgreementbyprovidingwrittennoticetotheotherpartyatanytime.

5.**GoverningLawandDisputeResolution**

6.**EntireAgreement**
