LoanAgreement

1.Parties

ThepartiestothisloanagreementarePartyAandPartyB.

2.LoanAmount

PartyAshallborrowfromPartyBanamountof[LoanAmount](the"Loan").

3.LoanTerm

TheloanshallberepaidbyPartyAtoPartyBwithin[LoanTerm](the"Term").

4.Interest

Theloanshallbearinterestatanannualinterestrateof[InterestRate].TheinterestshallbecalculatedonamonthlybasisandpaidbyPartyAtoPartyBonamonthlybasis.

5.UseofLoan
