teriallybreachesanyprovisionoftheContractandfailstocuresuchbreachwithinaspecifiedperiod.6.3EffectsofTermination6.3.1Upontermination,allrightsandobligationsofthepartiesshallcease,exceptthosethatareintendedtosurvivetermination.Chapter7:LiabilityandIndemnification7.1LimitationofLiability7.1.1TheServiceProvider'sliabilityforanybreachofthisContractislimitedtotheamountspecifiedintheContractDetails.7.1.2Neitherpartyshallbeliableforanyindirect,incidental,special,orconsequentialdamages.7.2IndemnificationbytheServiceProvider7.2.1TheServiceProvidershallindemnifyandholdtheClientharmlessagainstanyclaimsarisingfromtheServiceProvider'sbreachofthisContract.7.2.2TheServiceProvider'sindemnificationobligationsaresubjecttothelimitationsspecifiedinSection7.1.7.3IndemnificationbytheClient7.3.1TheClientshallindemnifyandholdtheServiceProviderharmlessagainstanyclaimsarisingfromtheClient'sbreachofthisContract.Chapter8:DisputeResolution8.1NegotiationandMediation8.1.1Thepartiesshallfirstattempttoresolveanydisputesthroughnegotiationand,ifnecessary,mediation.8.2ArbitrationandGoverningLaw8.2.1AnydisputesnotresolvedthroughnegotiationormediationshallbesubmittedtoarbitrationundertherulesspecifiedintheContractDetails.8.2.2ThearbitrationshallbegovernedbythelawsofthejurisdictionspecifiedintheContractDetails.8.3JurisdictionandVenue8.3.1ThepartiesagreethatthecourtsofthejurisdictionspecifiedintheContractDetailsshallhaveexclusivejurisdictionoveranydisputesarisingfromthisContract.Chapter9:AmendmentsandAssignment9.1AmendmentstotheContract9.1.1ThisContractmaybeamendedonlyinwritingandsignedbybothparties.9.2AssignmentandSubcontracting9.2.1TheClientmaynotassignthisContractoranyofitsrightsorobligationswithoutthepriorwrittenconsentoftheServiceProvider.9.2.2TheServiceProvidermaysubcontractitsobligationsunderthisContract,providedthatitremainsresponsiblefortheperformanceoftheservices.9.3SuccessorsandAssigns9.3.1ThisContractshallbebindinguponandinuretothebenefitofthepartiesandtheirrespectivesuccessorsandassigns.Chapter10:NoticesandCommunications10.1MethodsofNotice10.1.1AllnoticesunderthisContractshallbeinwritingandmaybedeliveredpersonally,bymail,orbyelectronicmeans.10.2AddressesforNotice10.2.1NoticesshallbesenttotheaddressesspecifiedintheContractDetailsortosuchotheraddressaseitherpartymaydesignateinwriting.10.3Effectivenes
