2024版劳务派遣协议文本2024LaborDispatchAgreementContractNumber:________PartyA(Employer):__________Address:__________ContactPerson:__________ContactInformation:__________PartyB(LaborDispatchCompany):__________Address:__________ContactPerson:__________ContactInformation:__________鉴于PartyArequirestheservicesofdispatchedworkersforitsbusinessoperationsandhasdecidedtoengagethelabordispatchservicesprovidedbyPartyB.PartyBagreestosupplythenecessaryworkersaspertherequirementsofPartyA.ThisLaborDispatchAgreement("theAgreement")isenteredintobyandbetweenPartyAandPartyBtooutlinethetermsandconditionsofthelabordispatchservice.Article1:PurposeoftheAgreementThepurposeofthisAgreementistodefinetherightsandobligationsofPartyAandPartyBinthecontextoflabordispatchservicesprovidedbyPartyBtoPartyA.Article2:ScopeofServicesPartyBshallprovidePartyAwithlabordispatchservices,includingbutnotlimitedtotherecruitment,training,andmanagementofdispatchedworkers,inaccordancewiththetermsspecifiedinthisAgreement.Article3:DispatchedWorkersThedispatchedworkersshallbeemployeesofPartyBwhoareassignedtoperformworkatPartyA'spremisesorasotherwisedirectedbyPartyA.Article4:TermoftheAgreementThetermofthisAgreementshallcommenceon__________andshallcontinueuntil__________,unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.Article5:ObligationsofPartyAPartyAshallprovideclearworkinstructionsandasafeworkingenvironmentforthedispatchedworkers.PartyAshallpaythelabordispatchfeestoPartyBasstipulatedinthisAgreement.PartyAshallpromptlynotifyPartyBofanychangesintheworkrequirementsorconditions.Article6:ObligationsofPartyBPartyBisresponsiblefortherecruitment,training,andmanagementofthedispatchedworkers.PartyBshallensurethatthedispatchedworkersarequalifiedandcapableofperformingtheassignedtasks.PartyBshallberesponsibleforthepaymentofwages,socialinsurance,andotherstatutorybenefitstothedispatchedworkers.Article7:LaborDispatchFeesThelabordispatchfeesshallconsistoftheworkers'wages,socialinsurance,managementfees,andothercostsasagreeduponbybothparties.Article8:PaymentTermsPartyAshallpaythelabordispatchfeestoPartyBwithin__________daysafterthereceiptoftheinvoiceissuedbyPartyBforeachpayrollperiod.Article9:QualityofServicePartyBwarrantsthatthedispatchedworkerswillperformtheirdutieswithduediligence,care,andinaccordancewiththeinstructionsprovidedbyPartyA.Article10:ConfidentialityBothpartiesshallkeepconfidentialanyinformationobtainedfromtheotherpartyduringthetermofthisAgreement,exceptasrequiredfortheperformanceofthisAgreementorasrequiredbylaw.Article11:IntellectualPropertyRightsAllintellectualpropertyrightscreatedorusedbythedispatchedworkersduringtheperformanceoftheirdutiesshallbelongtoPartyA.Article12:TerminationThisAgreementmaybeterminatedbyeitherpartyupon__________days'writtennoticetotheotherparty.Intheeventofbreachofcontractbyoneparty,theotherpartymayterminatethisAgreementimmediatelyuponwrittennotice.Article13:DisputeResolutionAnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughfriendlyconsultation.Ifnotresolvedthroughconsultation,thedisputeshallbesubmittedto__________forarbitrationinaccordancewithitsrules.Article14:ForceMajeureNeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementtotheextentthatsuchfailureordelayiscausedbyeventsofforcemajeure.Article15:EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriorandcontemporaneousagreementsandunderstandings,whetherwrittenororal.Article16:AmendmentsNoamendmenttothisAgreementshallbeeffectiveunlessitisinwritingandsignedbybothparties.Article17:NoticesAllnotices,requests,demands,andothercommunicationsunderthisAgreementshallbeinwritingandshallbedeemeddulygivenwhendeliveredtotheaddressofthereceivingparty.Article18:AssignmentPartyAshallnotassignitsrightsordelegateitsobligationsunderthisAgreementwithoutthepriorwrittenconsentofPartyB.Article19:GoverningLawThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof__________.Article20:CounterpartsThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.INWITNESSWHEREOF,thepartieshaveexecutedthisLaborDispatchAgreementasofthedatefirstabovewritten.PartyA(Seal):__________PartyB(Seal):__________AuthorizedRepresentativeSignature:__________AuthorizedRepresentativeSignature:__________Date:__________Date:_________________(Endofthetext)Chapter21:AnnexesandSupplementaryInstructionsArticle21.1AnnexesListofDispatchedWorkerswithPersonalDetails;JobDescriptionsandQualificationRequirementsforEachPosition;ScheduleofLaborDispatchFeesandPaymentTerms;TrainingCurriculumandDevelopmentPlanforDispatchedWorkers;HealthandSafetyProtocolsfortheWorkplace.Article21.2BreachofContractandDeterminationPartyA'sfailuretomakepaymentsasstipulatedintheAgreementwithinthespecifiedtimeframewillbedeemedabreachofcontract.PartyB'sprovisionofworkerswhodonotmeetthejobrequirementsorwhofailtoperformthejobdutiesasinstructedbyPartyAwillbedeemedabreachofcontract.AnyotheractionsorinactionsthatviolatethetermsandconditionsofthisAgreementwillbesubjecttoreviewandmaybedeemedabreachofcontract.Article21.3LegalTermsandDefinitionsLaborDispatch:ReferstotheprocessbywhichPartyBsuppliesworkerstoPartyAfortemporary,project-based,orseasonalworkassignments.DispatchedWorkers:IndividualswhoarelegallyemployedbyPartyBbutperformworkunderthedirectionandsupervisionofPartyA.ForceMajeure:Circumstancesbeyondthecontroloftheparties,suchasnaturaldisasters,war,orothereventsthatcannotbeanticipatedoravoided,whichmayexcuseapartyfromperformingcertainobligationsundertheAgreement.Article21.4IssuesandResolutionsinExecutionIntheeventofadisputeregardingtheperformanceofwork,bothpartiesshallfirstattempttoresolvetheissuethroughnegotiation.IfPartyArequireschangestotheworkscheduleorjobduties,itshallprovidewrittennoticetoPartyB,andbothpartiesshallnegotiateingoodfaithtoaccommodatesuchchanges.PartyBshallensurethatanyissuesrelatedtothewelfareorperformanceofdispatchedworkersareaddressedpromptlyandinaccordancewithapplicablelawsandregulations.Article21.5ApplicableScenariosThisAgreementissuitableforvariousindustriesandsectorswhereemployersrequireadditionalworkforcesupportonatemporaryorproject-specificbasis.Itisapplicablefortheengagementofbothskilledandunskilledlaborfortasksthatmayincludebutarenotlimitedtomanufacturing,services,construction,andadministrativesupport.TheAgreementcanbeutilizedforseasonalworkpeaks,specialprojects,ortofillinforstaffduringperiodsofleaveorabsence.Chapter22:SpecialProvisionsArticle22.1SpecialProvisionsPartyBshallensurethatalldispatchedworkersareinformedoftheirrightsandobligationsunderthisAgreementandshalladheretothepoliciesandproceduresofPartyA.PartyAshallprovidePartyBwithnecessaryinformationandresourcestoenabletheeffectiveperformanceofthedispatchedworkers.Bothpartiesshallmaintainrecordsand
