2024版技术服务合同协议合同书泄密责任ConfidentialityandLiabilityTermsintheTechnicalServiceAgreementContractNumber:_______PartyA(Client):_______RegisteredAddress:_______LegalRepresentative:_______ContactInformation:_______PartyB(ServiceProvider):_______RegisteredAddress:_______LegalRepresentative:_______ContactInformation:_______PreambleThisTechnicalServiceAgreement(hereinafter"Agreement")isenteredintobyandbetweenPartyAandPartyBregardingtheprovisionoftechnicalservices.Recognizingtheimportanceofprotectingconfidentialinformation,bothpartiesagreetothefollowingtermstopreventanydisclosureormisuseofconfidentialinformation.Article1:ConfidentialInformationForthepurposeofthisAgreement,"ConfidentialInformation"referstoallinformationdisclosedbyeitherpartytotheotherparty,eitherorally,inwriting,orinanyotherform,whichismarkedasconfidentialorwhichshouldreasonablybeunderstoodtobeconfidentialgiventhenatureoftheinformationandthecircumstancesofdisclosure.Article2:ObligationsofConfidentialityBothpartiesagreeto:KeepconfidentialallConfidentialInformationreceivedfromtheotherparty.UsetheConfidentialInformationsolelyforthepurposeofperformingthisAgreement.NotdisclosetheConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingparty.Article3:ExclusionsfromConfidentialityTheobligationsofconfidentialityshallnotapplytoinformationthat:Wasalreadyknowntothereceivingpartybeforeitsdisclosure.Isorbecomespubliclyavailablethroughnofaultofthereceivingparty.Isrightfullyobtainedfromathirdpartywithoutanyobligationofconfidentiality.IsindependentlydevelopedbythereceivingpartywithoutuseoftheConfidentialInformation.Article4:UseofConfidentialInformationThereceivingpartymayonlyusetheConfidentialInformationforthepurposeoffulfillingitsobligationsunderthisAgreementandnotforanyotherpurposewithoutthewrittenconsentofthedisclosingparty.Article5:ProtectionofConfidentialInformationEachpartyagreestotakereasonablemeasurestoprotecttheconfidentialityoftheConfidentialInformation,atleasttothesamestandardasitprotectsitsownconfidentialinformationofasimilarnature.Article6:DisclosuretoEmployeesEachpartymaydisclosetheConfidentialInformationtoitsemployees,affiliates,orprofessionaladvisors("Representatives")whohaveaneedtoknowsuchinformationforthepurposesofthisAgreement,providedthatsuchRepresentativesareboundbywrittenconfidentialityobligationsatleastasrestrictiveasthosecontainedinthisAgreement.Article7:ReturnofConfidentialInformationUponterminationofthisAgreementorattherequestofthedisclosingpartyatanytime,thereceivingpartyshallpromptlyreturnordestroyallConfidentialInformationandallcopiesthereof,andcertifyinwritingthatithasdoneso.Article8:BreachofConfidentialityIntheeventofabreachofconfidentiality,thebreachingpartyshallbeliableforalldamages,losses,andexpensesincurredbythenon-breachingpartyasaresultofsuchbreach.Article9:RemediesforBreachInadditiontoanyotherremediesavailableatlaworinequity,thenon-breachingpartyshallbeentitledtoseekinjunctiverelieftopreventanyfurtherdisclosureofConfidentialInformationintheeventofabreach.Article10:LimitationofLiabilityNotwithstandinganyotherprovisionofthisAgreement,theliabilityofapartyforbreachofconfidentialityshallbesubjecttothelimitationsofliabilityspecifiedinAttachment1:"LimitationofLiability".Article11:GoverningLawThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictionspecifiedinAttachment2:"GoverningLaw".Article12:EntireAgreementThisAgreement,includingallattachments,representstheentireagreementbetweenthepartieswithrespecttothesubjectmatterandsupersedesallpriorandcontemporaneousagreementsandunderstandings,whetherwrittenororal.Article13:AmendmentsNoamendmenttothisAgreementshallbeeffectiveunlessitisinwritingandsignedbybothparties.Article14:NoticesAllnotices,requests,demands,andothercommunicationsunderthisAgreementshallbeinwritingandshallbedeemeddulygivenwhendeliveredtotheaddressesspecifiedinthisAgreement.Article15:AttachmentsThefollowingattachmentsformanintegralpartofthisAgreementandhavethesameeffectasthemaintext:Attachment1:LimitationofLiabilityAttachment2:GoverningLawAttachment3:[Anyadditionalrelevantattachments]PartyA(Stamp):_______AuthorizedRepresentativeSignature:_______Date:_______PartyB(Stamp):_______AuthorizedRepresentativeSignature:_______Date:_______(Note:Theaboveisthefirsthalfofthecontract,andthesecondhalfwillbeprovidedinthenextquestion.)Thetextendswithoutfurtherprompts.Article16:IndependentContractorsThepartiestothisAgreementareindependentcontractorsandneitherpartyisanagent,representative,orpartneroftheotherpartyforanypurpose.Article17:AssignmentNeitherpartymayassignortransferanyofitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheotherparty,exceptinthecaseofamerger,acquisition,orsaleofallorsubstantiallyalloftheassigningparty'sassets.Article18:Third-PartyBeneficiaryTherearenothird-partybeneficiariestothisAgreement,andnopersonotherthanapartytothisAgreementshallhaveanyrighttoenforceanytermofthisAgreement.Article19:WaiverThewaiverbyeitherpartyofanybreachordefaultoranydelayinexercisinganyright,power,orprivilegeunderthisAgreementshallnotoperateorbeconstruedasawaiverofanysubsequentbreachordefault.Article20:SeverabilityIfanyprovisionofthisAgreementisheldtobeillegal,invalid,orunenforceable,suchprovisionshallbeenforcedtothefullestextentpossibleandthevalidityandenforceabilityoftheremainingprovisionsshallnotbeaffected.Article21:CounterpartsThisAgreementmaybeexecutedincounterparts,eachofwhichshallconstituteanoriginalbutallofwhichtogethershallconstituteonedocument.Article22:ExecutionDateThisAgreementiseffectiveasofthedatebothpartieshaveexecutedit,asindicatedbelow.AttachmentListAttachment1:LimitationofLiabilityAttachment2:GoverningLawAttachment3:[Insertanyadditionalrelevantattachments,e.g.,TechnicalSpecifications,ServiceDescriptions]II.BreachofContractandDeterminationBreachofcontractoccurswhenapartyfailstofulfillitsobligationsunderthisAgreementorfulfillstheminamannerthatdoesnotmeettheagreed-uponstandards.Thenon-breachingpartyshallhavetherighttodetermineabreachbythebreachingpartybasedonevidenceofnon-compliancewiththetermsofthisAgreement.III.LegalTermsandDefinitions"Affiliate"meansanyentitythatcontrols,iscontrolledby,orisundercommoncontrolwithaparty."ConfidentialInformation"includesallinformationthatisnotpubliclyavailableandisdisclosedbyonepartytotheotherinconnectionwiththisAgreement."Control"meansthepossession,directlyorindirectly,ofthepowertodirectorcausethedirectionofthemanagementandpoliciesofanentity,whetherthroughownershipofvotingsecurities,
