11.Withdrawal.APartnermaywithdrawfromthePartnershipbygiving__________dayswrittennoticetotheotherPartner(s).Uponwithdrawal,thewithdrawingPartnershallbeentitledtoreceiveanequalshareofthePartnership'sassets,lessanyliabilities.

13.Liquidation.Upondissolution,theassetsofthePartnershipshallbeliquidatedandtheproceedsdistributedtothePartnersinaccordancewiththeirrespectiveinterests.

14.Non-Transferability.NoPartnermaytransferanyinterestinthePartnershipwithoutthepriorwrittenconsentoftheotherPartner(s).

15.Confidentiality.EachPartnershallkeepconfidentialallinformationrelatingtothebusinessofthePartnershipandshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherPartner(s).

16.GoverningLaw.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthe__________.

17.EntireAgreement.ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,whetheroralorwritten.
