[TotalPrice]2.Delivery.TheSuppliershalldelivertheProductstotheBuyer'sdesignatedlocation(the"DeliveryLocation")onorbeforethedeliverydatespecifiedinthisAgreement(the"DeliveryDate").TheSuppliershallberesponsibleforallshippingandtransportationcostsassociatedwiththedeliveryoftheProductstotheDeliveryLocation.3.PaymentTerms.TheBuyershallpaytheSupplierfortheProductsinaccordancewiththefollowingterms:[PaymentMethod]

[InterestRate(ifapplicable)]4.Warranty.TheSupplierwarrantsthattheProductsconformtothespecificationssetforthinthisAgreementandarefreefromdefectsinmaterialsandworkmanship.TheSupplier'ssoleobligationunderthiswarrantyshallbetoreplaceorrepairanydefectiveProductsattheSupplier'ssolediscretion.TheSuppliershallnotbeliableforanyincidental,consequential,orpunitivedamagesarisingoutoforrelatedtotheProductsorthisAgreement.5.ForceMajeure.IfaPartyisunabletoperformanyofitsobligationsunderthisAgreementduetoaneventofforcemajeure(asdefinedinSection16),suchPartyshallbeexcusedfromperformanceunderthisAgreementtotheextentoftheimpediment,providedthattheaffectedPartypromptlynotifiestheotherPartyoftheexistenceandnatureoftheforcemajeureeventandtakesreasonablestepstomitigatetheeffectsoftheevent.6.Confidentiality.ThePartiesagreetomaintaintheconfidentialityofthetermsandconditionsofthisAgreement,exceptasrequiredlaworcourtorder.TheSuppliershallnotusetheBuyer'snameorlogoforanypromotionalpurposeswithouttheBuyer'spriorwrittenconsent.8.GoverningLawandDisputeResolution.ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[GoverningJurisdiction].AnydisputesarisingoutoforrelatedtothisAgreementshallberesolvedthroughbindingarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].9.EntireAgreement.ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreementsandunderstandings,bothwrittenandoral,relatingtothesubjectmatterofthisAgreement.INWITNESSWHEREOF,thePartieshaveexecutedthisAgreementasoftheEffectiveDate.[SignatureofSupplier'sRepresentative]

1.供应商：指承担供应产品义务的一方

2.买方：指接受产品并支付价款的一方

3.产品：指合同中约定的供应物品

4.交付：指供应商将产品运输至买方指定地点的行为

5.付款：指买方按照约定时间and方式支付供应商产品价款的行为四、执行中遇到的问题及解决办法：

1.供应商延迟交付产品：协商延期交付，必要时根据合同约定索赔违约金

2.产品规格不符合约定：要求供应商更换或修理，必要时根据合同约定索赔损失

3.供应商未能履行保修义务：要求供应商承担保修责任，必要时根据合同约定索赔损失

4.买方延迟支付款项：
