标准合同英文版采购条款合同编号：__________StandardContractEnglishVersionProcurementTermsThisContract(hereinafterreferredtoasthe"Contract")ismadeandenteredintoasof____________(the"EffectiveDate"),andbetween:(Eacha"Party"andcollectivelythe"Parties")BACKGROUND:WHEREAS,thePurchaserdesirestopurchasecertaingoods(the"Goods")fromtheSupplier,andtheSupplieriswillingtoselltheGoodstothePurchaseronthetermsandconditionssetforthherein;NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhicharehereacknowledged,thePartiesagreeasfollows:Article1:DefinitionandInterpretation1.1DefinedTerms.capitalizedtermsusedhereinshallhavethemeaningsassignedtotheminthisArticle1orasotherwisedefinedorinterpretedthroughoutthisContract,exceptasotherwiseprovidedorunlessthecontextclearlyrequiresotherwise.1.2Interpretation.TheheadingsinthisContractareforconvenienceonlyandshallnotbeusedtointerpretorconstrueitsprovisions.Theterms"include,""includes,""including,"oranysimilarlanguageshallbedeemedtomean"includingwithoutlimitation."Article2:PurchaseandSaleofGoods2.1PurchaseofGoods.ThePurchaseragreestopurchasefromtheSuppliertheGoodsinaccordancewiththetermsandconditionssetforthinthisContract.2.2DeliveryofGoods.TheSuppliershalldelivertheGoodstothePurchaseratthelocationspecifiedinthisContract(the"DeliveryLocation")onorbeforethedeliverydatespecifiedinthisContract(the"DeliveryDate").TheSuppliershallberesponsibleforallcostsandexpensesrelatedtothedeliveryoftheGoodstotheDeliveryLocation.2.3InspectionandAcceptanceofGoods.ThePurchasershallhavetherighttoinspectandtesttheGoodsupondelivery.IftheGoodsdonotconformtothespecifications,requirements,orstandardssetforthinthisContract,thePurchasermay,atitssolediscretion,either(a)requiretheSuppliertoreplaceorrepairthenonconformingGoodsattheSupplier'ssolecostandexpenseor(b)returnthenonconformingGoodstotheSupplierandreceiveafullrefundofthepurchasepricepaidforsuchnonconformingGoods.2.4TitleandRiskofLoss.TitletotheGoodsandriskoflossordamagetotheGoodsshallpassfromtheSuppliertothePurchaserupondeliveryoftheGoodstotheDeliveryLocation.Article3:PriceandPaymentTerms3.1Price.ThepriceoftheGoods(the"PurchasePrice")shallbeassetforthinthisContract.ThePurchasePriceshallbeexclusiveofanyapplicabletaxes,duties,tariffs,imposts,andotherlikecharges(collectively,the"Taxes"),whichshallbepaidthePurchaser.3.2PaymentTerms.ThePurchasershallmakepaymentfortheGoodstotheSupplierwithinthetimeframespecifiedinthisContract.ThePurchasershallmakepaymentthemethodspecifiedinthisContract.Article4:Warranties4.1QualityWarranties.TheSupplierwarrantsthattheGoodswillconformtothespecifications,requirements,andstandardssetforthinthisContractandwillbefreefromdefectsinmaterialsandworkmanship.TheSupplierfurtherwarrantsthatithasgoodtotheGoodsandthattheGoodsarefreefromanyliens,encumbrances,orclaimsofanythirdparty.4.2Remedies.IftheGoodsdonotconformtothewarrantiessetforthinthisArticle4,thePurchasermay,atitssolediscretion,either(a)requiretheSuppliertoreplaceorrepairthenonconformingGoodsattheSupplier'ssolecostandexpenseor(b)returnthenonconformingGoodstotheSupplierandreceiveafullrefundofthepurchasepricepaidforsuchnonconformingGoods.Article5:IntellectualPropertyRights5.1Ownership.TheSupplierheregrantstothePurchaseranonexclusive,worldwide,andperpetuallicensetouse,copy,modify,anddistributeanyandallintellectualpropertyrights(includingpatents,一、附件列表：1.货物规格书2.供应商的资质证明3.采购订单4.运输文档5.质量检测报告6.付款凭证7.保修条款二、违约行为及认定：1.供应商未能按照合同约定的时间交付货物，认定为迟延交货。2.货物不符合合同约定的质量标准，认定为质量违约。3.供应商未能履行合同约定的售后服务义务，认定为服务违约。4.采购方未能按照合同约定的时间支付货款，认定为迟延付款。5.采购方未能履行合同约定的其他义务，认定为其他违约行为。三、法律名词及解释：1.迟延交货：指供应商未能在合同约定的时间内交付货物。2.质量违约：指货物不符合合同约定的质量标准。3.服务违约：指供应商未能履行合同约定的售后服务义务。4.迟延付款：指采购方未能在合同约定的时间内支付货款。5.其他违约行为：指合同中约定的除上述违约行为外的其他违约情况。四、执行中遇到的问题及解决办法：1.遇到迟延交货：与供应商沟通，要求其尽快交付货物；如无法解决，可依据合同约定索赔。2.遇到质量问题：要求供应商替换或修复问题货物；如无法解决，可依据合同约定索赔。3.遇到服务问题：要求供应商履行售后服务义务；如无法解决，可依据合同约定索赔。4.遇到迟延付款：与采购方沟通，要求其尽快
