NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:Article1:Services

1.1PartyBagreestoprovideconsultingservicestoPartyAinconnectionwithPartyA'sbusiness,includingbutnotlimitedto____________________________,subjecttothetermsandconditionssetforthinthisAgreement.

1.2PartyBagreestoprovidetheserviceswithduecare,skill,anddiligenceinaccordancewiththeprofessionalstandardsgenerallyacceptedintheconsultingindustry.

1.3TheservicesshallbeperformedPartyBatsuchtimesandplacesasPartyAmaydesignate.Article4:Payment

4.1PartyAagreestopayPartyBafeeof____________________fortheservicesrenderedunderthisAgreement.

4.2ThefeeshallbepaidPartyAwithin30daysafterreceiptofaninvoicethereforfromPartyB.

4.3PartyAmaywithholdfromthefeeanyapplicabletaxes,levies,ordutiesimposedanygovernmentalauthorityhavingjurisdictionoverPartyA.Article5:Indemnification

5.1PartyBagreestoindemnifyandholdharmlessPartyA,itsofficers,directors,employees,andagentsfromandagainstanyandalllosses,damages,claims,suits,actions,demands,liabilities,andexpenses(includingreasonablelegalfees)arisingoutoforinconnectionwithanyactoromissionofPartyBoritsemployeesoragentsinconnectionwiththeperformanceoftheservicesunderthisAgreement.

5.2PartyAagreestoindemnifyandholdharmlessPartyB,itsofficers,directors,employees,andagentsfromandagainstanyandalllosses,damages,claims,suits,actions,demands,liabilities,andexpenses(includingreasonablelegalfees)arisingoutoforinconnectionwithanyactoromissionofPartyAoritsemployeesoragentsinconnectionwiththeperformanceoftheservicesunderthisAgreement.Article6:Miscellaneous

6.1ThisAgreementmaynotbeassignedeitherpartywithoutthepriorwrittenconsentoftheotherparty.

6.2IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallnotinanywaybeaffectedorimpaired.

6.3ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.INWITNESSWHEREOF,thepartieshaveexecuted一、附件列表：

1.未能按照约定时间提供服务或完成工作。

2.未能达到服务绩效评估标准。

3.未经许可泄露保密信息。

4.未能按时支付费用。

5.未能履行合同中的其他义务。

6.任何一方未经对方同意擅自变更或终止合同。三、法律名词及解释：

1.保密信息：指在合同期间双方未公开的、能为一方带来经济利益或竞争优势的信息。

2.服务绩效评估标准：指双方约定的衡量服务质量和效果的具体标准。
