INTENTTOAGREECONTRACT

ThisIntenttoAgreeContract("Contract")isenteredintoasof[InsertDate],byandbetween[InsertPartyAName],a[InsertPartyAType,e.g.,corporation,individual],withitsprincipalplaceofbusinessat[InsertPartyAAddress]("PartyA"),and[InsertPartyBName],a[InsertPartyBType,e.g.,partnership,individual],withitsprincipalplaceofbusinessat[InsertPartyBAddress]("PartyB").

WHEREAS,PartyAandPartyBhaveengagedinpreliminarydiscussionsconcerningapotentialbusinessrelationship,andhavemutuallyexpressedaninterestinenteringintoadefinitiveagreement(the"DefinitiveAgreement")baseduponthetermsandconditionssetforthherein;

NOW,THEREFORE,inconsiderationofthemutualpromisesandcovenantscontainedherein,andforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesagreeasfollows:

1.IntenttoNegotiate.ThepartiesintendtonegotiateingoodfaithandusetheirbesteffortstoreachaDefinitiveAgreementwithin[InsertTimePeriod,e.g.,60days]fromthedatehereof.

2.Non-BindingNatureofThisContract.ThisContractisnotintendedtobe,andshallnotbedeemed,alegallybindingagreementbetweentheparties.Itissolelyanexpressionoftheparties'intenttonegotiateanddoesnotcreateanyobligationsorliabilitiesonthepartofeitherparty.

3.Confidentiality.ThepartiesagreetotreatanyinformationexchangedduringthenegotiationprocessasconfidentialandtousesuchinformationsolelyforthepurposeofnegotiatingtheDefinitiveAgreement.

4.Expiration.ThisContractshallexpireautomatically[InsertTimePeriod,e.g.,60days]fromthedatehereofunlessextendedinwritingbymutualagreementofbothparties.

5.NoReliance.Neitherpartyshallbeentitledtorelyuponanystatement,representation,warranty,orunderstanding,whetherwrittenororal,expressedorimplied,notcontainedinthisContract.

6.NoThird-PartyBeneficiary.ThisContractisintendedforthebenefitofthepartiesheretoandtheirrespectivesuccessorsandassigns,andnootherpersonorentityshallhaveanyrightorcauseofactionhereunder.

7.GoverningLaw.ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthe[InsertJurisdiction,e.g.,StateofNewYork],withoutgivingeffecttoanychoiceoflaworconflictoflawprovisionorrulethatwouldcausetheapplicationofthelawsofanyjurisdictionotherthanthoseofthe[InsertJurisdiction].

8.EntireAgreement.ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriorandcontemporaneousagreementsandunderstandings,whetherwrittenororal,relatingthereto.

9.ModificationandWaiver.Noamendment,modification,orwaiverofanyprovisionofthisContractshallbeeffectiveunlessitisinwritingandsignedbybothparties.

10.Counterparts.ThisContractmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.

INWITNESSWHEREOF,thepartieshaveexecutedthisIntenttoAgreeContractasofthedatefirstabovewritten.
