户外广告发布合作协议合同编号：__________OutdoorAdvertisingReleaseCooperationAgreementThisOutdoorAdvertisingReleaseCooperationAgreement(the"Agreement")ismadeandenteredintoasof__________(the"EffectiveDate"),andbetween:PartyA:LegalRepresentative:Address:ContactPerson:Tel:PartyB:LegalRepresentative:Address:ContactPerson:Tel:(eacha"Party"andcollectivelythe"Parties").WHEREAS,PartyAdesirestoadvertiseitsproductsorservicesmeansofoutdooradvertising,andPartyBdesirestoprovideoutdooradvertisingservicestoPartyA;WHEREAS,thePartiesintendtoenterintothisAgreementtosetforththetermsandconditionspursuanttowhichPartyBwillprovideoutdooradvertisingservicestoPartyA.NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhicharehereacknowledged,thePartiesagreeasfollows:Article1:Services1.1Services.PartyBagreestoprovideoutdooradvertisingservicestoPartyA,includingbutnotlimitedtothefollowing:(a)Preparationanddisplayofoutdooradvertisingmaterials;(b)Installation,maintenanceandremovalofoutdooradvertisingfacilities;(c)Provisionofapplicablepermitsandlicenses;(d)AnyotherservicesagreedupontheParties.1.2Cooperation.PartyAshallprovidePartyBwithallnecessaryinformation,materialsandcooperationtoenablePartyBtoperformitsobligationsunderthisAgreement.Article2:AdvertisingSpaces2.1AdvertisingSpaces.PartyBshallprovidePartyAwiththefollowingadvertisingspaces(the"AdvertisingSpaces"):(a)__________;(b)__________;(c)__________;(d)__________.2.2Locations.TheAdvertisingSpacesshallbelocatedatthefollowingaddresses:(a)__________;(b)__________;(c)__________;(d)__________.Article3:TermsofAdvertising3.2AdvertisingMaterials.PartyAshallprovidePartyBwithhighqualityadvertisingmaterialsinaccordancewiththespecificationssetforthinExhibitAattachedhereto.3.4InstallationandRemoval.PartyBshallberesponsiblefortheinstallationandremovaloftheadvertisingmaterials,inaccordancewiththeschedulesetforthinExhibitBattachedhereto.Article4:Payment4.1Fees.PartyAshallpayPartyBthefollowingfeesfortheservicesprovidedunderthisAgreement(the"Fees"):(a)__________;(b)__________;(c)__________;(d)__________.4.2PaymentTerms.TheFeesshallbepaidPartyAtoPartyBwithin__________afterthedateoftheinvoiceissuedPartyB.4.3Taxes.AllFeesshallbeexclusiveofanytaxes,levies,dutiesorsimilarchargesimposedanytaxingauthority,andPartyAshallberesponsibleforthepaymentofallsuchtaxes,levies,dutiesorsimilarcharges.Article5:WarrantiesandRepresentations5.1PartyAWarranties.PartyArepresentsandwarrantstoPartyBthat:(a)Ithasthefullright,powerandauthoritytoenterintothisAgreementandtoperformitsobligationshereunder;(c)ItwillnotusetheAdvertisingSpacesforanyillegalorunauthorizedpurpose.5.2PartyBWarranties.PartyBrepresentsandwarrantstoPartyAthat:(a)Ithasthefullright,powerandauthoritytoenterintothisAgreementandtoperformitsobligationshereunder;(b)Itwillperformtheservicesinaprofessionalandworkmanlikemanner,inaccordancewiththestandardsgenerallyacceptedintheadvertisingindustry;(c)Itwillobtainandmaintainallnecessarypermitsandlicensesinconnectionwiththeprovisionoftheservices.Article6:Indemnification6.1一、附件列表：1.附件A：广告材料规格书2.附件B：广告设施安装时间表3.附件C：发票模板4.附件D：广告许可和permits二、违约行为及认定：1.违约行为：未能按照约定时间支付费用；未能提供符合约定规格的广告材料；未能在约定时间内完成广告设施的安装、维护或移除；使用广告空间进行非法或未经授权的活动。2.违约认定：迟延支付：超过约定的支付期限未支付费用；材料不符：广告材料不符合附件A中规定的规格；服务不当：服务未达到行业标准或专业水准；非法活动：使用广告空间进行违法或未授权活动。三、法律名词及解释：1.户外广告：指在室外公共场所设置的，用以宣传商品、服务或观念的视觉展示形式。2.广告发布合作协议：双方约定广告发布方提供广告服务，广告主支付相应费用的合同。3.违约：当事人不履行合同义务或履行不符合约定的情形。4.迟延支付：超过约定的付款期限未能支付款项。5.广告材料：用于制作户外广告的视觉元素，包括图片、文字、颜色等。四、执行中遇到的问题及解决办法：1.问题：广告材料制作延误解决办法：协商延长广告展示期限或调整广告发布计划。2.问题：广告设施安装不当解决办法：立即通知乙方进行修复或重新安装，并根据情况索赔损失。3.问题：费用支付纠纷解决办法：参照附件C的发票模板，及时开具并核对发票，确保双方权益。4.问题：广告活动许可问题解决办法：乙方应
