年专利产品保密协议合同编号：__________parties1.partya(the"discloser"):[insertnameofdisclosingparty][insertaddressofdisclosingparty][insertcontactinformationofdiscloser]2.partyb(the"recipient"):[insertnameofrecipientparty][insertaddressofrecipientparty][insertcontactinformationofrecipient]agreement1.confidentialinformation1.1thedisclosershalldiscloseormakeavailabletotherecipientcertainproprietaryandconfidentialinformation(the"confidentialinformation")inconnectionwiththedevelopment,productionandmarketingofthepatentedproduct(asdefinedinsection1.2).1.2forthepurposesofthisagreement,the"patentedproduct"means[insertnameofthepatentedproduct].1.3theconfidentialinformationshallinclude,butnotbelimitedto,technicaldata,knowhow,tradesecrets,designs,specifications,processes,customerlists,pricinginformation,salesinformation,marketingplans,businessstrategiesandanyotherinformationthatisdesignatedasconfidentialthediscloser.1.4therecipientacknowledgesthattheconfidentialinformationisvaluabletothediscloserandthatunauthorizeduseordisclosureoftheconfidentialinformationwouldcausesignificantharmtothediscloser.2.obligationsoftherecipient2.1therecipientagreesto:(a)usetheconfidentialinformationonlyforthepurposeofevaluatingthepatentedproductanddiscussingpotentialbusinessopportunitieswiththediscloser;(b)maintaintheconfidentialityoftheconfidentialinformationandnotdiscloseittoanythirdparty,exceptasrequiredlaworwiththepriorwrittenconsentofthediscloser;(c)limitaccesstotheconfidentialinformationtothoseofitsemployees,agentsandrepresentativeswhohaveaneedtoknowtheinformationforthepurposeofperformingtheirdutiesandwhoareboundconfidentialityobligationsatleastasrestrictiveasthosecontainedinthisagreement;(d)notusetheconfidentialinformationforanypurposeotherthanthoseexpresslypermittedinthisagreement;and(e)promptlynotifythediscloserofanyunauthorizeduseordisclosureoftheconfidentialinformation.3.durationandtermination3.1thisagreementshallremainineffectforaperiodof[insertdurationoftheagreement,e.g.,twoyears]fromthedateofexecution(the"term").3.2eitherpartymayterminatethisagreementatanytimeuponwrittennoticetotheotherparty.3.3uponterminationofthisagreement,therecipientshall:(a)returnallcopiesoftheconfidentialinformationtothediscloser;(b)destroyallcopiesoftheconfidentialinformationintherecipient'spossessionorcontrol,excepttotheextentthattherecipientisrequiredlawtoretaintheinformation;and4.indemnification4.1therecipientshallindemnifyandholdharmlessthediscloserfromanyclaims,damages,lossesorexpenses(includingreasonableattorney'sfees)arisingoutoforinconnectionwithanybreachofthisagreementtherecipientoranyunauthorizeduseordisclosureoftheconfidentialinformationtherecipient.5.generalprovisions5.1thisagreementmaynotbeassignedeitherpartywithoutthepriorwrittenconsentoftheotherparty.5.2ifanyprovisionofthisagreementisheldtobeinvalidorunenforceable,suchprovisionshallbeconstruedascloselyaspossibletoreflecttheoriginalintentoftheparties,andtheotherprovisionsofthisagreementshallremaininfullforceandeffect.5.3thisagreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiationsanddiscussions,whetheroralorwritten,oftheparties.INWITNESSWHEREOF,thepartieshaveexecutedthisagreementasofthedatefirstabovewritten.partya:[signatureofauthorizedrepresentativeofpartya][nameofauthorizedrepresentativeofpartya][ofauthorizedrepresentativeofpartya]partyb:[signatureofauthorizedrepresentativeofpartyb][nameofauthorizedrepresentativeofpartyb][ofauthorizedrepresentativeofpartyb]一、附件列表：1.年专利产品保密协议二、违约行为及认定：1.未经许可使用或披露保密信息；2.未按约定时间终止保密义务；3.未按约定方式处理保密信息；4.违反约定使用专利产品。三、法律名词及解释：1.保密信息：指专利产品的技术数据、商业秘密等对披露方具有商业价值的信息。2.专利产品：指双方约定的受专利保护的产品。四、执行中遇到的问题及解决办法
