3.任：Appointment

甲方指定乙方为其在中国的全权采购代理，采购甲方指定的烯烃芳烃加氢和异构化催化剂，瓦斯油（AGO+VGO）脱硫催化剂，石脑油加氢催化剂（详见产品采购合同）。

4.双方的职责：Dutiesoftwoparties:

(1)甲方所需的'采购业务应提交给乙方详细的采购产品信息，比如材质、尺寸、数量、品质等具体要求。PartyAshallprovidealltheinformationofthepurchasingproductstoPartyB,suchasmaterial,size,quantity,qualityandotherconcreterequirements.

乙方向甲方提供采购产品客户信息，代理信息，代理租船顾问业务等。负责落实甲方采购产品资源，渠道和谈成供货意向一并介绍给甲方。

PartyBshallprovidePartyAcustomers’informationandagentinformation,consultancyserviceonagentschartering.Besides,heshallfindandconfirmtheproductsresourcesandsupplychannel,thenintroducetheseinformationtotallytoPartyA.

(2)因甲方购买的产品涉及专利产权和产品生产者指定代理的情况，乙方负责促成甲方与产品生产者或产品生产者代理商之间签署采购协议，实现贸易，并负责为甲方对采购产品取样、验货、出货等的环节进行服务。

PartyBshallhelpandfacilitatePartyAsignthePurchasingAgreementwiththesuppliersoragents,alsoshouldprovideservicesinmanyaspects,suchassampling,inspection,deliveryandothermatters.

5.货款的支付方式：Paymentofgoods

甲方购买的产品涉及专利产权或产品生产者指定代理的情况，甲方与产品生产者或产品生产者代理商之间直接签署采购协议，货款支付方式由协议双方协商达成一致。

6.佣金的计算、给付方式、给付时间：Commissioncalculation,paymentmethods,paymenttime甲方同意按照采购产品总金额的（1-5）%支付佣金给乙方，支付日期为付款给卖方的同一天，佣金汇入乙方指定银行账户。如甲方以预付款或分期付款的形式向卖方支付货款，在甲方向卖方支付第一笔货款的同时向乙方全额支付采购产品总金额的佣金。

7.违约责任：

(1)甲方若不按本合同第6条的执行，逾期一天应支付乙方滞纳金，滞纳金系数为：总佣金的5‰/天。

8.协议的修改：Modification

此协议书只有经双方共同签字后才能作修改，

9.不可抗力：ForceMajeure

由于水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克服的其他事件导致不能或暂时不能全部或部分履行本协议，该方不负责任。但是，受不可抗力事件影响的一方须尽快将发生的事件通知另一方，并在不可抗力事件发生15天内将有关机构出具的不可抗力事件的证明寄交对方。

10.仲裁：Arbitration

因履行本协议所发生的一切争议应通过友好协商解决。如协商不能解决争议，则应将争议提交中国国际经济贸易仲裁员会(北京)，依据其仲裁规则进行仲裁。仲裁裁决是终局的，对双方都有约束力，仲裁费用，除另有规定外，由败诉一方负担。

八、甲方的责任：

8.甲方须按时将出租房屋及其家私家具用品与其设施以良好状态交付乙方使用。

租赁期内甲方不得收回出租房屋(除非本合同另有规定)，甲方保证乙方可不受干扰的享用该物业。

在乙方遵守本合同的条款及支付租金的前提下，乙方有权于租赁期内拒绝甲方或其他人骚扰而安静享用出租房屋。

九、乙方的责任：

9.乙方应按合同的规定，按时支付租金，保证金及其他各项应付费用。

乙方应爱护使用出租房屋，如因乙方的过失或过错致使房屋设施及屋内用具和饰品受到损坏(正常损耗除外)，乙方应负赔偿责任。

乙方应按本合同的约定合法使用出租房屋，不得擅自改变使用性质，不应存放xxx法律下所禁止的危险物品，如因此发生损害，乙方应承担全部责任。

十、违约处理：

十一、适用法律：

仲裁:

Anydisputesarisingfromtheexecutionof,orinconnectionwiththiscontractshallbesettledamicablythroughfriendlynegotiationsbetweenbothparties.Incasenosettlementcanbereachedwithin21daysthroughnegotiation,thecaseshallbesubmittedtotheForeignTradeArbitrationCommissionoftheChinaCouncilforthePromotionalInternationalTrade,forarbitration,inaccordancewithitsprovisionruleofprocedure.Thearbitralawardshallbeacceptedasfinalandbindinguponbothparties.Thearbitrationfeeshallbebornebythelosingparty.

(15)逾期发运：如果由于买方原因造成逾期发运，买方承担责任。造成自签订合同之日起超过45天不能发运的，卖方将每日按货物金额的3%收取保管费；如果由于买方原因造成逾期发运超过6个月，卖方有权自行处置定金和货物。如果是卖方原因造成的逾期发运，卖方需提前告知买方并得到买方的确认并承担其他相关费用。

(16)质量/数量异议：对于质量方面的异议，买方必须在货物抵达目的港后30天之类提出：对于数量方面的异议，买方必须在货物抵达目的港后15天之内提出。对由于保险公司、运输公司、其他运输机构或邮局的原因所造成的货物差异，卖方不负任何责任。QUALITY/QUANTITYDISCREPANCY:Incaseofqualitydiscrepancy,claimshallbefiledbytheBuyerwithin30daysafterthearrivalofthegoodsatportofdestination;whileforquantitydiscrepancy,claimshallbefiledbythebuyerwithin15daysafterthearrivalofthegoodsatportofdestination.ItisunderstoodthattheSellershallnotbeliable,foranydiscrepancyofgoodsshippedduetocausesforwhichtheInsuranceCompany,ShippingCompany,othertransportationorganizationorPostOfficeareliable.

(17)不可抗力：卖方对由于下列原因而导致不能或暂时不能履行全部或部分合同义务的.，不负责任：水灾、火灾、地震、干旱、战争或其他任何在签约时卖方不能预料、无法控制且不能避免和克服的事件。但卖方因尽快地将所发生的事件通知对方，并应在事件发生后15天内将有关机构出具的不可抗力事件的证明寄交对方。如果不可抗力事件之影响超过120天，双方应协商合同继续履行或终止履行的事宜。

FORCEMAJEURE:SellershallnotberesponsibleforfailureordelayinperformanceofentireorportionoftheseSaleContractobligationsinconsequenceofForceMajeureincidents:flood,fire,earthquake,drought,war,oranyothermatterscouldn’tbeforeseenorcontrolledorcouldn’tbeavoided.ButSellershallinformtheincidentstoBuyerimmediately,andshalldeliverythecertificateofForceMajeureincidentsissuedbyrelatedorganizationwithin15daysaftertheincidentshappened.Iftheincidentsinfluencemorethan120days,bothpartiesshallnegotiatetodecidewhethertoexecuteorterminatetheSalesContract.

(18)仲裁：因履行本合同所发生的一切争议，双方应友好协商解决，如协商仍不能解决争议，则应将争议提交中国国际经济贸易仲裁委员会（北京），依据其仲裁规则仲裁。仲裁裁决是终局的，对双方都有约束力。仲裁费应由败诉一方承担，但仲裁委员会另有裁定的除外。在仲裁期间，除仲裁部分之外的其他合同条款应继续执行。

第五条借款利率和计息Article5.Interestrateofloanandcalculation

借款利率。本合同项下借款利率根据国家有关规定，确定利率见。遇利率调整时，借款期限在1年(含)以下的，执行合同利率，不分段计息;借款期限在1年以上的，实行分段计息，从利率调整的次年1月1日开始，按相应利率的档次执行新的利率;如借款人未按约定时间归还借款本息或未按合同约定用途使用借款，贷款人将按国家规定对借款人计收罚息，罚息率见。

第六条还款方式Article6TypeofRepaymentofLoan

借款人应在贷款人开设帐户，户名和帐号见，并保证在每次还款日前足额存入当期应还款项的存款。借款人在此授权贷款人从借款人该帐户中扣收借款本金、利息和可能发生的复利、罚息、违约金、保费、损害赔偿金及实现债权的费用(含律师费和诉讼费)。如该帐户资产不足以归还到期的贷款本息，贷款人有权从借款人在中国工商银行任何分支机构开立的任何帐户划收。

TheBorrowershouldopenanaccountwiththeLender(Theaccountnameandaccountnumberarespecifiedin.)andpromisetodepositsufficientmoneyforrepaymentbeforeeachduedate.TheBorrowerherebyauthorizestheLendertocollect,ifany,compoundinterest,defaultinterest,liquidateddamage,premium,compensationandexpensesarisingfromtherealizationofcreditorsright(includinglawyersfeeandcourtexpense)inadditiontodueprincipalandinterestofloan.IncasetheassetinthisAccountisnotenoughforrepaymentofdueprincipalandinterest,theLendershallbeentitledtocollectfromanyAccountopenedbytheBorrowerwithanybranchofICBC.

贷款人与借款人双方商定，自贷款发放次月起，借款人按月归还贷款本息(一次性还本付息除外)，还款期数及还款方式见。
