如果由于包装不良或防护不当而引起货物损坏，卖方应承担由此而造成的全部损失和后果。Wherethegoodsaredamagedduetopoorpackingorimproperprotection,forwhichsellershallbearalltheconsequencethereonorincidantalthereto.

保险

ArticleTwelveInsurance1.

由卖方代买方按发票金额110%投保至2012年1月1日，投保一切险。Insuranceiseffectedbyselleronbehalfofbuyerfor110%ofinvoicevaluecoveringallrisksuntilJanuary1,2012.

2.

一切险以中国人民保险公司有关海洋运输货物条款为准。AllrisksshallbesubjecttothetermsandconditionsofmarinecargotransportationofthePeople'sInsuranceCompanyofChina.

3.

保险公司的保险责任是自被保险货物运离保险单所载明的装运港发货人的仓库开始，一直到被保险的货物到达保险单所载明的目的港收货人的仓库时为止。Theinsuranceliabilityoftheassurercommencesfromthetimeonwhichtheinsuredcargosareshippedfromconsignor’swarehouseoftheportofshipmentasstatedinthepolicy,untiltheinsuredgoodsarriveatconsignee’swarehouseattheportofdestinationasstatedinthepolicy.

ResponsibilitiesofParties

卖方责任

Seller’sResponsibilities1．在合同规定的装运港和装运日期或期间内，将货物装上指定的船只，并及时通知买方。Thegoodsshould,onthedateorperiodofshipmentattheportofshipmentasstipultedherein,beshippedonthedesignatedvesselandnotifybuyderwithoutdelay.

2．承担货物在装运港越过船舷前的一切费用和风险。Undertakeallcostsandrisksbeforethegoodscrosstheship'ssideattheportofshipment.

3．办理出口手续，取得出口许可证或其他官方批准文件，并办理货物出口所必需的一切海关手续。Handleexportformalities,obtainexportlicenseorotherofficialapprovaldocumentsinadditiontodealwithallcustomsformalitiesnecessaryforexportofgoods.

4．提供清洁已装船单据、商业发票以及其他合同规定的单据。Provisionofcleanshippingdocuments,commercialinvoicesandotherdocumentsstatedherein.

5．卖方保证货物崭新，未曾使用，并在各方面与合同规定的质量、规格和性能相一致。Sellerguaranteesthatthegoodsarenewandunused,andinallaspectsareinconsistencewiththequality,specificationsandperformancestipulatedinthecontract.

6.卖方保证其商品的质量符合说明书所规定的指标，如在保证期内发现制造工艺不良，或材料缺陷，买方有权提出索赔，卖方有义务更换缺陷材料或商品，并承担由此引起的各项费用。Sellerguaranteesthatthequalityofgoodsareinconformitywiththestandardspecifiedinthespecification.Providedthatanypoormanufactuingtechniquesordefectivematerialarefoundduringthewarrantyperiod,buyershallhavetherighttomakeaclaimtherefor,andsellershallbeobligedtoreplacethedefectivematerialsorgoodsinaddtiontobearthecostsarisingtherefrom.

买方责任

Buyer’sResponsibilities1.负责租船订舱、支付运费和保险费，并将船期、船名、装船地点及时通知卖方。Beresponsibleforchartering,paymentoffreightandinsurance,andnotifysellerintimeofthearrivingdate,nameofvesselandplaceofshipment.

2.承担货物越过船舷后的一切费用和风险，办理进口许可证或其他官方批准证件。Undertakeallchargesandrisksafterthegoodscrosstheship’ssideandtreatwiththeimportlicenseorotherofficialapprovaldocuments.

3.按照合同规定按时支付货款，并及时收取符合合同规定的货物。Effectpaymentofthegoodsonscheduleasperstipulationofcontractandreceivethegoodswhichconformtothestipulationofcontractintime.

4.

如果买方未能及时将指定的装运船的船名、装货泊位及装船日期通知卖方，或者买方指定的船只未能按时到达装运港，买方应承担由此产生的一切风险和损失。Providedthatbuyerfailstonotifytheselleroftheship'sname,berthanddateofshipmentintime,orthevesselappointedbythebuyerfailstoarriveattheportofshipmentontime,alltherisksandlossesarisingtherefromwillbeundertakenbybuyer.

第十四条

付款方式

ArticleFourteenPayment1.

买方须于合同签订后的15天内将保兑的、不可撤销的、可转让、可分割的，以卖方为受益人的即期信用证开到卖方，信用证议付有效期至上列装运期后30天在中国到期。Buyershall,within15dayssubsequenttotheconclusionhereof,establishtheconfirmed,irrevocable,transferable,divisibleandinfavourofsellerL/CatsighttothesellerandthenegotiationoftheL/Cshallexpireuntill30daysaftertheprecedingshippingperiodinChina.

2.

买方于合同签订后以汇付方式支付相当于合同总价款35%的定金。Buyershall,subsequenttoconclusionhereof,effectpaymentof35%oftotalcontractpricebyremittanceasearnestmoney.

3.信用证凭受益人出具的以开证行为付款人的汇票以及本合同所规定各项单据，自提单日起三十天（包括提单日在内），由开证行将货款电汇中国银行。信用证金额应按双方商定的交货数量增开5%。信用证上须证明租船提单可以接受。Openingbankshall,within30daysafterthedateofbilloflading(andincluding),remitthepaymentforgoodsbyT/TtoChinaBankunderL/Cagainstthedraftissuedbybeneficiarydrawnonopeningbankandalldocumentsasstipulatedhereof.Theamountoftheletterofcreditshallbeincreasedby5percentasagreedbybothparties.TheL/Cshallstatethatthebillofladingofcharterpartyisacceptable.

第十五条

检验条款

ArticleFifteen

Inspection1.

货物在装船前，由卖方出口商检机构对货物进行检验，并签发检验证书，作为向银行议付货款的单据。Theseller’sexportinspectionauthorityshall,priortoshipment,effectinspectionofthegoodsandissueinspectioncertificateasthedocumentsfornegotiatingpaymenttobank.

2.

在货物抵达目的港之后，买方有复验权，由目的港所在地的有关检验机构对货物进行复验，相关检验费用由买方负担。Buyerreservethereinspectionrightsubsequenttothearrivalofthegoodsatthtportofdestination.Thereinspectionwillbeeffectedbytheinspectionauthorityattheportofdestination,andtherelativechargeswillbeforaccountofbuyer.

（三）如果发现货物的品质、数量与合同不符，买方以目的港所在地的有关检验机构出具的检验证书作为索赔的依据，向卖方提出索赔。索赔期限为货到目的港

天内。Providedthatthequalityandquantityofthegoodsarefoundtobeinconsistentwiththecontract,buyershallmakeaclaimagainstselleronthebasisoftheinspectioncertificateissuedbytherelevantinspectionauthorityatportofdestination.Theclaimperiodiswithin

第十六条

交货ArticleSixteen

DeliveryofGoods1.

交货条件：卖方于

日在中国广州港将货物装在买方指定的船只上，并及时通知买方。DeliveryTerm:Sellershall,onthedateof

atportofGuangzhouChina,effectshipmentofthegoodsonboardofthevesseldesignatedbybuyerandadvicebuyerwithoutdelay.

第十七条

索赔

Claim（一）索赔

Claim

买方对于所交货物的任何异议或索赔，必须在货到达提单规定的目的地45天内提出，并要提供经卖方同意的检验机构所出具的检验报告。Objectionorclaimonthegoodswhichdeliveredbybuyershouldbefiledwithin45daysafterarrivalofgoodsatthedestinationspecifiedinthebillofladingandaccompaniedbytheinspectioncertificateissuedbytheinspectionauthoritywhichagreedbyseller.

（二）罚金

Penalty1.

如果卖方不能按期交货，每推迟6天应支付总货款的0.4%的罚金，不足6天者以6天计算。Wheresellerfailstodeliverthegoodsontime,apenaltywhichequalto0.4%ofthetotalpaymentshallbepayableforeachdelayof6days,andanyfractionaldaysoflatedeliveryshallbecountedas6days.

2.

如果交货延误60天，买方有权选择宣告合同无效，并要求卖方按照上款规定支付罚金，但是罚金额最多不超过货物总金额的4%。Wheredeliveryisdelayedby60days,buyerhastheoptiontodeclarethecontractavoidedandrequiresellertopayapenaltyasperprecedingparagraph,howeverthemaximumpenaltyshallnotexceed4%oftotalvalueofthegoods.

第十八条

装运条件

货物装船后，卖方应将合同号、品名、数量、发票金额、船名和起航日起等信息立即传真通知买方，若因卖方通知不及时而使买方未能办理保险，卖方则承担全部损失。Sellershould,subsequenttoshipmentofgoods,notifybuyerbyfaxforthwithofcontractnumber,commodityname,quantity,invoiceamount,vesselname,departuredateandotherinformation,wheresellerdelaytonotifyandcausebuyerfailtoeffectinsurance,alllosscausedtherebyshallbeforacountofseller.

第十九条

不可抗力

ArticleNinteenForceMajeure如果由于战争、地震、洪水、自然灾害或其他不可抗力因素，导致卖方不能按时装运货物，卖方对由于不可抗力所造成的装运延迟不负责，但是不可抗力消除后，仍必须尽快履行合同。Providedthatsellerfailstoeffectshipmentofgoodsduetoforcemajeuresuchaswar,earthquake,flood,naturalcalamitiesandother,sellerisnotresponsibleforthedelayofshipment,however,shouldstillfulfillitsobligationshereunderaftertheeliminationofforcemajeure.

第二十条

仲裁

AticleTwentyArbitration凡有关执行合同所发生的一切争议应通过友好协商解决，如不能解决，则将分歧提交中国国际贸易仲裁委员会按有关仲裁程序进行仲裁。仲裁的裁决将是终局的，双方均受其约束。仲裁费用由败诉方承担。Anyandalldisputesarisingwithrespecttotheperformancehereofshallbesettledthroughamicablenegotiation,if,nosettlementbynegotiation,mayfiletoChinaInternation
