文件编号.:T文件编号.:TLT-D2-7201011版本:V2.0表格修订日期:2022-1-20《禁用物质声明》补充协议SupplementaryAgreementtoStatementofProhibitedSubstances（密级C级）(SecurityLevelC)PartyA:TonlyXXXTechnologyCo.,ltd.PartyB:为了更好落实与执行甲方的环保标准，杜绝环保超标事件的发生，减少甲乙双方及客户的损失，为约束甲、乙双方的行为，特制定本补充协议：InordertobetterimplementandimplementPartyA'senvironmentalprotectionstandards,putanendtotheoccurrenceofexcessiveenvironmentalprotectionincidents,andreducethelossesofPartyAandPartyBandcustomers,thissupplementaryagreementisherebyformulatedtorestrainthebehaviorsofPartyAandPartyB:1.乙方交货给甲方的下列物料（见表二）必须满足RoHS指令（2011/65/EU及其修订指令）、REACH法规(EC)No1907/2006（包括SVHC和附录ⅩⅦ）、POPs法规（EC）No850/2004及其修订法规、美国加利福尼亚州65法案、美国TSCA、电池指令（2006/66/EC及其修订指令）、包装指令（94/62/EC及其修订指令）及通力科技股份有限公司的《公司环境管理物质标准》的要求。必须满足无卤（即均质材料中氯<900ppm，溴<900ppm，氯+溴<1500ppm）要求，满足锑及其化合物<1000ppm的要求（元器件的玻璃、陶瓷除外）。ThefollowingmaterialsdeliveredbyPartyBtoPartyA(Table2)mustmeetRoHSDirective(2011/65/EUanditsreviseddirective),reachregulation(EC)no1907/2006(includingSVHCandappendixXVIII),POPs(EC)No850/2004anditsamendments,Californiaact65,USTSCA,batterydirective(2006/66/ECanditsamendments),packagingdirective(94/62/ECanditsamendments)andcorporateenvironmentalmanagementsubstancestandardofTonlyXXXtechnologyCo.,Ltd.Itmustmeettherequirementsofhalogen-free(i.e.chlorine<900ppm,bromine<900ppm,chlorine+bromine<1500ppm)andantimonyanditscompounds<1000ppm(exceptglassandceramicsofcomponents).2.如因表二中列出的物料超出以上要求，甲方将按表一对乙方进行处罚IfthematerialslistedinTable2exceedtheaboverequirements,PartyAwillpunishPartyBaccordingtotable1.3.本补充协议一式两份，甲、乙双方各持一份，本补充协议与已签订的《禁用物质声明》、《技术/质量协议书》、《采购协议》等相关条款相互补充，自签订之日起共同生效。如有冲突，以本协议为准Thissupplementaryagreementismadeinduplicate,withPartyAandPartyBholdingonecopyrespectively.Thissupplementaryagreementandthesignedprohibitedsubstancesstatement,technical/qualityagreement,purchaseagreementandotherrelevantprovisionssupplementeachother,andshallcomeintoforceasofthedateofsigning.Incaseofanyconflict,thisAgreementshallprevail.表一：发生环保超标处罚如下：Table1:Penaltiesforenvironmentalviolationsareasfollows:事故等级AccidentGraduation环保事故描述Environmentalaccidentdescription赔偿原则Compensationprinciple四级Level4开发送样阶段Developmentandsampledeliverystage5000元人民币/次RMB5000yuaneachtime三级Level3来料阶段，但甲方产品未出货Inthestageofincomingmaterials,butPartyA'sproductsarenotdelivered1万元人民币/次+甲方当次相应损失成本RMB10000yuaneachtime+correspondinglosscostofPartyA二级Level2来料阶段，但甲方产品已出货到客户端，未上市销售Inthestageofmaterialsupply,PartyA'sproductshavebeendeliveredtotheclientbuthavenotbeensoldinthemarket50万元人民币起（不少于客户当次罚款）+客户当次损失成本+甲方当次损失成本FromRMB500000yuan(nolessthanthepenaltyimposedbythecustomer)+customer'scurrentlosscost+PartyA'scurrentlosscost一级Level1市场反馈阶段Marketfeedbackstage300万元人民币起（不少于客户当次罚款）+客户当次损失成本+当次市场罚款及相关损失成本+甲方当次损失成本FromRMB3millionyuan(nolessthanthepenaltyimposedbythecustomer)+customer'scurrentlosscost+currentmarketfineandrelatedlosscost+PartyA'scurrentlosscost【注】损失成本包括但不限于甲方和/或客户、第三方的无作业工时损失、仓储损失、甲方向客户和/或第三方承担的违约责任损失以及甲方和/或客户、第三方为获得上述损失的赔偿而支付的人工费、差旅费、律师费及诉讼费等。[note]thelosscostincludesbutisnotlimitedtothelossofnonworkinghours,storagelossofPartyAand/orthecustomerandthethirdparty,theliabilityforbreachofcontractofPartyAtothecustomerand/orthethirdparty,aswellasthelaborcosts,travelexpenses,attorney'sfeesandlitigationcostspaidbyPartyAand/orthecustomerandthethirdpartytoobtainthecompensationfortheabovelosses.表二：乙方交货给甲方的物料清单（当填写不下时请整理成单独的清单，并与本协议一起加盖骑缝章。）Table2:BillofmaterialsdeliveredbyPartyBtoPartyA(ifitcannotbefilledin,pleasemakeitintoaseparatelistandaffixthesealonthegapwiththisagreement.)序号No.甲方物料编码MaterialcodeofPartyA序号No.甲方物料编码MaterialcodeofPartyA序号No.甲方物料编码Materialco
