整理合资企业合同英文版JointVentureContractThisJointVentureContract(the"Contract")ismadeandenteredintoon[Date]byandbetween[PartyA’sName](hereinafterreferredtoas"PartyA")and[PartyB’sName](hereinafterreferredtoas"PartyB").Article1BasicInformationoftheParties1.1PartyA[PartyA’sLegalName][PartyA’sAddress][PartyA’sBusinessLicenseNumber][PartyA’sLegalRepresentativeNameandTitle]1.2PartyB[PartyB’sLegalName][PartyB’sAddress][PartyB’sBusinessLicenseNumber][PartyB’sLegalRepresentativeNameandTitle]Article2Definitions2.1"JointVentureCompany"meansthecompanyformedbyPartyAandPartyBinaccordancewiththelawsofChinawiththenameof[JointVentureCompany’sName].2.2"JointVentureBusiness"meansthebusinesstobeconductedbytheJointVentureCompany.2.3"IntellectualPropertyRights"meansallcopyrights,tradesecrets,patents,trademarks,andotherproprietaryandintellectualpropertyrights.Article3PurposeandScopeoftheJointVenture3.1ThepurposeoftheJointVentureistooperatetheJointVentureBusinessinaccordancewiththelawsandregulationsofChinaandtheprovisionsofthisContract.3.2ThescopeoftheJointVentureBusinessshallbe[InsertDetails].Article4RightsandObligationsofParties4.1PartyAshallberesponsiblefor[InsertDetails].4.2PartyBshallberesponsiblefor[InsertDetails].4.3Thetwopartiesshalljointlydeterminethedevelopmentplan,investmentplan,organizationstructure,managementmode,appointmentofthemanagementpersonnel,andthebudgetoftheJointVenture.4.4ThetwopartiesshalljointlybeartherisksandbenefitsoftheJointVentureBusiness.Article5CapitalContribution5.1PartyAshallcontributeacapitalof[InsertAmount]totheJointVenture.5.2PartyBshallcontributeacapitalof[InsertAmount]totheJointVenture.5.3ThetwopartiesshalljointlybearthefinancialobligationsanddebtsoftheJointVenture.5.4Thecontributionofthecapitalshallbecompletedwithin[InsertTimeframe].Article6IntellectualPropertyRights6.1TheJointVentureCompanyshallownandhaveexclusiverightstouseallintellectualpropertyrightsrelatedtotheJointVentureBusiness.6.2BothpartiesshallcooperateinprotectingtheJointVentureCompany’sintellectualpropertyrightsandshallnotinfringeupontheintellectualpropertyrightsofanythirdparty.Article7Duration7.1ThedurationoftheJointVentureshallbe[InsertTimeframe].7.2TheJointVenturemaybeextendedbymutualagreementoftheparties.Article8Termination8.1TheJointVentureshallbeterminatedupontheexpiryoftheterm.8.2TheJointVenturemayalsobeterminatedif:8.2.1TheJointVentureCompanyisdeclaredbankruptordissolution.8.2.2OneofthepartiesbreachesanyprovisionsofthisContract,andfailstorectifywithinareasonableperiodafterreceivingawrittennoticefromtheotherparty.Article9DisputeResolution9.1AnydisputearisingoutoforinconnectionwiththisContractshallbesettledthroughfriendlynegotiation.9.2Ifthedisputecannotberesolvedthroughnegotiation,eitherpartymayreferthedisputetotheChinaInternationalEconomicandTradeArbitrationCommissionforarbitrationinaccordancewithitsArbitrationRules.Article10GoverningLawandLegalJurisdiction10.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofChina.10.2AnydisputesarisingfromthisContractshallfallunderthejurisdictionofthecourtlocatedintheplacewheretheJointVentureCompanyisregistered.Article11AmendmentsandSupplements11.1AnyamendmentorsupplementtothisContractshallbemadeinwritingandsignedbybothparties.11.2AnyamendmentorsupplementshallhaveequallegaleffectasthisContract.Article12Miscellaneous12.1ThisContractiswritteninbothChineseandEnglishversions,eachinduplicate.12.2IfanyclauseofthisContractisinvalidorimpracticable,theremainingprovisionsofthisContractshallremaininfullforceandeffect.12.3ThisContrac
