三、基本条款

五、收益分配

（1）投资项目的收益将按照每个季度结算一次，结算日为每年的[结算日]。

六、风险提示

RiskWarning

1.双方同意投资项目存在投资风险，并将自行承担投资所带来的一切风险及损失。

1.Bothpartiesagreethatthereareinvestmentrisksassociatedwiththeinvestmentproject,andtheyshallbearallrisksandlossesarisingfromtheinvestment.

2.双方同意合作期间保持良好的沟通，共同解决项目运营中的问题，并采取合理的风控措施。

2.Bothpartiesagreetomaintaingoodcommunicationduringthecooperationperiod,jointlyresolveissuesinprojectoperation,andtakereasonableriskcontrolmeasures.

七、违约责任

LiabilityforBreach

1.如果一方违反本合同的任何规定，应当赔偿对方因此遭受的直接经济损失。

1.Ifeitherpartybreachesanyprovisionofthiscontract,itshallcompensatetheotherpartyforthedirecteconomiclosssufferedasaresult.

2.如果一方发生违约行为，另一方有权解除本合同，并要求违约方承担相应的违约责任。

八、争议解决

DisputeResolution

双方对于本合同的解释、履行或者违约引起的争议，应首先友好协商解决，协商不成的，可向所在地法院提起诉讼。

Anydisputesarisingfromtheinterpretation,performance,orbreachofthiscontractshallberesolvedthroughfriendlynegotiation.Ifnegotiationfails,eitherpartymayfilealawsuitwiththelocalcourt.

九、合同生效

ContractEffectiveness

本合同经双方签字盖章后生效，有效期为签署之日起。

Thiscontractshallbecomeeffectiveuponthesignaturesandsealsofbothpartiesandshallremainvalidfromthedateofsigning.

十、附则

Miscellaneous

1.本合同一式两份，出资方一份，出资方二份，共同具有同等法律效力。

1.Thiscontractismadeinduplicate,withonecopyforPartyAandonecopyforPartyB,bothhavingequallegaleffect.

2.本合同的修改、补充或者终止应当采取书面形式，并由双方代表签字确认。

ConfidentialityClause

1.双方应对在投资合作过程中获得的对方商业秘密严守保密，不得向任何第三方透露或披露。

1.Bothpartiesshallkeepconfidentialanytradesecretsobtainedfromtheotherpartyduringtheinvestmentcooperationprocessandshallnotdiscloseorrevealthemtoanythirdparty.

2.在本合同生效期间以及合同终止后，无论因何种原因，双方均应妥善保管和管理相关文件、资料、技术信息等。

2.Duringthetermofthiscontractandafteritsterminationforanyreason,bothpartiesshallproperlysafeguardandmanagerelevantdocuments,materials,technicalinformation,etc.

3.对于违反保密条款的一方，应承担违约责任，并赔偿对方因此遭受的损失。

十二、知识产权

IntellectualPropertyRights

1.在投资过程中，如涉及到知识产权的使用、保护以及相关权益，双方应共同遵守国家法律法规和双方达成的协议。

1.Duringtheinvestmentprocess,ifitinvolvestheuse,protection,andrelatedrightsofintellectualproperty,bothpartiesshalljointlycomplywithnationallawsandregulationsandagreementsreachedbybothparties.

2.出资方一和出资方二应共同协商并签署知识产权相关文件，明确双方的权益和义务。

2.PartyAandPartyBshalljointlynegotiateandsignintellectualproperty-relateddocumentstoclarifytherightsandobligationsofbothparties.

3.如果一方在知识产权方面的侵权行为导致对方受到损害，应承担相应的法律责任并赔偿损失。

3.Ifoneparty'sinfringementofintellectualpropertyrightscausesharmtotheotherparty,itshallbearcorrespondinglegalliabilitiesandcompensatefortheloss.

十三、合作解除

TerminationofCooperation

1.如果出现以下情况之一，本合同将被解除：

（1）经双方协商一致解除合同；

（2）双方投资金额达到预定的目标；

（3）根据合同约定的投资期限到期。
